HomeMy WebLinkAboutPage_2_bylaws I. Organization Officers and Duties: A. The officers shall include a President, Vice President, and Treasurer, all nominated by the Governance Committee or from the floor at the May meeting each year. Terms are June 1 – May 31 with eligibility for reelection. B. Any officer unable to perform the duties of his/her office for any reason for a period of 60 days shall submit a written resignation from the office to the Board. The resigning officer may continue on the Board so long as regular member obligations are fulfilled. C. No member shall hold more than one (1) office at a time. No member may be a Board officer while being Friends president, representative of the Friends president, or Oshkosh Committee on Aging delegate. A Board officer may not be the Advisory Board’s representative to the Friends board. D. The President may attend the meeting of any subcommittee, shall be counted toward a quorum and shall be entitled to vote on all matters before the subcommittee. II. Meetings: A. Regular meetings of the Board shall usually be held at 1 p.m. on the final Monday of each month at the Center. When the final Monday falls adjacent to a holiday weekend, the Board may by majority vote schedule its meeting for the previous Monday. If this is not possible, the Board may select a different date falling in the same month. If the Board President and the Director together agree, a meeting may be cancelled. A majority of the membership (50% + 1) shall constitute a quorum. B. The Director shall participate when possible in all meetings, but may not vote. III. Amendments: These bylaws may be amended at any regular meeting by a two-thirds (2/3) vote of those present, provided the text of the proposed amendment has been given with notice of the meeting. IV. Attachments: For clarification Attachments shall always accompany the Bylaws. Attachments shall not be subject to Bylaw amendment rules (VI. above). .
