4 pm. in Room 406 at the Oshkosh City Hall. The following items are scheduled for action: The first item under new business will be to introduce Community Development Director Allen
Davis. Prior to joining the City, Allen was the Community Development Director for the Town of Grand Chute. Allen has 26 years of private and public sector experience which includes
work for the City of Janesville and Dane County Regional Planning Commission. Welcome to the City of Oshkosh! Res. 10-05 Approve Appointment of SecretarylExecutive Director for the Redevelopment
Authority of the City of Oshkosh The RDA is being asked to appoint Community Development Director Allen Davis as Secretary/Executive Director of the RDA. Res. 10-06 Public Hearing and
Spot Blight Designation for Property at 112 Broad Street The previous owner of this property had started rehabilitation of the exterior of the house with new siding, new windows and
doors. After gutting the interior, the owner discovered sagging floors, crumbling foundation and other issues that prevented them from proceeding with the rehab project. The Bank took
possession of the property and donated it to Habitat for Humanity of Oshkosh. Due to the dilapidated condition of the interior, rehabilitation of the structure did not seem viable and
Habitat decided to demolish the existing structure and construct a new single family home. Habitat has indicated they will salvage as much of the siding, windows and doors as possible

To assist with demolition costs, Habitat approached the Winnebago County Housing Authority about utilizing Neighborhood Stabilization Program (NSP) funds. Since the property is not within
an approved redevelopment district and the use ofNSP funds requires the property be within an existing redevelopment district or blighted property, Habitat has requested that the RDA
spot blight the property to avail themselves of the NSP funds. States Statutes provides that the RDA "may assist private acquisition, improvement and development of blighted property
for the purpose of eliminating its status as blighted property .... ". In determining whether a property is blighted falls under Section 66.1333(2m)3(bm) ofthe Wisconsin Statutes that
lists several factors that can be taken into account. These factors include: • dilapidation • deterioration of site improvements • obsolescence • faulty lot layout • conditions detrimental
to public health, safety, morals or welfare • conditions which endanger life or property by fire or other causes • conditions that substantially impairs or arrests the sound growth of
the community Applying a spot blight designation to the property in question is consistent with one of the identified 13 priority items in the adopted Comprehensive Plan --implementation
of 'Neighborhood Improvement Strategies' --by eliminating a blighting condition in the immediate neighborhood and supporting ongoing redevelopment efforts in the community, which overall
contributes to improving adjacent properties. Res. 10-07 Approve Use of Lots in 600 Block of Jefferson Street as a Temporary Parking Lot in Conjunction with the Main Street Reconstruction
Project; Approve Agreement with City of Oshkosh for Same At its February 8th meeting, the RDA reviewed a request from the owner ofSami's on Main, 668 N. Main Street, to utilize vacant
RDA properties located to the east along Jefferson Street for interim parking during the Main Street reconstruction project that will start this Spring. It was the consensus of the RDA
to have staff further review temporary parking options for the 600 Block property owners. RDA memo 3130/2010 meeting 2
City staff met with property owners in this immediate area on March 8th to determine needs and possible concerns. No significant objections were raised by neighboring property owners,
but concern was expressed over physically protecting adjacent lands from automobile movements using the lot and that the lot improvements be removed and the site restored to greenspace
following North Main Street opening in the fall. The City is proposing to use two vacant lots on Jefferson Street (679 & 683 Jefferson) owned by the RDA and construct a temporary gravel
parking lot. The City contacted the owner of O'Brien's Tavern at 686 North Main Street, regarding obtaining an access/parking easement to access O'Brien's property through the Jefferson
Street temporary parking lot. The owner of O'Brien's has agreed to provide temporary access and parking for the public. Construction of a temporary parking lot is only permitted by a
conditional use permit. The Plan Commission approved of the temporary parking lot use at its March March 16, 2010 meeting with conditions as noted in the attached report. Council will
be asked to take action on the conditional use permit for the temporary parking lot and agreements with the RDA and O'Brien's at its April 13th meeting. The RDA is being asked to approve
of the use of the two lots on Jefferson Street for a temporary gravel parking lot and entering into an agreement with the City for the City's use of the lots. Res. 10-08 Ratify Execution
of Leases and Assignments and Authorize Future Leases and Assignments for Purposes of Securing Financing Commitments for the Marion RoadlPearl Avenue Redevelopment Area The RDA is being
asked to ratify the execution of leases and assignments relative to the construction projects occurring in the Marion/Pearl Redevelopment Area. Time was of the essence and if agreements
could not be reached between the developer(s), their banks and the City and RDA, the developers would have lost their tax credits or the RDA would have had to surrender the various grants
received that are being used to offset environmental remediation costs at the site. The leases and assignments are consistent with the terms of the Developer Agreement with Oshkosh River
Development LLC.. Attached is a memo from City Attorney Lynn Lorenson which further addresses this request. Res. 10-09 Amend Developer Agreement with Oshkosh River Development LLC Regarding
Conveyance of Development Area 2 (The Rivers Project) in the MarionlPearl Redevelopment Area to Affiliate Entities of Oshkosh River Development LLC The RDA is being asked to approve
of a minor amendment to the developer agreement with Oshkosh River Development LLC. Upon completion of all work and closeout of the various grants, the RDA would transfer property to
Oshkosh River. Oshkosh River could then transfer property to one of its affiliate entities if they so desired. RDA memo 3/30/2010 meeting 3
With regard to 'The Rivers' project, the elderly housing project along the riverfront, the developer will be utilizing WHEDA tax credits. WHEDA has indicated that this type of transfer
is not acceptable under the terms of its program and the property must be transferred directly from the RDA to River Front Senior Apartments LLC, the entity created for this housing
project. If the property cannot be transferred directly to River Front Senior Apartments, the developer will lose the WHEDA tax credits and the project probably would not proceed. This
action will convey the property in the manner required by WHEDA. To address future concerns of a similar nature that may occur as development proceeds in the development areas covered
by the agreement with Oshkosh River Development, staff is recommending that the proposed amendment also address conveyances of development property to other entities owned and controlled
by Oshkosh River Development (Andy and/or Art Dumke). Staff recommends approval of the amendment as as attached to the Resolution. Attached is a memo from Assistant City Attorney David

ITEM: CONDITIONAL USE PERMITIDEVELOPMENT PLAN REVIEW REQUEST TO PERMIT A TEMPORARY PARKING LOT AT 679-683 JEFFERSON STREET Plan Commission meeting of March 16, 2010 GENERAL INFORMATION
Petitioner: Owner: City of Oshkosh City of Oshkosh Redevelopment Authority (RDA) Action(s) Requested: The City, on behalf of area land and business owners, is requesting a conditional
use permit (CUP) and Development Plan Review to construct and operate a temporary gravel parking lot at 679-683 Jefferson Street to help alleviate parking concerns associated with the
North Main Street reconstruction project. Applicable Ordinance Provisions: Parking lots are permitted only through CUP approval in the R-2 Zoning District. Standards imposed on Conditional
Use Permits are located in Section 30-11 (D) of the Zoning Ordinance. The Zoning Ordinance establishes criteria and guidelines for the establishment and/or amendment of a PD overlay
district in Section 30-33 (A). Property Location and Type: The request involves the temporary use of two properties comprising approximately 8,000 square feet of land currently owned
by the City of Oshkosh Redevelopment Authority. They are located on the west side of Jefferson Street, approximately 125 feet south of East Irving Avenue. The properties are both currently
vacant but had previously contained residential homes. The existing residential uses in the portion of the block are being purchased when available and land-banked by the Redevelopment

ANALYSIS North Main Street will be closed for reconstruction at various locations for a majority of the 2010 construction season. It is anticipated that the 600 block of North Main Street
will be closed and not permit vehicular access to businesses from June through October. In an effort to help relieve these access issues and potential parking pressures, the City is
proposing the installation of a temporary gravel parking lot on the lots located at 679-683 Jefferson Street (owned by the Oshkosh Redevelopment Authority). Staffs review of the proposed
temporary use is atypical because the use of gravel for parking surface is prohibited within the Zoning Ordinance and the utilization of gravel surface is only allowed for fully enclosed
storage areas in industrial settings. However, staff understands that the reconstruction of North Main Street has created a unique and uncommon situation with a potentially negative
economic impact on local small business owners and therefore dictates this consideration. The temporary parking area is proposed to be centered on the two lots setback from Jefferson
Street 25 feet and setback from the properties to the north, south and west by 5 feet. As it is temporary in nature, the lot is proposed to be constructed of gravel and consist of a
center drive aisle with two rows of 90 degree parking providing 20 stalls. Access will be provided in the form of a 24 foot curb-cut on Jefferson Street and a 24 foot internal drive
connection to the O'Brian's Tavern parking lot to the west. The owner of O'Brian's Tavern understands the need not only for temporary access to his parking lot and building but for the
other businesses located on the east side of the 600 block of Main Street. He has agreed to provide temporary access and parking easements with the RDA for the public as a private-public
partnership aimed at assisting the North Main Street business community this summer and fall. Staff reviewed the temporary lot concept and generated suggestions that should be incorporated
with the sites design and operation. Staff believes a barrier should be installed on the north and south sides of the parking stalls prohibiting movement so as to protect adjoining properties
from vehicles utilizing the temporary parking area. The protective barrier could be in the form of jersey barriers, concrete wheel stops or solid fencing with the overall purpose of
prohibiting vehicles from entering onto the setback greenspace. Additionally, to help the temporary use run as smoothly and safely as possible, staff recommends that the vegetation at
the west/rear lot line be thinned and/or removed to provide clear vision, that lighting and directional signage be installed for safety and that trash receptacles be included to minimize
potential for migration of litter and debris. A neighborhood meeting was conducted on March 8 to discuss the issues related to the North Main Street closure and the action suggested
to address it. Several neighboring property owners attended and there was no significant objection to the temporary lot. Concern was expressed over physically protecting adjacent lands
from automobile movements using the lot and that the lot improvements be removed and the site restored to greenspace following North Main Street opening in the fall. PLAN COMMISSION
RECOMMENDATION/CONDITIONS Staff recommended approval of the conditional use permit and development plan with the following conditions: 1. Base standard modifications for the use of gravel
as a surface and to setbacks as depicted on the submitted plan. 2. The use is limited in timeframe to the reconstruction of the 600 block of North Main Street, at which time access will
be blocked, curb-cut closed and site returned to vegetative groundcover. 3. Trim or clear vegetation at the western lot line between the subject site and the parking area to the west.
4. Add barriers on the north and south of the parking stalls prohibiting movement onto the setback greenspace, as approved by the Department of Community Development. 5. Directional
signage, security lighting and trash receptacle(s) are installed, as approved by the Transportation Department. Item: 600 block Jefferson CUP/PD TempPLot 2
The Plan commission approved of the conditional use permit and planned development as requested with conditions as noted below. The following discussion occurred at the Plan Commission
meeting. Mr. Buck presented the item, reviewed the site and surrounding area, and gave background information on the request. He explained that the City of Oshkosh Redevelopment Authority
has been acquiring property in this area for redevelopment purposes and he reviewed the current uses in the area. He further explained that the request was initiated to assist the Main
Street property owners during the reconstruction of the street which will facilitate the closing of Main Street for a time this summer, creating access and parking issues. Mr. Buck emphasized
that this is an uncommon and unique situation. He reviewed the site plan which would create approximately 20 parking stalls in the proposed temporary lot and discussed the use of gravel
surface, landscaping, lighting and trash issues and how they would be addressed. The owner of O'Brian's Tavern has agreed to provide temporary access and parking easements to his parking
lot for other businesses to assist in this venture. A neighborhood meeting was held with adjacent property owners on March 8 with a positive response. The main concerns were the potential
negative impacts from the use of the parking area on surrounding residential properties. Mr. Borsuk inquired who would be responsible for the maintenance of the parking lot and if some
type of dust free treatment would be applied to the gravel surface. Mr. Buck responded that the City would be responsible for the maintenance of the lot and that no dust free treatment
was included with the gravel surface as the city is looking at the least costly and most timely way to install and remove this lot as it was only proposed as a temporary situation. Ms.
Propp questioned who would be emptying the trash receptacles proposed to be on site. Mr. Buck replied that City staff or others designated by staff would be responsible for that duty.
Mr. Hinz inquired if there was adequate room to access O'Brian's parking lot from the proposed temporary lot as the dumpster enclosure and vehicles appeared to be very close to the access
point. Mr. Buck responded that the drive aisle was proposed to be 24 feet which is adequate and easement agreements would be drafted if this request was approved. He stated that the
tavern may have to relocate the dumpster. Mr. McHugh asked how we would be designing the security lighting proposed for the site. Mr. Buck replied that the Transit Department would be
handling the actual design and installation of lighting and the Department of Community Development would verify that the lighting is not excessive as there are residential properties
in the area. Mr. Thoms questioned if this request had been reviewed by the Transit and Police Departments. Mr. Buck responded that it had been reviewed and that all requests that come
before the Plan Commission are reviewed at a City inter-departmental meeting prior to the creation of the staff reports. Motion by Nollenberger to approve the conditional use permit/development
plan to permit a temporary parking lot at 679-683 Jefferson Street with the following conditions: 1. Base standard modifications for the use of gravel as a surface and to setbacks as

Leases and Assignments of Leases for Purposes of Securing Financing Commitments for the Marion Road/Pearl Avenue Redevelopment Area BACKGROUND The City of Oshkosh and The Redevelopment
Authority of the City of Oshkosh and Oshkosh River Development, LLC entered into a development agreement for the purpose of developing the area known as the Marion Road/Pearl Avenue
Redevelopment area. The Second Amended and Restated Development Agreement between these parties was entered into on July 29, 2009, and anticipated the sale of individual parcels within
the Redevelopment Area to Oshkosh River Development, LLC as Oshkosh River Development was prepared to commence construction on each parcel. The City applied for, and was awarded, several
grants from the United States Environmental Protection Agency ($200,000.00), the State of Wisconsin Department of Commerce ($600,000.00) and the State of Wisconsin Department of Natural
Resources ($200,000.00) to pay for the required environmental remediation on the site. The total amount of the grants awarded was $1,000,000 for this redevelopment area. ANALYSIS While
the Development Agreement anticipated that the City would sell the individual parcels of land within the redevelopment area to Oshkosh River Development, LLC as Oshkosh River Development,
LLC was prepared to commence construction on each parcel, the terms of the grants require that the
Ratify Leases and Assignment of Leases /Oshkosh River Development 3/23/10: Page 2 City maintain ownership of the property during the environmental remediationand life of the grant. In
order to accommodate the grant requirements, city staff worked closely with Oshkosh River Development, LLC and it's bank to develop a Lease and Conditional Assignment of Lease which
were consistent with the requirements of the Development Agreement and also met the needs of the bank for financing purposes. Because this situation was not anticipated at the time the
parties entered into the Development Agreement, the Development Agreement did not address this issue specifically. Normally, the execution of documents such as these, which are consistent
with the terms of the Agreement, would be considered administration of the agreement and within staffs authority without further approval by the RDA or Council. However, because this
issue was not anticipated, we wanted to inform both the RDA and Council of the action taken and ask each of those bodies to ratify the action taken with regard to those parcels already
under construction and to specifically authorize staff to sign similar documents necessary to carry out the terms of the DevelopmentAgreement. FISCAL IMPACT There is no anticipated Fiscal
Impact from the requested action. RECOMMENDATION It is recommended that the Redevelopment Authority and the Common Council approve the resolution to ratify the execution of the leases
and assignments and authorize future leases and assignments for purposes of securing financing commitments for the Marion Road! Pearl Avenue Redevelopment Area. Approved: ~~ Mark A.

by Art and Andy Dumke BACKGROUND The City of Oshkosh and The Redevelopment Authority of the City of Oshkosh and Oshkosh River Development, LLC entered into a development agreement for
the purpose of developing the area known as the Marion Road/Pearl Avenue Redevelopment area. The Second Amended and Restated Development Agreement between these parties was entered into
on July 29, 2009, and anticipated the sale of individual parcels within the Redevelopment Redevelopment Area to Oshkosh River Development, LLC. The member-owners have formed a separate
entity, River Front Senior Apartments, LLC, to develop and own the WHEDA-approved senior housing facility in development area 2 of the project. The City has learned that a condition
of the WHEDA tax credit purchase is that the City must convey the parcel identified as development area 2 directly to the River Front Senior Apartments, LLC. Staff's interpretation of
the current form of the Development Agreement would require that the parcel be conveyed to Oshkosh River Development, LLC, who would then convey the property to River Front Senior Apartments,
LLC.
Memo Dumke Amendment: 3/26/10: Page 2 Staff has been provided the Operating Agreements for both Oshkosh River Development, LLC and River Front Senior Apartments, LLC. Both of the limited
liability companies are owned and controlled by the same people including, but not limited to, Andy and Art Dumke. The terms of the Operating Agreements are substantially the same. ANALYSIS
The developer has requested that the Development Agreement be modified to allow for the conveyance of property in this development area to entities other than Oshkosh River Development,
LLC. The resulting proposed Amendment to the development agreement allows the conveyance of the development property to other entities, provided the other entities are owned by the same
individuals as Oshkosh River Development, LLC, and controlled on a day-to-day basis by Andy and/or Art Dumke. The remainder of the Development Agreement would remain in place.
All entities will remain bound by the terms of the Development Agreement. The only change is the party to whom property may ultimately be conveyed. FISCAL IMPACT There is no anticipated
Fiscal Impact from the requested action. RECOMMENDATION It is recommended that the Redevelopment Authority and the Common Council approve the resolution to Amend the Development Agreement,
as Amended and Restated, to allow the conveyance of property in the development area to other entities owned and controlled by the same persons who own and control the Oshkosh River
