AS AMENDED
PURPOSE: DIRECT STAFF TO BEGIN DISCUSSION OF
CONTRACTUAL ISSUES REGARDING GRAND WITH
GRAND OPERA HOUSE FOUNDATION
INITIATED BY: MAYOR ESSLINGER & DEPUTY MAYOR PALMERI
WHEREAS, the City of Oshkosh has entered into an agreement with the Grand
Opera House Foundation to operate and maintain the Grand Opera House; and
WHEREAS, the City of Oshkosh has entered into a contract with the Grand
Opera House Foundation for said purpose; and
WHEREAS, the city's current contract with the Grand Opera House Foundation
automatically renews every five (5) years unless the city provides the Grand Opera
House Foundation with notice that it does not intend to renew this contract; and
WHEREAS, the city's automatic renewal of its contract with the Grand Opera
House Foundation took effect on January 1, 2010; and
WHEREAS, the Grand Opera House recently underwent a major renovation to
repair structural deficiencies in its roof at a cost of $1.8 million, of which $500,000 was
funded through a State of Wisconsin grant, $250,000 through a pledge from the Grand
Opera House Foundation, and remaining funding from the City of Oshkosh; and
WHEREAS, the unforeseen costs have resulted in the city assuming
responsibility for improvements that were not anticipated or budgeted by the city, and
the city wishes to limit its exposure for such costs in the future; and
WHEREAS, the Grand Opera House Foundation has indicated its willingness to
begin discussions with the city to consider terms of its current contractual arrangement
between the city and the Grand Opera House Foundation;

NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of
Oshkosh that:
1. The City Council directs staff to meet with Grand Opera House Foundation
representatives and up to two (2) members of the City Council (Mayor Paul
Esslinger and Deputy Mayor Tony Palmeri) to discuss possible contract
amendments to the agreement between the City and Grand Opera House
Foundation for operation of the Grand Opera House.
2. Topics that may be discussed during these meetings may include, but are not
limited to the following:
a. Review of current contract and responsibilities of each party.
b. Current financial impact to the City of Oshkosh.
c. Discussion of activities that may be undertaken by the Grand Opera
House Foundation to raise funds to operate the Grand Opera House with
less financial support from the city.
d. Discuss possible transfer of the Grand Opera House building to the Grand
Opera House Foundation or another successor, non - profit organization.
3. To discuss any other items of interest of mutual concern to the city and the
Grand Opera House Foundation.
