HomeMy WebLinkAbout2009 Occupational Health Services Aurora Medical Group incCG� e&dc AGREEMENT FOR OCCUPATIONAL HEALTH SERVICES THIS AGREEMENT is made and entered into as of this 28th day of July, 2009, by and between AURORA MEDICAL GROUP, INC. ( "AMG ") (d/b /a Aurora Occupational Health Services ( "AOHS ")) and the City of Oshkosh ( "City ") RECITALS WHEREAS, City is interested in obtaining the services of a Wisconsin licensed physician with experience in occupational health to serve as Medical Consultant for City, on and subject to the terms and conditions of this Agreement; and WHEREAS, AMG employs physicians who specialize in occupational health and is willing to make one such physician available to City on the terms of this Agreement to serve as Medical Consultant; NOW, THEREFORE, in consideration of the mutual promises herein contained, it is agreed as follows: 1. Duties of AMG AMG shall provide the services of a Wisconsin licensed physician, experienced in occupational health, to serve as Medical Consultant for City. Medical Consultant will be available to City on an as needed basis, at the request of City. Physician may perform the following duties at a mutually agreeable location: • Medical Oversight of City's Nursing Programs: Respirator Clearance Bloodborne Pathogens Immunization TB(Tuberculosis) Communicable Disease • Review, edit and confirm compliance with State of Wisconsin guidelines as applies to the above programs, all internal policies and procedures and program forms, to each of the programs, at least annually. • Review, discuss and sign medication orders/ pharmaceutical manufacturer change. • Act as point of contact for City in the case of a community infectious disease outbreak. 2. Medical Records; Confidentiality AMG agrees to maintain a medical record of its medical treatment of employees, which shall be kept confidential in accordance with applicable state and federal law. Insurance AMG shall be responsible to obtain and maintain for itself and its Medical Consultant professional (malpractice) insurance in amounts sufficient to comply with applicable law. City shall obtain and maintain general liability insurance with all risk coverage in an amount of not less than $2,000,000. 4. Duties of City City agrees to: (a) provide AMG and the Medical Consultant with an appropriate designated area in the Facility for the Medical Consultant to perform the services hereunder on a confidential basis; (b) designate a coordinator at City to work with AMG and the Medical Consultant and to provide internal and external communications to implement an effective occupational health program; (c) provide mutually agreeable administrative and/or nursing support for the Medical Consultant as needed to fulfill such Medical Consultant's duties; and (d) schedule appointments for services by the Medical Consultant. 5. Payment For the Services provided by AMG and the Medical Consultant, City shall pay AMG at the rate of $200.00 per hour. AMG shall submit an invoice detailing time spent providing services. City shall pay AMG the invoiced amount on or before the 20 day after receipt of the invoice. Payments not paid when due shall bear interest at one percent per month from the due date until paid. It is understood that such rate only covers the specified consulting services and clinical services provided by AMG and Medical Consultant under this Agreement. 6. Term and Termination This Agreement shall commence on August 1, 2009, and continue thereafter until terminated by either party at any time upon ninety (90) days prior written notice. 7. Limitations of consultant responsibilities (a) The nature of the Medical Consultant consultation to City is an advisory role, not a directing or controlling function. (b) City will bring selected specific questions, topics, and cases to the Medical Consultant. The Medical Consultant will give opinions on these matters but generally has no authority to implement the advice given. (d) Therefore, neither the Medical Consultant nor AMG assume responsibility for other aspects of, or outcomes of City's programs or operations. The Medical Consultant and AMG assume responsibility for the accuracy of advice given by Medical Consultant to the issues specifically presented by City. MILW_2299056.2 MILW_2299056.2 -2- SIE
