This Agreement is made this l� 4A day of March, 2009, between CITY OF OSHKOSH of
Oshkosh, Wisconsin hereinafter referred to as "The City" and THE HORTON GROUP, INC. of
10320 Orland Parkway, Orland Park, IL 60467 hereinafter referred to as "Horton ".
WHEREAS, THE CITY desires to engage Horton to provide certain benefit consulting
services in exchange for the fees as outlined in this Agreement.
NOW, THEREFORE, the parties hereto agree as follows:
1. The term of this Agreement shall commence as of January 1, 2009, and shall remain in
effect for a period of one (2) year(s) thereafter ending on December 31, 2010, unless earlier
terminated as hereinafter provided.
2. The Service Retainer shall be compensation for the services illustrated in the attached
Scope of Services Exhibit. These services, along with projects historically provided, even if
not specifically stated shall be performed for the monthly retainer amount of $4,500.00.
3. It is understood that this Service Retainer Agreement is open to review at any time by either
party. It is also understood that in the event Horton's retention is terminated by THE CITY,
THE CITY, will pay the agreed upon retainer through the end of the current month and one
additional calendar month. Should the parties mutually agree to termination of the Service
Retainer Agreement, the Agreement shall end on the date of termination stipulated to by
the parties.
4. The Service Retainer Agreement covers only those specifically listed services in the
attached Scope of Services Exhibit, as well as those historically provided. Should
additional services be required at any time, the parties agree to negotiate terms at
that time.
Horton may receive additional compensation from insurance companies, in the
forms of, including but not limited to, contingent commission or bonus commission. Upon
request, Horton is pleased to disclose all compensation amounts as well as any other
contingent or similar agreements that may be in place. NOTE: Pursuant to this
Agreement, it should be noted that Horton has not and will not accept contingent
fees or commissions from any vendor for any service performed on behalf of The
City of Oshkosh.

Scope of Services
CITY OF OSHKOSH
January 1, 2009 to December 31, 2010
A. The Horton Group, HCSC Division, will analyze the cost - effectiveness of all insured
plans as well as the self - insured health plans including the identification of run -off
expense factors.
B. The Horton Group, HCSC Division, will analyze the appropriate types and levels of
stop -loss insurance.
C. The Horton Group, HCSC Division, will perform communication of the benefit
recommendations and programs to Union leadership and other plan members and
beneficiaries.
D. The Horton Group, HCSC Division, will identify alternatives for deductible(s) and co-
payment(s).
E. The Horton Group, HCSC Division, will set "premium equivalent" rate structures.
The Horton Group, HCSC Division, will compare the City's Plan with its'
comparables,
G. The Horton Group, HCSC Division, will identify alternative plan structures that meet
the needs of employers and unions and that are realistic in terms of TPA providers
and the medical community.
H. The Horton Group, HCSC Division, will perform claim audits and work with the City
on claim problems and claim denials.
1. The Horton Group, HCSC Division, will prepare any required RFP and will perform
analysis and a final report with recommendations. They will weigh and rate
responses to the RFP Questionnaire.
J. The Horton Group, HCSC Division, will negotiate all fees with selected vendors.
K. The Horton Group, HCSC Division, will negotiate provider contracts.
L. The Horton Group, HCSC Division, will establish and maintain a liaison relationship
between the Consultant and the City's Risk Manager for purposes of claim resolution
or dispute, as well as contractual Summary Plan Description disputes and resolution.
M. The Horton Group, HCSC Division, will provide a detailed hourly accounting of all
services performed under this Agreement on a monthly basis and the City shall have
the right to challenge the performance of said duties.
N. The Horton Group, HCSC Division, shall provide to all parties, a business associate
agreement between. The City, The Horton Group and said third party vendor for
appropriate data collection and effective communication of necessary plan
information.
Effective January 1, 2009 both parties hereby agree to a retainer -based consulting fee
arrangement of $4,500 per month, to be billed monthly, for 24 months, ending on
December 31, 2010.
