Columbus, OH Indianapolis IN Director of Public Works Milwaukee, WI Cincinnati OH Re: Agreement for Hydraulic /Hydrologic Modeling and Design Services Phoenix, AZ Tipler and Landmark Plaza Stormwater Improvements www.strand.com This is an Agreement between the City of Oshkosh, Wisconsin, hereinafter referred to as OWNER, and Strand Associates, Inc., hereinafter referred to as ENGINEER, to provide Hydraulic /Hydrologic Modeling and Design Services (Services) for Tipler and Landmark Plaza Stormwater Improvements, hereinafter referred to as the PROJECT. This Agreement shall be in accordance with the following elements. Background The Campbell Creek watershed has experienced recent and ongoing flooding. To address these issues, OWNER contracted with ENGINEER for a Campbell Creek Stormwater Plan which was completed in draft form in February 2008. Recommendations in that plan included stormwater conveyance improvements through Landmark Plaza to the Tipler Middle School fields and a stormwater detention basin in the Tipler Middle School fields. The Scope of Services provides design services for the improvements and stormwater quantity modeling in support of the improvements. Scope of Services Topographic Survey Services ENGINEER will provide topographic survey services for the PROJECT areas. The survey will be in the National Geodetic Vertical Datum (NGVD) 1929 vertical datum and the State Plane South Coordinate System. Before beginning the survey, Diggers Hotline will be contacted to have the design - related survey areas marked for utilities. A surface model utilizing 1 -foot contours will be generated from the survey. The surface model will be exported via LandXML protocols. For all areas listed below where stormwater improvement design is anticipated, the survey will consist of surveying utilities, topography, trees, house corners, visible property irons, and other relevant information necessary to complete the design. Utilities will be measured to obtain sizes, materials, and elevations. At utility crossings at least one structure on each side of the crossing shall be surveyed to review elevations at the crossing. Tipler Middle School grounds including athletic fields, buildings and parking lots. 3. South Westfield from 5th Avenue intersection north to the cul -de -sac (50 -foot cross sections within right -of -way). This will also include two parcels to the north and south of the existing storm sewer crossing on both sides of Westfield Street and the area between Landmark Plaza east building and rear yards along South Westfield. 4. Storm sewer mainline added to the XPSWMM Model under Scope of Services la. and lb. of the Agreement for Predesign Services for Tipler and Landmark Plaza Stormwater Improvements dated October 13, 2008. 5. Landmark Plaza parking lot, storm sewer (it is our understanding that the proposed storm sewer improvements by Landmark Plaza have been constructed), first floor elevations, and overland drainage ways. 6. Campbell Creek ditch and mainline storm sewer from Washburn Street to South Westfield Street, Existing Conditions Hydrologic and Hydraulic Modeling Services 1. Incorporate new survey data (excluding Landmark Plaza upgrades)into the revised XPSWMM model created from the Agreement for Predesign Services for Tipler and Landmark Plaza Stormwater Improvements dated October 13, 2008. 2. Provide XPSWMM model runs for the 1 -, 2 -, 5 -, 10 -, 25 -, 50 -, 100 -year, 2 -hour duration storm events for the revised model incorporating the new survey data. 3. Provide XPSWMM model run for the June 12 and June 13, 2008, rainfall and antecedent moisture conditions and incorporating the new survey data. Provide a table documenting model results at Landmark Plaza and South Westfield Street. Proposed Conditions Hvdrolo2ic and Hvdraulic Modeling Services 1. Provide modeling for the 10 -, 25 -, and 100 -year, 2 -hour duration storm events to assess a means of conveyance from South Koeller Street to the Tipler Middle School Detention Basin. This modeling will be based on one of two options: (1) enclosed piping system or (2) open vegetated swale. Provide a table showing the effects of each option. Engineer will discuss these options with OWNER for preference before proceeding with the remaining scope items, 2. Update the proposed condition XPSWMM model to incorporate the current version of the following: Tipler Detention, conveyance upgrades from Washburn Street through Landmark Plaza to the Tipler Detention, Landmark Plaza upgrades from 2008 construction, proposed Wisconsin Department of Transportation storm sewer design for USH 41, and chosen means of conveyance between the enclosed pipe or vegetated swale analysis. All other aspects of Alternative 13B from the draft report will not be incorporated. 3. Provide XPSWMM model runs for the 1 -, 2 -, 5 -, 10 -, 25 -, 50 -, 100 -year, 2 -hour and 100 -yr 12 -hour duration storm events with the proposed model. 4. Provide XPSWMM model run for the June 12 and June 13, 2008, rainfall and antecedent moisture conditions with the proposed model. Provide a table documenting model results at Landmark Plaza and South Westfield Street and compare with the existing conditions hydrologic and hydraulic modeling results. E N G I N E E R S Provide a table showing the peak water surface elevations in the Tipler Detention Pond for all design storms modeled. Design Services Design services, including drawings and specifications for the stormwater conveyance improvements from Koeller Street to the east side of Landmark Plaza, from Landmark Plaza to Tipler Middle School fields and for the Tipler Middle School Detention Basin, will include a cover sheet, existing survey sheet, access plan, grading plan, cross section sheets of the ditch from Koeller Street through Landmark Plaza, plan and profile sheets from Washburn Street to the Tipler Middle School Detention Basin, two utility plan sheets, detail sheets, erosion control plan, and restoration plan. Coordinate with OWNER for the design of the Tipler Detention Basin and conveyance system upgrades from Washburn Street through Landmark Plaza to the Tipler Detention Basin. The final layout of Tipler Pond shall include a handicap accessible ramp within the eastern side slope of the pond. 1. The design drawings shall be printed on 22 -inch by 34 -inch paper, 2. Plan and Profile sheets shall be 20 and 2 scale and all other plan sheets shall be scaled based on a best fit approach. 3. Applicable OWNER design drawings standards and standard detail drawings will be incorporated into the drawings. 4. The specifications will be developed using OWNER'S Standard Specifications. This also includes all Special Conditions and the Bid Proposal. 5. Table of quantities on each drawing as appropriate. A Wisconsin Department of Natural Resources (WDNR) consolidated construction site permit application will be prepared and submitted to OWNER for signature and submittal. It is ENGINEER's understanding there are no Chapter 30 or wetland issues related to this PROJECT. ENGINEER will prepare and submit prevailing wage rate determination. OWNER will pay all applicable fees. ENGINEER will prepare 60 percent, 90 percent, and final bid documents. An opinion of probable construction cost will be prepared based on the 90 percent bid documents. Bidding - Related Services ENGINEER will assist OWNER'S personnel during the project's bidding phase by answering bidder questions and preparing addenda. Meeting; and Administration Services ENGINEER will prepare for and attend the following meetings. a. Meeting No. 1— Kickoff Meeting. b. Meeting No. 2— Design Meeting. C. Meeting No. 3— Presentation to Stormwater Utility Committee or Common Council or additional design coordination. E N G I N E E R S 2. ENGINEER will provide the following to OWNER: a. Final design in AutoCAD 2005 format for staking purposes. b. AutoCAD 2005 format survey files. Utility lines and structures will be provided on separately named layers in accordance with OWNER- provided layering conventions. C. LandXML export of surface model. d, Full -size and half -size copies of the final drawings in PDF format and the specifications in Word format will be submitted to OWNER for OWNER distribution to contractors. Service Elements Not Included The following services are not included in this Agreement. If such services are required, they shall be provided as noted. 1. Appraisals The compensation does not include the cost for completing appraisals. 2. Archaeological Investigations The compensation does not include the cost for archaeological investigations. If required, OWNER shall contract directly with an archaeological firm for these services, Bidding and Construction - Related Services Bidding and construction - related services for the PROJECT shall require a separate agreement with OWNER. OWNER will provide for bid opening attendance, bid tabulations, and distribution of drawings and specifications to contractors. 4. Easement Acquisition- Related and /or Land Acquisition Services If required, services of this type shall be provided through an amendment to this Agreement. 5. Permit and Plan Review Fees All permit and plan review fees payable to regulatory agencies shall be paid for by OWNER. 6. Preparation for and /or Appearance in Litigation on Behalf of OWNER Any services of this type required to be provided by ENGINEER shall be provided through a separate agreement with OWNER. 7. Record Drawings ENGINEER shall not be liable for the accuracy of the record drawing information provided by contractor and OWNER. 8. Revising Designs, Drawings, Specifications, and Documents Any services required after these items have been previously approved by state or federal regulatory agencies, because of a change in PROJECT scope or where such revisions are necessary to comply with changed state and federal regulations that are put in force after Services have been partially completed, shall be provided for by an amendment to this Agreement. 9. Services Furnished During Readvertisement for Bids, if Ordered by OWNER If a Contract is not awarded pursuant to the original bids, any services of this type shall be provided for by an amendment to this Agreement. 10. Soil Borings The compensation does not include the cost for soil borings. Structural Engineering Any service required beyond that for outlet structure design and handicap accessible ramp into Tipler Pond shall be provided by an amendment to this Agreement. 12. Sta Plan The compensation does not include the cost to provide a staking plan. Compensation OWNER shall compensate ENGINEER for Services on an hourly rate basis for a limiting fee of $102,220. Hourly billing rates are adjusted annually on July 1 and are currently as follows: Principal Engineer Senior Project Manager Project Managers Project Engineers and Scientists Engineering Technicians and Draftspersons Office Production Hourly Billing Rates $204 to $321 $135 to $249 $ 66to$161 $ 51 to $110 $ 39 to $104 $ 63 Average Expenses incurred such as travel, meals, printing, postage, copies, computer, electronic communication, and long distance telephone calls shall be billed at actual cost plus 10 percent. ENGINEER's wage scales are adjusted annually on July 1. The fees as indicated above include a wage scale that assumes the Services being completed by June 30, 2009. Only sales taxes or other taxes on Services that are in effect at the time this Agreement is executed are included in the Compensation. If the tax laws are subsequently changed by legislation during the life of this Agreement, this Agreement shall be adjusted to reflect the net change. The limiting fees shall not be exceeded without prior notice to and agreement by OWNER but may be adjusted for time delays, time extensions, amendments, and changes in the Scope of Services. Any adjustment shall be negotiated based on ENGINEER's increase in costs caused by delays, extensions, amendments, or changes. Schedule Services identified under Scope of Services are anticipated to be provided beginning on February 23, 2009, and ending on May 26, 2009, Standard of Care The Standard of Care for all services performed or furnished by ENGINEER under this Agreement will be the care and skill ordinarily used by members of ENGINEER's profession practicing under similar circumstances at the same time and in the same locality. E N G I N E E R S City of Oshkosh Page 6 February 23, 2009 Owner's Responsibilities Assist ENGINEER by placing at its disposal all available information pertinent to the design including previous reports, soils data, construction drawings, best - available stormwater facility mapping, stormwater plans, land use maps /plans, zoning maps, impervious /pervious area maps, water quality models, and any other relative data. 2. Review all reports, sketches, drawings, and other documents presented by ENGINEER and render, in writing, decisions pertaining thereto within a reasonable time so as not to delay ENGINEER's performance. 3. Provide ENGINEER with CAD standards, plan sheet standards, and specification boiler plate for mark up. 4. Provide latest concept plan for Tipler detention that has been prepared by OWNER in CAD format. 5. Provide bidding and construction administration, distribution of plan sets, bid tab and bid opening attendance, staking, observation, and general administration. 6. Provide ENGINEER with soil boring report and boring logs. OWNER shall discuss location of borings, number of boring, and desired report recommendations with ENGINEER. Opinion of Cost Any opinions of cost prepared by ENGINEER are supplied for general guidance of OWNER only. ENGINEER has no control over competitive bidding or market conditions and cannot guarantee the accuracy of such opinions as compared to contract bids or actual costs to OWNER. Extension of Services This Agreement may be extended for additional services upon authorization by OWNER. Extension of Services shall be provided either on a lump sum fee or an hourly rate basis plus expenses. Payment OWNER shall make monthly payments to ENGINEER for Services performed in the preceding month. Nonpayment 30 days after the date of receipt of ENGINEER's invoice may, at ENGINEER's option, result in assessment of a 1 percent per month carrying charge on the unpaid balance. Data Provided by Others ENGINEER is not responsible for the quality or accuracy of data nor for the methods used in the acquisition or development of any such data where such data is provided by or through OWNER, contractor, or others to ENGINEER and where ENGINEER's Services are to be based upon such data. Such data includes, but is not limited to, soil borings, groundwater data, chemical analyses, geotechnical testing, reports, calculations, designs, drawings, specifications, record drawings, contractor's marked -up drawings, and topographical surveys. E N G I N E E R S City of Oshkosh Page 7 February 23, 2009 Termination This Agreement may be terminated with cause in whole or in part in writing by either party subject to a two -week notice and the right of the party being terminated to meet and discuss the termination before the termination takes place. ENGINEER shall be paid for all completed or obligated Services up to the date of termination. Dispute Resolution Except as may be otherwise provided in this Agreement, all claims, counterclaims, disputes, and other matters in question between OWNER and ENGINEER arising out of or relating to this Agreement or the breach thereof shall be decided by mediation.
