PURPOSE: APPROVE MEMORANDUM OF UNDERSTANDING FOR SIGNAGE
INSTALLATION AND REMOVAL IN CONJUNCTION WITH EAA'S
AIRVENTURE
INITIATED BY: TRANSPORTATION DEPARTMENT
WHEREAS the Experimental Aircraft Association's (EAA) annual AirVenture
Convention attracts numerous visitors to the City of Oshkosh, providing a significant
benefit to the city; and
WHEREAS the City and EAA have worked cooperatively over many years to
manage the impacts of EAA- related traffic on City streets,
NOW THEREFORE BE IT RESOLVED by the Common Council of the City of
Oshkosh that the attached agreement between the City of Oshkosh and EAA for
signage related to the AirVenture Convention is hereby approved and the proper City
officials are hereby authorized to execute and deliver the agreement in substantially the
same form as attached hereto, any changes in the execution copy being deemed
approved by their respective signatures, and said City officials are authorized and
directed to take those steps necessary to implement the terms and conditions of the
Agreement.

SIGNAGE PLAN AGREEMENT
2009-2010
This Agreement is made by and between the City of Oshkosh (hereinafter referred to as
the "City ") and Experimental Aircraft Association, Inc. ( "EAA "), and governs signage
related to EAA's annual AirVenture convention (hereinafter referred to as "AirVenture ").
In exchange for the mutual agreements stated below, and other good and valuable
consideration, the parties agree as follows:
1. The parties have developed an AirVenture Signage Plan ( "Plan "), attached
hereto as Attachment A, which is intended to help in the management of traffic
on City streets during AirVenture- related traffic detours. The City has taken the
lead role in developing the Plan, with substantive input from EAA. The Plan
encompasses warning, regulatory and guidance signage on City right -of -way
which supplements and /or replaces existing signage. The Plan designates the
specific locations of signage, the dates /times when signs should be visible, and
the size and content of signs to be mounted at each location. The definitions for
"warning" and "regulatory" and "guidance" signage are those defined in Part 2 of
the Manual on Uniform Traffic Control Devices ( MUTCD).
2. The City's Transportation Department will be responsible for reviewing the plan
to ensure that it is compliant with all applicable Federal, State, City and County
standards.
3. Either party may propose changes to the Plan. Any deviations from the Plan
must be approved by the Transportation Department no fewer than thirty (30)
days prior to the date of planned installation.
4. Any regulatory and guidance signage included in the Plan will be installed and
removed by the City's Transportation Department (Sign Division) at no charge to
EAA. The City agrees to install signage as indicated in the Plan at least three (3)
days prior to the start of the event. The City agrees to remove this signage within
three (3) days after the conclusion of the event.
5. Both parties agree that any signage used in implementing the Plan shall comply
with all appropriate MUTCD requirements regarding sign dimensions, height,
placement, colors, text height, and retroreflectivity. In addition, both parties agree
that any signage used in implementing the Plan shall be installed in the same
manner and shall use the same or similar material as other signs used by the
City of Oshkosh for normal regulatory and guidance purposes.
6. All signage used in implementing the Plan that was fabricated prior to the
effective date of this agreement is owned by the City of Oshkosh. All signage
used in implementing the Plan that is fabricated on or after the effective date of
this Agreement will be owned by the party which pays for the manufacture of the
sign.
7. The City agrees to upgrade any warning or regulatory signage associated with
AirVenture if the signage is damaged or if it falls below MUTCD standards for
retroreflectivity.
8. EAA agrees to upgrade any guidance signage associated with AirVenture if the
signage is damaged or if it falls below MUTCD standards for retroreflectivity. EAA
will purchase new guidance signage, if any is required, from a non -City (i.e. third
party) source.
9. EAA agrees to provide indoor storage for all signage related specifically to the
AirVenture.
10. The term of this Agreement shall be for calendar year 2009 through the end of
calendar year 2010.
11. The City warrants that is has the authority to enter into this Agreement and that
any approvals required of and by the City of Oshkosh have been obtained and
are valid for the full term of this Agreement.
The parties have executed this Agreement as of the day of ,

RE: RESOLUTION FOR SIGNAGE PLAN AGREEMENT BETWEEN
EXPERIMENTAL AIRCRAFT ASSOCIATION, INC. AND CITY OF
OSHKOSH
The Experimental Aircraft Association's (EAA) annual AirVenture convention creates a
significant traffic impact on our community. The City has worked successfully with EAA over
many years to fabricate, install and remove signage that helps to manage traffic flow on city
streets during the convention. This working relationship has developed over time without a
formal structure.
It is important to establish a more formal relationship with EAA regarding AirVenture signage
for a couple of reasons. First, the agreement serves to document the areas of responsibility for
each party, which can hopefully help to address any future conflicts that might arise in regard to
traffic management. Second, forthcoming standards on signage visibility and retroreflectivity
require a more comprehensive process of managing all of our roadway signage. This agreement
supports our efforts to meet that requirement.
Under this agreement, the City assumes no new areas of responsibility and no additional costs
beyond what has been experienced in previous years.
Because this formal structure is new, the agreement is structured to last for only two years. If this
is successful, I anticipate that we would seek to renew this agreement in subsequent years.
