INITIATED BY: PUBLIC WORKS DEPARTMENT BE IT RESOLVED by the Common Council of the City of Oshkosh that the attached Amendment to Testing Agreement for analysis work for the City's pretreatment program is hereby approved and the proper City officials are hereby authorized to execute and deliver the Amendment to Testing Agreement in substantially the same form as attached hereto, any changes in the execution copy being deemed approved by their respective signatures, and said City officials are authorized and directed to take those steps necessary to implement the terms and conditions of the Agreement. Brand, Utilities Superintendent DATE: April 7, 2009 RE: Amendment to Contract 06 -07 Sampling and Analysis of Industrial Wastewater by Badger Laboratories and Engineering, BACKGROUND Badger Laboratories was awarded contract No. 06 -07 to provide industrial wastewater discharge sampling. and analysis in April 2006. The Wisconsin Department of Natural Resources requires that discharges from industry to the public sanitary sewers be monitored to prevent the discharge of wastes that can interfere with treatment processes at the wastewater treatment plant. The costs ;of the program are billed. to the local industries for the required sampling and testing. Badger Laboratories. is requesting a two year extension on the current contract. ANALYSIS This is a: unit price contract based on the test and sampling requirements which are unique to each industry. The industry is charged only for the individual sampling and tests that are required. In 2009 there is no increase in cost proposed. to 2010 the proposal increases prices for parameters a,b,k,n,and x by $1.00 and parameters r,y, and z by $2.00. Based on our experience with our in house laboratory testing program this is a reasonable proposal. This increase is estimated to be approximately 2% for the second year of this contract extension. (See attached) FISCAL IMPACT Funds are available in the Sewer Utility Pre - Treatment Professional Services account. Industrial Wastewater Contract 06 -07 Extension for 2009 -2011 Dear Steve: This letter is to confirm our phone conversation of 3-4 -09 on the contract referenced above. Badger Laboratories & Engineering, Inc. respectfully requests the City consider extending our current contract for an additional 2 -year period. As discussed, we are willing to maintain the pricing at the current rates for the first year of the agreement (4/1/09 - 3/31/10). At the beginning of the second year (4/1/10- 3/31/11) we would adjust certain of the unit prices for a maximum (overall) contract increase of 2 %. I have enclosed two Unit Price Sheets. The first is a price sheet for the first year (4/1/09- 3/31//10) indicating no changes to unit prices on the project. The second, headed "Contract Year 4/1/10- 3/31/11" indicates the changed unit prices for selected items. Using the adjusted unit prices, the industrial monitoring list, and testing frequencies provided by Rich Wood, the overall increase is no more than 2% in year two. Composite FP samples z 10.00 ** (Provide flow / sample chart) * ** Confined Space Entry obligation of contractor AMENDMENT TO TESTING AGREEMENT WHEREAS, the Common Council for the City of Oshkosh at their meeting on April 14, 2009, Resolution #09 -103, authorized and directed the proper City Officials to enter into an appropriate agreement and extensions thereto with Badger Laboratories & Engineering for sampling and analysis work for the City's pretreatment program; and WHEREAS, Badger Laboratories has requested renewal of the agreement for a period of two (2) years, with no increase in price for the first year (4/1/09- 3/31/10) and at the beginning of the second year (4/1/10- 3/31/11) an adjustment of certain of the unit prices for a maximum (overall) contract increase of 2% per the attached Exhibit A.; and WHEREAS, it is financially advantageous to the City of Oshkosh to extend the agreement on those terms. NOW, THEREFORE, IT IS AGREED by and between the parties that the Agreement between these parties is hereby amended as follows: 1. That the term of the Agreement shall be amended to end on March 31, 2011. 2. That in accordance with the previous agreement and amendments thereto, the costs for all unit prices shall be amended as per the attached Exhibit A, with no increase for the first year 4/1/09 - 3/31/10 and at the beginning of the second year (4/1/10- 3/31/11) an adjustment of certain of the unit prices for a maximum (overall) contract increase of 2 %. 3. That all rights and responsibilities under the original Agreement and amendments thereto between these parties not specifically amended by this amendment shall remain in effect.
