AGREEMENT

4; mpact Motor Sports, 2230 Plymouth St., Oshkosh, WI 54901, hereinafter called "Impact ",
and the City of Oshkosh, a municipal corporation, hereinafter called "City ".
WHEREAS, Impact has requested the City provide a dedicated paramedic ambulance for
stand -by during specified hours of the 2008 Speed Zone Raceway, and
WHEREAS, the Common Council for the City of Oshkosh has authorized the appropriate
City officials to enter into such an agreement.
IT IS AGREED by and between the parties that the City shall provide one (1) two - person
paramedic ambulance to be present at the Speed Zone Raceway, Winnebago County Expo Center &
Fair Grounds during Auto Racing on April 19, 25; May 2, 9, 10, 16, 23, 30, &,)C; June 7, 13, 14, 20,
& 27; July 4, 18, 22, 25, 26, & 27; August 1, 5, 15, 22, 23, & 29; September 5, 12, & 20; and
October 18, 2008 between the hours listed on attached schedule to include one -half hour past the end
of the race. The role of this unit shall be to provide Basic Life Support (BLS) and Advance Life
Support (ALS) for emergencies, if they occur. Emergencies requiring a response beyond the
capabilities of the unit on scene will be supplemented by a response of on -duty resources.
IT IS FURTHER AGREED, that Impact shall pay $70.00 per hour for the ambulance:. Billed

time will include 30 minutes before and after the standby for travel and setup. A three hour minimum
will be charged if the event is not cancelled at least 12 hours prior to the scheduled start time. Pre -
event cancellation shall be made by calling 920- 236 -5271.
The City shall invoice Impact following the event, with payment to be made within 30 days
of receipt of invoice.
All patients requiring transport by the Oshkosh Fire Department ambulance will be billed for
services rendered according to the City's usual and customary procedures and rates for service.
Impact shall indemnify and save harmless the City from and against any and all losses,
claims, demands, penalties, fines, causes of action, costs, damages, expenses and liability, including
without limitation any attorney or consultant fees, investigation fees, court costs and litigation
expenses, and other costs of defense arising out of or in any manner related to Impact's operation of
the Event, including but not limited to:
A. ' Any personal injury or bodily injury (including wrongful death) or property damage
(real or personal);
B. Any lawsuit brought or threatened, settlement reached, or local, state, or federal
government or agency order, including, but not limited to claims, costs, liabilities, or

expenses arising under federal, state, or local law;
C. Any violation of laws, orders, regulations, requirements, or demands of any
governmental authorities; and,
D. Any breach or violation of any contractual provision of whatever kind with any third
party.
This agreement shall terminate upon Impact and City's completion of their obligations hereunder.

during the Concur the Cage Event on Saturday, March 29 from: 7:00 p.m. to 11 1.30 p.m. The
pararnedic unit shall be pn'mahly responsible for providing first aid and r--spor�sc to medical

IT ISTURTHER, AGREED that CAGE Shall pay $70 per. hour for the ambutance. Billed
time will commence 30 minutes prior to the start of stand -by and end 30 minutes after the
