THIS GRANT OF BASEMENTS mndethisKday of April, 2007 by and between
Bros, LLC, a Wisconsin limited liability company (hereinafter referred to as "Grantor")t .
Bros, LLC, J&JRiverside Properties, LLC, and :pro David R. Harry (hereinafter
referred to as "Grantees") (collectively referred to lIS the npartiesn).
RECITALS
1. WHEREAS, Grantees are the owners in fee simple of the parcels identified in
Exhibit A and shown in Exhibit:8;
2. WHEREAS, Grantor is the ovvner in fee simple of an adjoining parcel consisting
mostly of parking lot as shovvn in Exhibit B and described in attached Exhibit Ct
and;
3. WHEREAS, theParUes desire to establish easements for the ingress, egress, and
parking on and across the land of the Grantor.
AGREEMENT
NOW, THEREFORE, in consideration of the mutual covenants contaiJ!.ed herein. One
Dollar ($1.00) from each Grantee, and other good and valuable consideration, the
sufficiency and re-ceipt of which is hereby acknowledged, the Parties agree 8; fol1ows~
1. Grantor hereby grants unto each Grantee and its tenants~ invirees, customers, heirs
and assigns, a perpetual non..exclusive easement for ingress and egi-ess over and
across Gtantor's property, more specifically shown, outUne~ and described in
Exhibits B and C.
2. Grantor also hereby grants unto each Grantee and its tenants.invitees, customers,
heirs and assigns, a perpetual non-exclusIve easement to enter upon lUld use the
parking spaces located on Grantor's property, more specifically shown, outlined,
and.described in E,roIbitsB and C.
3. Each of the Parties warrant and represent that they have good and marketable title
to their resp~tive parcels. subject only to mortgages conveyed to the mortgagees
executing this document.
4. It is understoqd and agreed that other parties bave entrances and exits across the
parking area that sball continue to exist and it is agreed iliat neither party will
obstruct the ingress or egress to any buildings which have enfumces or exits going
into the parking areas.

5. Grantor shall be responsible fOf maintaining in good condition and repair the
parking easement area loca!ed on its respective properties.
6. Easements conveyed.and granted herein shall run with the land and shall run to
the benefit of each Orantee and its. respective tenants, invitees, heirs,exeoutors,
administrators, successors and assigns, the termS hereof shall be binding on the
heits, successors and assigns of Grantor. The undersigned mortgages,ifany, of
Grantee and . Orantor are signing this agr:eement for the purposes of expressly -
consenting to the easement.
7. This Agreement contains the entire agreement of the parties with respect to its
subject matter, all contemporaneous and prior negotiations having been merged in
this Agreement This Agreement may be modified or amended only by written
instrument signed by both parties.
8. This Agreement may be executed simultaneously-in one or more counterparts, -
each of which shall be deemed an original, but all ofwbicb together shall
(:onstitute one and the same instrument.
9. This Agreemep.t sball.be governed by and interpreted and construed in accordance
with the laws of the State of Wisconsin. In the event of any dispute! the venue for
any litigation sball be the Cireuit Courts of Winne bag 0 County, Wisconsin, which
is the county of the principal officeS of Seller.
10. If any provision oftbis Agreement is adjudicated invalid or unenforceable, it shall
be judiciaHy amended in such fashion as to render the provision valid and
enforceable, and to reflect, to the extent possible, the original intent of the parties.
If any provision of this Agreement is amended or strick.en as a result of its
invalidity or unenforceability, such amendment or deletion shall not affect the
remaining provisions of this Agreement

THIS GRANT OFEASEMENT made this 10th day of August, 2007 by and between
Bridgeview Holdings, LLC, a Wisconsin limited liability company (hereinafter referred to
as "Orootorl1) and Bros, LLC, J&J Riverside Properties, LLC, and Dr. Davjd R. Harry
(hereinafter referred to as "Orantees") (coUectiveIy referred to as the "Partiesn).
RECITALS
1. WHEREAS, Grantees are the owners in fee simple of the parcels described in
Exhibit A of this Agreement and shown in Exhibit C;
2. WHEREAS, Grantor is the oWner in fee simple of an adjoining parcel as
described in Exhibit B.and shown in Exhibit c;
3. WHEREAS, as part ora real estate purchase agreement Grantor agreed to
construct and maintain the parking lot areas shown on Exhibit 0; and
4. WHEREAS. the Parties desire to establish easements for the ingress, egress, and

other good and valuable consideration, the sufficiency and receipt of which is hereby

across Grantor's property, more specifically shown, outlined, and described in

and assigns, a perpetual non-exclusive easement to enter upon and use the parking
spaces located on Grantor's property, more specifically shown. .outlined, and
described in Exhibits B, C, and D.
3. Each of the Parties warrant and represent that they have good and marketable title
to their respective parcels, subject only to mortgages conveyed to the mortgagees
executing this document.
