Memorandum of Development Agreement
L This Memorandum of Deve~opment Agreemen: is ma~e and ~ntere~ into t~i~ 3"~ay of
1Ju.v5l.., 2007, by and between the CIty of Oshkosh, WISCOnSIn, a WISCOnSIn munIcIpal
, dJPoration ("City"), and Health Care REIT, Inc., a Delaware corporation ("Owner"), and
CRL, LLC, an Illinois limited liability company ("Developer"), and consented to by Health
Care REIT, Inc., a Delaware corporation ("Owner").
Ii . iWhereas, City and Developer entered into a certain Development Agreement dated as of
ttViilJf"".3 ,2007, as amended, if amended, which Development Agreement was acknowledged
an consented to by Owner (collectIvely, the "Development Agreement") wIth respect to Lot 2
of Certified Survey Map No. 6103, as shown on Exhibit A attached hereto and all improvements
located thereon (the "Property"); and
Whereas, City and Developer want to place a Memorandum of Development Agreement
of record in the real estate records for Winnebago County, Wisconsin, providing notice to third
parties of the Development Agreement.
Now, Therefore, for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, it is agreed as follows:
1. Notice is hereby given that the City and the Developer have executed the
Development Agreement affecting the Property and the Owner has acknowledged and consented
to said Development Agreement. Until termination of the Development Agreement, the
Development Agreement runs with the Property and is binding upon the Property and any
owner, lessee, occupant and/or mortgagee of all or any portions ofthe Property and their
successors and assigns. The Development Agreement imposes certain obligations, liabilities and
restrictions on the owners, lessees, occupants and/or mortgagees of all or any portions of the
Property.
2. The term ofthe Development Agreement commences on the date hereof and
terminates upon the expiration of the maximum statutory life of Oshkosh Tax Increment District
No. 14.
3. The terms, conditions and other provisions of the Development Agreement are s<;:t
forth in the Development Agreement, express reference to which is made for greater particularity
as to the terms, conditions and provisions thereof. A copy of the Development Agreement is
available upon request from the City at the offices of the City Clerk.
4. This Memorandum is not a complete summary of the Development Agreement.
Provisions in this Memorandum shall not be used in interpreting the provisions of the
Development Agreement. In the event of conflict between this Memorandum and the
unrecorded Development Agreement, the unrecorded Development Agreement shall control.
5. This Memorandum shall be binding upon the parties hereto and their successors
and assigns and shall run with the Property.

6. Notice is given that the boundaries of Lot 2 of Certified Survey Map No. 6103
may change in the future as shown on the certified survey map attached hereto as Exhibit B.
Upon recording of the certified survey map attached hereto as Exhibit B, automatically, without
need of any further document or instrument, this Memorandum of Development Agreement shall
be modified such that the term "Property" shall mean the land shown as Lot 2 of the certified
survey map attached hereto as Exhibit B and all improvements located and to be located thereon.

Memorandum of Development Agreement
This Memorandum of Development Agreement is made and entered into this ~ rt\iay
of~I4"i\AJ;007, by and between the City of Oshkosh, Wisconsin, a Wisconsin municipal
co~o~ ("City"), and Parkside Place, LLC, an Illinois limited liability company ("Owner").
Whereas, Owner and City entered into a certain Development Agreement dated as of
.. llSt 3 ,2007, as amended, if amended (collectively, the "Development Agreement") with
res ect to Lot 1 of Certified Survey Map No. 6103, as shown on Exhibit A attached hereto, and
all improvements located thereon (the "Property"); and
Whereas, Owner and City want to place a Memorandum of Development Agreement of
record in the real estate records for Winnebago County, Wisconsin, providing notice to third
parties of the Development Agreement.
Now, Therefore, for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, it is agreed as follows:
1. Notice is hereby given that Owner and the City have executed the Development
Agreement affecting the Property. Until termination ofthe Development Agreement, the
Development Agreement runs with the Property and is binding upon the Property and any owner,
lessee, occupant and/or mortgagee of all or any portions of the Property and their successors and
assigns. The Development Agreement imposes certain obligations, liabilities and restrictions on
the owners, lessees, occupants and/or mortgagees of all or any portions of the Property.
2. The term of the Development Agreement commences on the date hereof and
terminates upon the expiration of the maximum statutory life of Oshkosh Tax Increment District
No. 14.
3. The terms, conditions and other provisions of the Development Agreement are set
forth in the Development Agreement, express reference to which is made for greater particularity
as to the terms, conditions and provisions thereof. A copy of the Development Agreement is
available upon request from the City at the offices of the City Clerk.
4. This Memorandum is not a complete summary of the Development Agreement.
Provisions in this Memorandum shall not be used in interpreting the provisions of the
Development Agreement. In the event of conflict between this Memorandum and the
unrecorded Development Agreement, the unrecorded Development Agreement shall control.
5. This Memorandum shall be binding upon the parties hereto and their successors
and assigns and shall run with the Property.
6. Notice is given that the boundaries of Lot 1 of Certified Survey Map No. 6103
may change in the future as shown on the certified survey map attached hereto as Exhibit B.
Upon recording of the certified survey map attached hereto as Exhibit B, automatically, without
need of any further document or instrument, this Memorandum of Development Agreement shall

be modified such that the term "Property" shall mean the land shown as Lot 1 of the certified
survey map attached hereto as Exhibit B and all improvements located and to be located thereon.

Addendum to Mortgage
This Addendum supplements the terms and conditions of the Mortgage to which it
is attached.
The tenn "Obligations" as used in the Mortgage shall mean all liabilities and
obligations of the Mortgagor under the Development Agreement between Mortgagor and
the Mortgagee, governing the property which is the subject of this Mortgage (the
"Development Agreement").

;\ COVENANT OF TITLE. Mortgagor warrants title to the Property, except restrictions and

thluugh insurers approved by Mortgagee, in the amount of the full replacement value of the improvements on the
PropeI1y Mortgagor shall pay the insurance premiums when due. The policies shall contain the standard mortgage
clause in favor of MOI1gagee, and evidence of all policies covering the Property shall bc provided to Mortgagee.
IVlortgagur shall promptly give notice of loss to insurance companies and Mortgagee. Unless Mortgagor and Mortgagee

olherWI:,e agree in writing, insurance proceeds shall be applied to restoration or repair of the Property damaged, provided
Mortgagee deems the restoration or repair to be economically feasible.
c. OTHER COVENANTS. Mortgagor covenants not to commit waste nor suffer waste to be
committed on the Property, to keep the Property in good condition and repair, to keep the Property free from future
lIens superior to the lien of this Mortgage and to comply with all laws, ordinances and regulations affecting the
ProperlY. Mortgagor shall pay when due all indebtedness which may be or become secured atany time by a mortgage
or other] ien on the Property superior to this Mortgage and any failure to do so shall constitute a default under this
MOI1gage.
2 DEFAULT AND REMEDIES. Mortgagor agrees that time is of the essence with respect to payment of
pnncipal and intere:Jt when due, and in the performance of the terms, conditions and covenants contained herein or in the
Ohl1gation~ secured hereby. In the event of default, Mortgagee may, at its option, declare the whole amount of the

4. EXPENSES AND ATTORNEY FEES. In case of default, whether abated or not, all costs and expenses,
including, but not limited to, reasonable attorney fees, to the extent not prohibited by law shall be added to the

5. FORECLOSURE WITHOUT DEFICIENCY. Mortgagor agrees to the provisions of Scctions 846.101 and
k46. ]03, Wis Stats., as may apply to the Property and as may be amended, permitting Mortgagcc in the event of
f(lrecl()sure to waive the right to judgment for deficiency and hold the foreclosure sale within the time provided in
such applicable Section.
6 RECEIVER. Upon default or during the pendency of any action to foreclose this Mortgage, Mortgagor
consents to the appointment of a receiver of the Property, including homestead interest, to collect the rents, issues and
profits Dr the Property during the pendency of such an action, and such rents, issues and profits when so collected
s ila II be held and applied as the court shall direct,
7 WAIVER Mortgagee may waive any default without waiving any other subsequent or prior default by
t\lortgagof.
g. MORTGAGEE MAY CURE DEFAULTS. In the event of any default by Mortgagor of any kind under this
1\1ortgage or any Obligationg secured by this Mortgage, Mortgagee may cure the default and all sums paid by Mortgagee
tiJr such purpose shall immediately be repaid by Mortgagor with interest at the rate then in effect under the Obligation~

l). CONSENT REQUIRED FOR TR~~~SFER. Mortgagor shall not transfer, sell or convey any legal or

10. ASSIGNMENT OF RENTS. Mortgagor hereby transfers and assigns absolutely to Mortgagee, as additional
:se>:urity, all rents, issues and profits which become or remain due (under any form of agreement for use or occupancy
"Jf the Property or any portion thereof), or which were previously collected and remain subject to Mortgagor's control
following any default under this Mortgage or the Obligation~ secured hereby and deli'/81)' of notice of exercise of this
\Js,;ignment by Mortgagee to the tenant or other user(s) of the Property in aceordance with the provisions of Section
7C1<_11, "Vis. Slats., as may be amended. This assignment shall be enforceable with or without appointment of a
re.,;eiver and regardless of Mortgagee's lack of possession of the Property.
J I. ENVIRONMENTAL PROVISION. Mortgagor represents, warrants and covenants to Mortgagee that (a)
during the period of Mortgagor's ownership or use of the Property no substance has been, is or will be present, used,
stured, deposited, treated, recycled or disposed of on, under, in or about the Property in a form, quantity or manner
which if Known to be present on, under, in or about the Property would require clean-up, removal or other remedial
action ("Hazardous Substance") under any federal, state or local laws, regulations, ordinances, codes or rules
("Environmental Laws"); (b) Mortgagor has no knowlcdge, after due inquiry, of any prior use or existence of any
Hazardous Substance on the Property by any prior owner of or person using the Property; (c) without limiting the
generality of the foregoing, Mortgagor has no knowledge, after due inquiry, that the Property contains asbestos,
polychlOrInated biphenyl components ("PCBs") or underground storage tanks; (d) there are no conditions existing
currcnt Iy or likely to exist during the term of this Mortgage which would subject Mortgagor to any damages,
pennlties. injunctive relief or clean-up costs in any governmental or regulatory action or third-party claims relating to
allY Hazardous Substance; (e) Mortgagor is not subject to any court or administrative proceeding, judgment, decree,
order or CItation relating to any Hazardous Substance; and (f) Mortgagor in the past has been, at the present is and in
the future will remain in compliance with all Environmental Laws. Mortgagor shall indemnify and hold harmless

whatsoever directly or indirectly resulting from, arising out of or based upon (i) the presence, use, storage, deposit,
treatment. recycling or disposal, at any time, of any Hazardous Substance on, under, in or about the Property, or the
transp(lrtation of any Hazardous Substance to or from the Property, (ii) the violation or alleged violation of any
Fnvironmental Law, permit, judgment or license relating to the presence, use, storage, deposit, treatment, recycling or
dlspos,d \)f any Hazardous Substance on, under, in or about the Property, or the transportation of any Hazardous
Substance to or from the Property, or (iii) the imposition of any governmental lien for the recovery of environmental
c ean-up costs expended under any Environmental Law. Mortgagor shall immediately notify Mortgagee in writing of
any govenunental or regulatory action or third-party claim instituted or threatened in connection with any Hazardous
Substance on, in, under or about the Property.
12 SECURITY INTEREST ON FIXTURES. To further secure the payment and performance of the
Obligation, MOl1gagor hereby grants to Mortgagee a security interest in:

Addendum to Morteage
This Addendum supplements the terms and conditions of the Mortgage to which it
is attached_
The term "Obligations" as used in the Mortgage shall mean all liabilities and
obligatIOns of Parkside Place, LLC, an Illinois limited liability company under the
Development Agreement between Paikside Place, LLC and the Mortgagee, governing the
