AGREEMENT
CITY OF OSHKOSH AND WINNEBAGO COUNTY FAIR ASSOCIATION
PARAMEDIC AMBULANCE STAND-BY
Winnebago County Fair - August 8, - 12, 2007
THIS AGREEMENT made and entered into this L day of~6u~r 2007, by and
between Winnebago County Fair Association, Tom Egan, 3017 State Rd 116, Omro WI 54963,
hereinafter called "WCF A", and the City of Oshkosh, a municipal corporation, hereinafter called
"City".
WHEREAS, WCF A has requested the City provide a dedicated paramedic ambulance for
stand-by during specified hours of the 2007 Winnebago County Fair, and
WHEREAS, the Common Council for the City of Oshkosh has authorized the appropriate
City officials to enter into such an agreement.
IT IS AGREED by and between the parties that the City shall provide one (1) two-person
paramedic ambulance to be present at the Fair Grounds on Wednesday, August 8 between the hours
of7:00 & 10:00 p.m.; Thursday, August 9 between the hoursof7:00 & 11:00 p.m.; and Friday,
August 10 between the hours of7:00 & 10:00 p.m.; and Sunday, August 12 between the hours of
6:00 & 9:00 p.m. The role of this unit shall be to provide Basic Life Support (BLS) and Advance
Life Support (ALS) for emergencies, if they occur. Emergencies requiring a response beyond the
capabilities of the unit on scene will be supplemented by a response of on-duty resources.
IT IS FURTHER AGREED, that WCFA shall pay $65.00 per hour for the ambulance. Billed
time will include 30 minutes before and after the standby for travel and setup. Any additional hours
requested or required to provide adequate service shall be billed to WCF A at the same hourly rate.
A three hour minimum will be charged if the event is not cancelled at least 12 (twelve) hours prior
to the scheduled start time. Pre-event cancellation shall be made by calling 920-236-5271.
The City shall invoice WCF A following the event, with payment to be made within 30 days
of receipt of invoice.
All patients requiring transport by the Oshkosh Fire Department ambulance will be billed for
services rendered according to the City's usual and customary procedures and rates for service.
WCF A shall indemnify and save harmless the City from and against any and all losses,
claims, demands, penalties, fines, causes of action, costs, damages, expenses and liability, including
without limitation any attorney or consultant fees, investigation fees, court costs and litigation
expenses, and other costs of defense arising out of or in any manner related to WCF A operation of
the Event, including but not limited to:
A. Any personal injury or bodily injury (including wrongful death) or property damage
(real or personal);

B. Any lawsuit brought or threatened, settlement reached, or local, state, or federal
government or agency order, including, but not limited to claims, costs, liabilities,
or expenses arising under federal, state, or local law;
C. Any violation of laws, orders, regulations, requirements, or demands of any
governmental authorities; and,
D. Any breach or violation of any contractual provision of whatever kind with any third
party.
This agreement shall terminate upon WCFA and City's completion of their obligations hereunder.
