TIDS AGREEl0ENT m~de and entered into this ~ day of Jui;'2007, by and between
PMI (Cora Haltaufderheid) 1901 'S. Oneida, Green Bay WI 54304, hereinafter called 'WMI", and 1he
City of Oshkosh, a municipal corporation, hereinafter called "CITY".
WHEREAS, PMI has re.luested the CITY to provide a dedicated Paramedic Ambulance
Stand-by, during specified hours' of the Godsmack Concert at Leach Amphitheater.
WIIEREAS, the Common Council for the City of Oshkosh has authorized the appropriate
City officials to enter into such an agreement.
NOW, TIIEREFORE, it is agreed by and between the parties to this agreement that the CITY
shall provide one (1) two-persp.!;, Paramedic Ambulance to be present at the Leach Amphitheater
during the concert, on Saturday~ July 21, 2007 from 7:00 p.m. to 11 :00 p.m. The Paramedic
Ambulance shall be primarily,' responsible for providing first aid and response to medical
emergencies.
IT IS FURTHER AGRE~~D that PM! shall pay $65 per hour for the Paramedic Ambulance.
Billed time will commence 30 n!inutes prior to the start of stand-by and end 30 minutes after the
termination of stand-by. Any adqitiona1 hours requested or required to provide adequate service in
the sole opinion of the Duty Chi;:ffor the City of Oshkosh Fire Department, shall be added to tbe
prescheduled stand-by hours an\i billed at the same hourly rate. If for any reason the event is
cancelled, a three (3) hourminimlm will be charged if the event is not cancelled at least twelve (12)
hours before the scheduled start 1ime.
Pre-event cancellations sk,al1 be made by calling (920) 236-5240, between 8: 00 am. and 4 :30
p.m. Monday through Friday or ~920) 236-5271 at other times.
The CITY shall invoice q/o PMI following the event, with payment to be made within 30
days of receipt of invoice. F ailurj~ to timely pay an invoice shall be a breach of this agreement.
All patients requiring tr~sport by the Oshkosh Fire Department ambulance will be billed fOJr
services rendered according to the CITY's usual and customary procedm-es and rates for service.
PMI shall indenmify and, save harmless the CITY from and against any and all losses,
claims, demands, penalties, fines, causes of action, costs, damages, expenses and liability,
including without limitation any attorney or consultant fees, investigation fees, court costs and
litigation expenses, and other casts of defense arising out of or in any manner related to PMI's
operation during this e~ent> inCll~. but not limi~d to: I
A. Any personal lnJury or bodily illJury (mc1udrng wrongful death) or property damage (real
or personal); I
B. Any lawsuit brought OJ: threatened, settlement reached, or local, state, or federal

government or agency ctder, including, but not limited to claims, costs, liabilities, or
expenses arising under fi~era1, state, or local law;
c.
Any violation of laws, orders, regulations, requirements, or demands of any governmental
authorities; and,
D.
Any breach Or violation c:f any contractual provision of whatever kind with any third party.
