AGREEMENT
CITY OF OSHKOSH AND IMP ACT MOTOR SPORTS
PARAMEDIC AMBULANCE STAND-BY
Speed Zone Raceway - 2006
THIS AGREEMENT made and entered into this ~ day of k'\ I ,2006, by and
between Impact Motor Sports, 2230 Plymonth St., Osbkosh, WI 54901, hereinafter called "Impact",
and the City of Oshkosh, a municipal corporation, hereinafter called "City".
WHEREAS, Impact has requested the City provide a dedicated paramedic ambulance for
stand-by during specified hours ofthe 2006 Speed Zone Raceway, and
WHEREAS, the Common Council for the City of Oshkosh has authorized the appropriate
City officials to enter into such an agreement.
IT IS AGREED by and between the parties that the City shall provide one (1) two-person
paramedic ambulance to be present at the Speed Zone Raceway, Winnebago County Expo Center
& Fair Grounds during Auto Racing on April 15, 22, & 28; May 5,12, 19, & 26; June 2, 6, 9, 16,
& 30; July 14, 19,21, & 28; August 4,8, 18, & 25; September 1, 15, & 16,2006 between the hours
of 1730 ami/until one-half hour past the end of the race. The role of this unit shall be to provide
Basic Life Support (BLS) and Advance Life Support (ALS) for emergencies, if they occur.
Emergencies requiring a response beyond the capabilities ofthe unit on scene willbe supplemented
by a response of on-duty resources.
IT IS FURTIffiR AGREED, that Impact shall pay $65.00 per hour for the ambulance. Billed
time will include 30 minutes before and after the standby for travel and setup. A three hour minimum -
will be charged if the event is not cancelled at least 2 hours prior to the scheduled start time. Pre-
event cancellation shall be made by calling 920-236-5271.
The City shall invoice Impact following the event, with payment to be made within 30 days
of receipt of invoice.
All patients requiring transport by the Oshkosh Fire Department ambulance will be billed for
services rendered according to the City's usual and customary procedures and rates for service.
Impact shall indemnify and save harmless the City from and against any and all losses,
claims, demands, penalties, fines, causes of action, costs, damages, expenses and liability, including
without limitation any attorney or consultant fees, investigation fees, court costs and litigation
expenses, and other costs of defense arising out of or in any manner related to Impact's operation
of the Event, including but not limited to:
A. Any personal injury or bodily injury (including wrongful death) or property damage
(real or personal);
B.
Any lawsuit brought or threatened, settlement reached, or local, state, or federal
government or agency order, including, but not limited to claims, costs, liabilities,

This agreement shall terminate upon Impact and City's completion of their obligations hereunder.
