INTERGOVERNMENTAL AGREEMENT FOR THE CONSTRUCTION
OF SANITARY SEWER BETWEEN THE TOWN OF ALGOMA SANITARY
DISTRICT # 1 AND THE CITY OF OSHKOSH
This agreement is entered into this 11 day of January, 2007, between the Town of Algoma
Sanitary District No.1, a Wisconsin Sanitary District organized pursuant to Chapter 60 of the
Wisconsin Statutes, hereinafter referred to as District and the City of Oshkosh a municipal
corporation within Winnebago County, State of Wisconsin.
Whereas, the City of Oshkosh has existing contract no. 06-08 with LaLonde Contractors
Incorporated related to relocation and installation of sanitary sewers; and
Whereas, the Town of Algoma Sanitary District No.1 owns and operates a sanitary sewer system
including but not limited to an area anticipated to be from metering manhole 602 near station 56
+ 70 extending north and west to highway 21 near station 69 + 65; and
Whereas, the City of Oshkosh has agreed to cause construction of the aforementioned sanitary
sewer through the existing contract with LaLonde Contractors Incorporated per the specifications
as previously approved by the Town of Algoma Sanitary District No. I on or about the 10 day of
August, 2006; it is therefore, in consideration of the mutual promises and agreements between the
parties hereto receipt and sufficiency of which is hereby acknowledged the parties agree as
follows:
1. The City of Oshkosh shall cause through the existing contract with LaLonde
Contractors Incorporated, contract no. 06-08 to cause to be installed per the
specifications previously agreed upon by the parties hereto on or about the 15 day of
August, 2006, sanitary sewer from metering manhole No. 602 near station 56 + 70
extending north and west to highway 21 near station 69 + 65 to the Town of Algoma
Sanitary District No. 1 agrees to reimburse, upon proper billing by the City cost
associated with the afore mentioned construction estimated to be $287,000.00 but
adjusted based upon actual quantities installed.
2. The City specifically agrees to include and cause to be constructed pursuant to their
existing contract with LaLonde Contractors Incorporated the installation of a
specified number of sanitary laterals upstream from the metering manhole. The
District shall be responsible for the cost and expense associated with the installation
of the described laterals. "
3. The District further agrees to pay engineering, design, bidding, and publication costs
incurred by the City for its performance under this agreement. The parties agree to
use the method of using a 12% factor for the total expenses invoiced to the District
for the final total unit bid price determination of the costs and expenses.
4. The City specifically agrees that based upon the district's engineering involving two
six inch drops in the sanitary sewer main to accommodate two metering manhole
stations that the construction shall accommodate the District engineer's specification.
5. Metering manholes shall be located near stations 56 + 70 along Washburn Street and
a second future metering manhole shall be located near State Highway 21 and the
intersection of Washburn Street. The parties hereby acknowledge that the exact
location of the second future metering manhole has yet to be determined whether it

shall be north or south of State Highway 21, but that the City shall locate the same at
a location mutually agreed to by the City and District. Each location shall involve
the installation of a Palmer Bowlus Flume at each metering manhole location.
6. The District shall provide a project representative for observation of the installation
and construction of the sanitary sewer and appurtenances owned and to be operated
by the District.
7. The City shall provide to the District all shop drawings for the metering manhole 602
to the District for its review and comment.
8. The District shall at no charge remove the following statement "for and in
consideration of the payment by grantee of 100% of the cost of relocating all sewer
mains and appurtenances and related costs and other good and valuable
consideration," from the Conveyance Of Rights In Land dated 7/20/2006 and provide
a signed original to the City.
In witness whereof the parties hereto have caused the execution of this agreement by the authority
of their respective governing bodies effective as of the date when each party is affixed their
signatures hereto or otherwise authorized in open session by resolution for the adoption of the
within and foregoing agreement.
