AGRERMENT CITY OF OSHKOSH AND PMI PARAMEDIC AMBULANCE STAND-BY Concert at Leach Amphitheater TIITS AGRliliMENT made and entered into this 12 day of July 2006, by and between PMI (Scott Conldin) 1901 S. Oneida, Green Bay WI 54304, hereinafter called "PM!", and the City of O~hkol'h~ a municipal corporation, hereinafter called (4CITY". WHEREAS, PM! has requested the CITY 10 pTovide a dedicated Paramedic Ambulance Sland-by, during specified hours of me Concert at Leach Amphitheater. WHEREAS, the Common Council fo...- the City of Oshkosh has authorizcd the appropriate City officials to enter into such an agreement. NOW, 'IlIERDFORE, it i~ agreed by and between the parties to this agreement that the crrv shall provide one (1) two-person Paramedic Ambulance to be present at the Leach Amphitheater during the concert, on Monday, July 17, 2006 from 6:00 p.m. to 1] :00 p.m. The Paramedic Ambulance shall be primarily responsible for providing first aid and response to medical emergencies. IT IS fURTHER AGREED that PMI shall pay $65 per hour for the Paramedic Ambulance. Billed time will commence 30 minutes prior to the start of stand-by and cnd 30 minutes after f.he tennination of stand-by. Any additional hours requested or required to provide adequate service in the sole op1nion of the Duty Chief for the City of Oshkosh Fire Department, shall be added to the pIes;ch~duled stand-by hours and billed at the same hourly rate. If for any reason the event is cancelled, a three (3) hour minimum will be charged lithe event is not cancelled at least twelve (12) hours before the scheduled start time. Pre-event cancellation~shall be made by calling (920) 236-5240 between 8:00 a.m. and 4:30 p.m. Monday through Friday or (920) 236-5271 at other times. The CITY shall invoice c/o PMI following the event, with payment to be made within 30 days of receipt of invoice. Failure to timely pay an invoice shall be a breach of this a.greement. All patients requiring transport by the Oshkosh Fire Department arnbulanc~ will be billed fOT services rendered according to the CITY's usual and customary procedures and rates for service. PMIshall indem.nifY and save hannless the CITY from and against any and all losses, claims, demands, penalties) fines, causes of action, costs, damages, expenses and liability, including without limitation any attorney or consultant re~, investigation fees, court costs and litigation expenses, and other costs of defense arising out of or in any manner related to PMl's operation during this ev€::nt, including but nOllimited to: A. Any personal injury or bodily injury (including 'Wl'ongn.ll death) or property damage (real or personal); B. Any violation of laws, orders, regulations, requirements) or demands of any governmental authorities; and, D.
