AGREEMENT
CITY OF OSHKOSH AND STARS HOW PRESENTS, INe.
PARAMEDIC AMBULANCE STAND-BY
2006 COUNTRY USA CONCERT JUNE 21-25, 2006.
THIS AGREEMENT made and entered into this L day of ~......-vL , 2006,
by and between Starshow Presents, Inc., PO Box 4021, Appleton, WI 54915 hereinafter called
"Star", and the City of Oshkosh, a municipal corporation, hereinafter called "City".
WHEREAS, Star has requested the City provide a dedicated paramedic ambulance services
for stand-by, during specified hours of the Country USA Concert, and
WHEREAS, the Common Council for the City of Oshkosh has authorized the appropriate
City officials to enter into such an agreement.
NOW, THEREFORE, it is agreed by and between the parties to this agreement that the City
shall provide one (1) two-person paramedic ambulance to be present at the Winnebago County Fair-
grounds during the Country USA concert on: Wednesday, June 21,2005 from 6:00 p.m. to 1:00 a.m.;
Thursday, June 22, from 6:00 p.m. to 1:00 a.m.; Friday, June 23, from 4:00 p.m. to 2:00 a.m.;
Saturday, June 24, from 2:00 p.m. to 2:00 a.m. and Sunday, June 25, from 2:00 p.m. to 12:30 a.m.
A second unit shall be present on Thursday, June 22,2005 from 8:00 p.m. to 1:00 a.m.; Friday,
June 23, from 7 p.m. to 2:00 a.m.; Saturday, June 24, from 7 p.m. to 2:00 a.m.; and Sunday, June
25, from 7:00 p.m. to 12:30 a.m. The role of these Units shall be to provide Basic Life Support
(BLS) and Advance Life Support (ALS) for emergencies, if they occur. Minor first aid and re-
hydration will not be a primary function. Emergencies requiring a response beyond the capabilities
ofthe Unit on scene or emergencies occurring while the on-scene Unit is busy on any emergency will
be handled by a response of on-duty resources.
Star shall pay as cost reimbursement the actual cost associated with providing personnel,
vehicles, equipment and other supplies. The hourly cost for a paramedic unit will be $65 per hour.
Billed time will commence 30 minutes prior to the start of the standby and end 30 minutes after
termination of the standby. Any additional hours or additional units requested or required in the
opinion ofthe Duty Chief to provide adequate service shall be billed to Star at the cost recovery rate.
Billing for cost of the standby will be completed immediately following the event, payment will be
within 7 days of billing.
All patients requiring transport by the Oshkosh Fire Department ambulance will be billed for
services rendered according to the City's usual and customary procedures and rates for service.
Star shall indemnify and save harmless the City from and against any and all losses, claims,
demands, penalties, fines, causes of action, costs, damages, expenses and liability, including without
limitation any attorney or consultant fees, investigation fees, court costs and litigation expenses, and
other costs of defense arising out of or in any manner related to Star's operation of the Country USA
Concert, including but not limited to:

personal);
