Proposal for Construction Monitoring Services for the City Contract 2006 Concrete
Paving/Utilities Project in Oshkosh, Wisconsin
This Confirmation and Agreement for Services confirms the authorization by City of Oshkosh ("Client") of services in conjunction with the above-
referenced project. The services authorized are as follows: Part-time field and laboratory testing of backfill material placed in roadway utility
corridors. STS personnel will document construction observations and density test the fill placed in the top 5 feet of excavation. For performance of
the above scope, the following services and related unit costs will be required:

Estimated hours based on eight hours a week for fourteen weeks
Note: This budget estimate includes part -time testing services. The intent of this scope of work is to minimize the potential for backfill settlement.
STS services are being provided on part-time bases therefore, STS does not warrant or guarantee that settlement will not occur in the utility corridors.
Our actual fees will be accrued on a time and expense utilizing the unit rates listed above. Invoicing will be prepared on a monthly basis.
If services to be provided under this Agreement require the agents, employees, or contractors of STS to enter onto the Project site, Client shall provide
right-of-access to the site to STS, its employees, agents, and contractors, to conduct the planned field observations or services.

CONFIRMATION and AGREEMENT for SERVICES
The terms and conditions on the reverse of this page and Fee Schedule, which is attached, are expressly incorporated into, and are an integral part of
our contract for services. Please indicate your acceptance of this Confirmation and Agreement by having an authorized representative of your firm
execute one copy and return it to the undersigned prior to the commencement of STS' services. If in the reasonable judgment of STS, the scope or
nature of the services to be performed by STS, in respect to the above-referenced project, change or deviate materially from the scope or nature of the
services described above, STS may at its discretion, suspend performance of its services, until a written agreement superseding this Agreement and
adjusting the scope, schedule, fees, and terms and conditions has been executed. If such a superseding agreement is not agreed to within a reasonable
time, STS may terminate this Agreement.
