THIS AGREEMENT made and ~ntered into this 2~ day of September, 2005, by and
b~tweel1, Allan Ackerman, UWO hereinafter caned "UWO", and the:: City of Oshkosh, a m1.1nicipa1
corporation, hereinafter called uCITY".
WHEREAS, UWO has requested the CITY provide a dedicated paramedic ambulance for
stand-by, during specified nours for Football Games 31 Titan StadiUln, and
WHEREAS, the Common Council for the City of Oshkosh has authorized the appropriate
City officiah to enter into stIch at\ agreement.
. NOW, THEREFORE, it is agreed by and between the parties to this agreement that the CITY
shall provide one (1) two-person paramedic ambulance to be present at the Titan Stadium during the
Football Games on SatUrday, September 1O, 2005 from 6:00 p.m. to 9:00 p.m. and Saturday~ October
1,2005 from 7:00 p.m. to 10:00 p.m. and Saturday, Octoba 8, 2ooS from 1:00 p.m. 104:00 p.m. and
Saturday, October 22, 2005 from 1 :30 p.m. to 4:30 p.m. and Saturday, November 5, 2005 from 1 :00
p.m. to 4:00 p.m. Thl;: paramedic unit shall be primarily responsÌble for providing first aid and
respo11se to medical emcrgcndes-
IT 1S FURTHER AGREED that UWO shall pay $65 per hour fOT the ambulance. Billed time
wí1l commence 30 minutes prior to the start of stand-by and end 30 minutes after the termit,ation of
stand-by. Any additional hours re"luested or required to provide adequate service in the sole opinion
of the Duty Chief for the City of Oshkosh Fire Department, shall be added to the prcscheduled stand-
by hours and billed at the same hourly Tatl;J. If for ¡my reason the event is ~ncel1ed, a three (3) hour
minimum wl11 be c;harged if the event is not cancelled at least twelve (12) hours before the scheduled
5tart.tim~.
Prc...event cancellations shaH be made by calling (920) 236-5240 between 8:00 a.m. and 4:30
p.m. Monday through Friday or (920) 236-5271 at other times.
The CITY shall invoice UWO Stadium Budget. c/o Susie Gustkc, 800 A)goma Blvd.,
Oshkosh, WI 54901 foHowing each event, with payment to be made within 30 days of receipt of
invoice. Failure to timely pay an invoice shan be a breach of this agreement.
An patients requiring transport by the Oshkosh Fire Department ambulance win be billed for
services rendered according to tne CITY's usual and customary procedures and rates for service~
Consistent with the StatlltðS ofthl'; State of Wisconsin, each party to this contract agrees to
assume liability for the wrongful acts or omissions of its employees or agents while they are
functioning within the scope 0 f lheiT employment or agency, and hold the otner hannless for such
liability.
The Board of Regents for the University of WlsconsiTl System agrees to provide liability
protection for its officers, employees and agents while actìng within the scope of1heiT employment.
The Board of Regents fl.lTlher agrees to hold harmless the City of Oshkosh. its officers, agents and

employees from any and all liability, including claims, demands, losses, costs, damages, and
expenses of every kind and description (including death), OT damages to persons or property arising
out of or in connection with or occurring during the course of this agreement where such liability is
founded upon or grows out of the acts or omissions of any of the officers, employees or agents of
the: University of Wisconsin System while acting within the seope of their employment where
protection is afforded by ss. 893.82 and 895.46(1) Wis. Stats.
Similarly, the City of Oshkosh agrees to hold harmless the University, and all its officers, employees
and agents from any and all liability. including claims, demands, losses, costs, damages and expenses
of every kind and description or damages to persons or property arising out of or in connection with
or occurring during the course of {his agreement, where such liability is founded upon or grows out
oflhe acts or omissions or employees, officers. or agents ofthe City of Oshkosh wh'¡le acting within
the scope of their emplo~ent where protection is afforded by ss. 893.80 and 895.46(1) Wis. Stats.
uwo and the CITY shall have the right to t~nate this agreement without cause upon 10
days prior written notice to the other party.
