No-Build Easement
This NO-BUILD EASEMENT AGREEMENT is made and entered into
by and between STATE STREET SUITES LLC , 128 State St., Oshkosh,
WI 54901 (SUITES) , and the City of Oshkosh, a Wisconsin municipality,
("City"), with its principal offices located at 215 Church Avenue, P.O. Box
1130, Oshkosh, WI 54903-1130 (CITY).
WHEREAS, the City of Oshkosh owns and operates the Ceape Avenue
parking lot, generally located in the 200 blocks of Ceape and Otter Avenues,
in the City; and .
WHEREAS, SUITES owns and operates a building located at 126-
130 State Street, and intends to make improvements to the building and
install windows on the east side of the building which require a no-build
easement to allow installation of the windows on the east side of the
building;

NOW, THEREFORE, in consideration.of the sum of One Dollar ($1.00) and other good and valuable consideration
paid by the respective parties, the receipt of which is hereby acknowledged, the parties agree as follows:
1. The City covenants to SUITES that no building shall be constructed within ten (10) feet of the west 10LUne of the
Ceape Avenue parking lot, more particular described as follows: '", . '
The west ten (10) feet of Lots 25 and 26 of Block 20, L.M. MILLER'S FIRST ADDITION,
Eighth Ward, City of Oshkosh, Winnebago County Wisconsin.
2. This Agreement shall be recorded and shall be construed as a covenant running with the land. This
Agreement shall inure to the benefit of, and be binding upon the parties and their respective successors,
grantees, lessees and assigns forever, and is not intended to create any benefit to anyone not an express
party to this Agreement. Notice of assignment of this Agreement will be given to the other party, who must
consent in writing within 14 calendars day of the notice; such consent shall not be unreasonably withheld.
Upon assignment and acceptance by an assignees and consent olthe other party, the assignor shall have no
further obligations under this Agreement.
3. This Agreement is unilaterally revocable by the City in its sole discretion, should it elect to construct a new
building in the area of this No-Build Easement or dispose of the parking lot property in the future, upon the City
filing a Notice of Revocation in the Office of the Winnebago County Register of Deeds. The City shall provide
15 calendar written notice to SUITES or its successor. SUITES or its successor shall take all necessary steps
to comply with then existing building codes.
4. All notices concerning this Agreement will be in writing and sent by regular or certified mail, or personally
delivered, to the parties at their respective addresses listed above, or such other address as the respective
party may provide in writing.
IN WITNESS WHEREOF, the parties have executed this Agreement on the dates written below and, by so
executing, each of the parties warrants that it possesses full right and authority to enter intothis Agreement.
