Madison, WI Joliet, IL Louisville, KY Division Offices PEH Lexington, KY SIECO Columbus, IN Lancaster, OH TAl Mobile, AL www.strand.com March 28, 2005 City of Oshkosh 215 Church Avenue Oshkosh, VVI 54903-1130 Attention: David Patek, DPVV Re: Agreement for Design Services and Bidding-Related Services for the North Side Pumping Station, Murdock Pumping Station, and Snell Road Pumping Station This is an Agreement to provide Design Services and Bidding-Related Services (Services) for the North Side Pumping Station, Murdock Pumping Station, and Snell Road Pumping Station, hereinafter referred to as the PROJECT, between the City of Oshkosh, hereinafter referred to as OVVNER, and Strand Associates, Inc., hereinafter referred to as ENGINEER. Scope of Services The Services to be provided can generally be described as follows: North Side Pumping Station 1. Evaluate the existing record drawings of the gravity sewers tributary to the North Side Pumping Station to estimate hydraulic capacity of the upstream sewers and maximum water level in the pumping station to minimize backups. 2. Observe the existing collection system feeding the North Side Pumping Station. The field observation services are limited to four man days. This field observation is intended to assess critical record drawing information and observe areas with reported basement backups. 3. Evaluate the hydraulics of the manifold pumping system consisting of the dual 14-inch force mains on Bowen Street, the dual 20-inch force mains on Smith Street, the North Side Pumping Station, the Bowen Pumping Station, and the Murdock Pumping Station. 4. Evaluate improvements to the North Side Pumping Station consisting of replacement of the existing suction and discharge valves, consideration of new pumps, including new dry pit submersible pumps, and evaluation of the generator capacity. 5. Evaluate the impacts of upgraded hydraulic capacity of the North Side Pumping Station on the capacities of the Bowen Pumping Station and Murdock Pumping Station. "' g STRAND ASSOCIATES, INc.' ENGINEERS City of Oshkosh Page 2 March 28, 2005 6. Evaluate installation of a new 14-inch valve in the westerly 14-inch force main immediately south of the Bowen Pumping Station. 7. Evaluate the sewers downstream of the dual 20-inch force main discharge to estimate impacts on the hydraulics based on potential improvements to the North Side Pumping Station. 8. Prepare a preliminary design and design report for Items I through 6. 9. Meet with OVVNER throughout the preliminary design services (Items 1 through 7) and incorporate OVVNER comments into the preliminary design. 10. Prepare final design report. 11. Provide final design. 12. Incorporate OVVNER comments as final design progresses. 13. Assist OVVNER in obtaining DNR approval of the final design plans and specifications. 14. Provide bidding-related services, which includes distributing bidding documents, answering questions during bidding, preparing addenda as needed, attending the bid opening, and preparing bid tabs. Murdock Pumping Station 1. Design a new and deeper wet well capable of operating at a level which will prevent surcharging in the influent gravity sewers. 2. Design new layout of suction piping from the existing pumps to the new wet well. 3. Meet with OVVNER throughout the design services and incorporate OVVNER comments into the preliminary design. 4. Prepare final design report. 5. Provide final design. 6. Incorporate OVVNER comments as final design progresses. 7. Preparation for and/or Appearance in Litigation on Behalf of OVVNER: Any services of this type required to be provided by ENGINEER shall be provided through a separate agreement with OVVNER. 4. Archaeological Investigations: The compensation does not include the cost for archaeological investigations. Ifrequired, OVVNER shall contract directly with an archaeological firm for these services. 5. Sales Tax and Other Taxes: Only sales taxes or other taxes on Services that are in effect at the time this Agreement is executed are included in the total compensation. If the tax laws are subsequently changed by legislation during the life of this Agreement, this Agreement shall be amended to reflect the net change. 6. Soil Borings: The compensation does not include the cost for soil borings. ENGINEER will assist OVVNER in engaging the services of a soils consultant. 7. Permit and Plan Review Fees: All permit and plan review fees payable to regulatory agencies shall be paid for by OVVNER. Should ENGINEER pay such fees to expedite approvals, ENGINEER shall be reimbursed by OVVNER. 8. Land Surveys: Any services involved in land surveys necessary to establish property boundaries shall be provided through a separate agreement with OVVNER. 9. Construction Related Services: The compensation does not include the cost for any construction administration or observation services. Compensation Services as defined above shall be provided on an hourly rate basis for the time actually spent, plus expenses, or on a lump sum basis for the following fees: North Side Pumping Station Planning and Design (lump sum) $30,000 $12,000 Murdock Pumping Station Design (lump sum) Snell Road Pumping Station Design (lump sum) $5,000 Bidding-related services for all stations be (hourly + expenses) $10,000 On an hourly rate basis, the billing rates will be based on a multiplier of 2.9 times wage rates, and expenses such as reproductions, computer time, word processing, fax, mailings, and telephone will be billed at actual cost plus 5 percent. ENGINEERS City of Oshkosh Page 5 March 28, 2005 ENGINEER's wage scales are adjusted annually on July 1. The fees as indicated above include a wage scale that assumes the Services being completed by September 30, 2005. The lump sum and limiting fees shall not be exceeded without prior notice to and agreement by OVVNER but may be adjusted for time delays, time extensions, amendments, and changes in the Scope of Services. Any adjustment shall be negotiated based on ENGINEER's increase in costs caused by delays, extensions, amendments, or changes. Payment OVVNER shall make monthly payments to ENGINEER for Services performed in the preceding month. Nonpayment 30 days after the date of receipt of ENGINEER's invoice may, at ENGINEER's option, result in assessment of a 1 percent per month carrying charge on the unpaid balance. Schedule VVith authorization to proceed by April 15, 2005, the planning and design services will be completed by July 15, 2005, and bidding-related services will be completed by September 30, 2005. Termination This Agreement may be terminated with cause in whole or in part in writing by either party subject to a two-week notice and the right of the party being terminated to meet and discuss the termination before the termination takes place. ENGINEER shall be paid for all completed or obligated Services up to the date of termination. Standard of Care The standard of care for all services performed or furnished by ENGINEER under this Agreement will be the care and skill ordinarily used by members of ENGINEER's profession practicing under similar circumstances at the same time and in the same locality. ENGINEER makes no warranties, expressed or implied, under this Agreement or otherwise, in connection with ENGINEER's services. Dispute Resolution Except as may be otherwise provided in this Agreement, all claims, counterclaims, disputes, and other matters in question between OVVNER and ENGINEER arising out of or relating to this Agreement or the breach thereof shall be decided first by mediation, if the parties mutually agree, or with a bench trial in a court of competent jurisdiction within the State ofVVisconsin. ENGINEERS City of Oshkosh Page 6 March 28, 2005 Opinion of Cost Any opinions of cost prepared by ENGINEER are supplied for general guidance of OVVNER only. ENGINEER has no control over competitive bidding or market conditions and cannot guarantee the accuracy of such opinions as compared to contract bids or actual costs to OVVNER. Data Provided by Others ENGINEER is not responsible for the quality or accuracy of data nor for the methods used in the acquisition or development of any such data, where such data is provided by or through OVVNER, Contractor, or others to ENGINEER and where ENGINEER's Services are to be based upon such data. Such data includes, but is not limited to, soil borings, groundwater data, chemical analyses, geotechnical testing, reports, calculations, designs, drawings, specifications, record drawings, land use projections, Contractor's marked-up drawings, and topographical surveys.
