WHEREAS, OSHKOSH IRUCK has requested tho Cit}l provide a dedicated. paramedic
ambulance dl~rlng specified hours of the Oshkosh Truck 2005 Open House ¡Event',
WHEREAS, the Common Council Cor the City of Oshkosh has authoTÌ;r.cd the appropriate
C,ty officials to entor into such an agrccmen\,
IT IS AGREED by and between 1ho parties ~ha.t the City shaH provide one (1) two-person
paramedic MEDTEC Ambultnce to be present at 333 W. 29lb Ave" South P1ant - Test Bay,
Salurday, May 21, 2005, be~ween the hours of 9~4S ~.m. to 3: 15 p.m, The role of this unit 5h~1l be
to provide Basiç ~ire Su~~ott (BLS) and Advance Life Support (AJ..S) for emergencies, if they
occur. 'Emet'gençl~~ requ\nng a response beyond the capabilities of \he unit on Soe11e will be
supplemented by a response of on-duty resources.

loss, damage. J'OASonable atto%neis fees or expenses arise from th~ negligence or
misconduct of City, it's officers, employees, agents, or sub.oontra.ctofS.
City shalt 1) proXI1þtJy notify OSHl(OSfI TRUCK of any claim for which
indemnification may be sought; 2) cooperate fully in 1he: defense of such claim; and
3) pcnnit OSHKOSH tRUCK to settle or compromise such c]aim o~ lenDS and
conditions which, in good faiLh, it determines to òa appropriate.
Th.is agreement shaH terminate upo-.n OSHKOSH TRUCK and City's completion ofthejr obligations
hereunder.
