AMENDMENT NO. 1
The City of Oshkosh, hereinafter referred to as City, and Jewell Associates Engineers, Inc.,
hereinafter referred to as the Consultant, entered into an Agreement for Acquisition Services on May
13, 2025.
Subparagraph C in Paragraph 16 – Payment included the provision that costs for additional
services shall be negotiated and set forth in a written amendment to this Agreement executed by
both parties prior to proceeding with the work covered under the subject amendment.
Therefore, the City and the Consultant agree to replace Paragraph 1. Project/Timeline with
the following paragraph:
1. Project/Timeline. The City requested a proposal from JEWELL Associates Engineers, Inc. for
acquisition services to be completed no later than December 31, 2026.
The City and the Consultant further agree to replace Paragraph 3.c. with the following
paragraphs:
c. Consultant’s Amendment dated March 26, 2026, which is attached hereto.
d. The terms and conditions are listed above in order of importance. If terms and
conditions in various component parts are conflicting, then the terms and conditions
in the component part first listed will control over the conflicting term and condition
in the later component part. The preceding rule of interpretation may be modified
by the parties in particular circumstances where described elsewhere in this
Agreement.
The CITY and the CONSULTANT further agree to replace Paragraph 7.a. with the following
paragraph:
a. Term. This Agreement shall commence upon the date indicated above and shall
terminate on December 31, 2026, unless terminated earlier by one (1) of the parties as
provided below. The City may extend this Agreement, upon written notice to
Consultant.
The CITY and the CONSULTANT further agree to replace Paragraph 16.a. with the following
paragraph:
a. Amount. The City shall pay to the Consultant for the performance of the tasks
described in this Agreement a time and expenses amount not to exceed $11,160 for
the work to be performed.

All other terms contained within the May 13, 2026 agreement remain unchanged and in
effect.
