DECLARATION. A Municipal Stormwater Utility Easement was granted to the City within the
Property by Certified Survey Map (CSM) Number 8313, which was recorded on October 27, 2025, as
Document Number 195528. The CSM referenced that the terms of the Easement would be further
described in this document. The purpose of this Declaration is to clarify the intent, use, restrictions,
and terms of this Municipal Stormwater Utility Easement between the City of Oshkosh as holder of
the Easement, and the Property Owners, both present and future.
4. COMMON PURPOSE. The purposes of the Municipal Stormwater Utility Easement granted to the
City and the terms of this Declaration are generally to integrate the Easement Property into the City's
public stormwater management system, and specifically to facilitate and enhance stormwater the
drainage originating from the Property and other properties served by the public stormwater
management system.
5. PROPERTY OWNER: Property Owner refers to the owner or owners of the Property, which
currently is the Declarant, but may be other persons or entities in the future.
6. FUTURE CONVEYANCE. The Declarant intends to convey all or part of the Property to other
persons or entities for development. This Declaration and its Easement covenants, conditions,
restrictions, and reservations attach to the Property and benefit the City of Oshkosh and its public
storm water drainage system. The Easement and its terms are binding upon the Property Owner,
their respective heirs, executors, administrators, successors, assigns, and legal representatives.
7. STORMWATER EASEMENT. The Municipal Stormwater Utility Easement granted to the City includes all
uses related to the City's public stormwater management system. More specifically, the Easement Property
will be used for surface water drainage and temporary stormwater storage during larger storm events. The
purpose of this Easement is expected to be fulfilled through the Easement Property's existing grading.
Regrading and/or the installation of applicable stormwater facilities may be necessary in the future if drainage
patterns and/or capacities change. The activities allowed in the Easement Property include surveying,
inspection, construction, maintenance, repair, and replacement of facilities, equipment, improvements, and
stormwater features.

8. EASEMENT PROPERTY. The Easement Property is described as follows:
A perpetual Municipal Stormwater Utility Easement granted to the City of Oshkosh in CSM Number 8313,
City of Oshkosh, Winnebago County, Wisconsin, described as follows:

THE NORTHEAST %a OF SECTION 32, TOWNSHIP 18 NORTH, RANGE 16 EAST, CITY OF
OSHKOSH, WINNEBAGO COUNTY, WISCONSIN, BOUNDED AND DESCRIBED AS FOLLOWS:
COMMENCING FROM THE SOUTHWEST CORNER OF OUTLOT 1 OF CERTIFIED SURVEY MAP
NUMBER 8318; THENCE N89°21' 16"W, 690.04 FEET ALONG THE SOUTH LINE OF SAID LOT 1 TO
THE POINT OF BEGINNING; THENCE CONTINUING N8902l' l6"W, 67.17 FEET ALONG SAID
SOUTH LINE; THENCE NO3°14' 17"E, 305.96 FEET; THENCE N00°56'49"E, 135.82 FEET; THENCE
S88058'04"E, 54.87 FEET; THENCE S00°56' 12"W, 441.10 FEET TO THE POINT OF BEGINNING. SAID
AREA CONTAINS 26,100 SQUARE FEET OR 0.599 ACRES, MORE OR LESS.
Bearings are referenced to the south line of the Northeast''/a of Section 32, T18N-R16E, which bears
N89°2l' 16"W as referenced to the Wisconsin Coordinate Reference System (WISCRS), Winnebago County,
NAD83(2011).
9. MAP: The recorded CSM is attached as Exhibit A. The Municipal Stormwater Utility Easement is shown on
pages 1 and 3 of the CSM. A separate map of the Municipal Stormwater Utility Easement is attached as
Exhibit B.
10. MAINTENANCE: The City is responsible for maintaining, repairing, and undertaking other necessary tasks
in the Easement Property to ensure it materially functions as intended for stormwater purposes. The
Easement Property is connected on the south boundary with a City stormwater basin on an adjoining property,
and will be maintained by the City in the materially same manner as its adjoining stormwater basin. The
City's maintenance actions include repairing significant erosion, remove storm debris, and removing woody
stemmed plants and vegetation such as cattails. The Easement Property will not be mowed or otherwise cut,
and the grass and similar vegetation is expected to be allowed to grow to its natural height. The Property
Owner will remove debris from the Easement Property that is not the result of a storm event. The Property
Owner is encouraged to notify the City of any storm related damage so that appropriate maintenance or
repairs can be promptly completed.
11. INTERFERENCE WITH EASEMENT: The Property Owner may drain stormwater from the Property into
the Easement Property as allowed by the approved grading and drainage plan. The Property Owner cannot
otherwise take any action that interferes with the City's use of the Easement Property. The Property Owner
shall not place, pile, or move snow or ice on to the Easement Property. No buildings, structures,
improvements, vegetation except permitted grasses, or landscaping are allowed in the Easement Property.
These prohibitions include, but are not limited to, temporary or permanent building structures, hard surfaces,
driving and parking areas, sheds, pipes, culverts, drainage structures, bridges, changes in elevations,
vegetation except grass, raised beds, landscaping, recreation equipment, fences, or the placement or storage of
personal property. The Property Owner shall promptly remove anything that is not allowed in the Easement
Property or, if removal is a City obligation such as storm debris, notify the City of the obstructions. If the
Property Owner fails to remove prohibited obstructions that they are responsible for removing, the City may
remove them at the Property Owner's expense. The City's costs incurred removing obstructions, except those
obstructions the City is responsible for, will be billed to the Property Owner and if not paid charged to the
property as a special charge for current services. The Property Owner waives additional notice of such
special charge. The Property Owner will take reasonable steps to prevent third parties from interfering in any
way with the use of the Easement Property.

12. USE OF EASEMENT BY OTHERS: The Property Owner and the City may use consultants and contractors
to perform work on the Easement Property that each is otherwise allowed to perform.
13. DEFAULT: The parties will make all good faith efforts to ensure that the Easement functions as intended for
stormwater drainage purposes. If either the City or the Property Owner reasonably believes that the other
party has materially breached a term of this Easement Agreement, then written notification of the alleged
breach shall be delivered to the other party. The material breach must be cured within sixty (60) days from
the date notice is received. However, the City is entitled to ensure the continuous proper functioning of its
public stormwater management system without waiting sixty (60) days. The City may use its discretion to
evaluate any necessary maintenance and/or repairs, or any interference with a permitted use, of the Easement
Property, and may take any immediate reasonable action without notice to ensure the Easement's proper
functioning.
14. TERM: This Easement it being granted in perpetuity for public purposes and uses, both current and future,
without regard to the City's use of the Easement at any particular time.
15. WAIVER: No delay or omission by any party to this Agreement in exercising any right or power arising out
of any default under any of the terms or conditions of this Agreement shall be construed as a waiver of the
right or power. A waiver by a party of any of the obligations of the other party shall not be construed to be a
waiver of any breach of any other terms or conditions of this Agreement.
16. INVALIDITY: If any term or condition of this .Agreement, or the application of this Agreement to any
person or circumstance, shall be invalid or unenforceable, the remainder of this Agreement, or the application
of the term or condition to persons or circumstances other than those to which it is held invalid or
unenforceable, shall not be affected thereby, and each term and condition shall be valid and enforceable to the
fullest extent permitted by law.
17. NO THIRD -PARTY BENEFICIARY: The terms of this Agreement, are for the benefit of the two parties
identified, and no other persons or entities acquire any rights to enforce or benefit from through this
Agreement.
18. NO MERGER: It is necessary that the Municipal Stormwater Utility Easement's benefits and burdens
described in this Declaration remain in effect to ensure the efficient operation of the public
stormwater drainage system. Therefore, there shall be no merger of any Easement interests with the
title or other real property interests in the circumstance where the City as the holder of the Easement
-interests is also the Property Owner.
19. MUNICIPAL LIABILITY: Nothing in this Agreement is intended as a waiver, limitation, or alteration of the
municipality's right or opportunity to rely upon or use the municipal limitations and immunities contained
within Wisconsin law. Municipal immunities and limitations include, but are not limited to, Sections 345.05,
893.80, and 893.83, Wisconsin Statutes. Such damage limits, caps and immunities are intended to be
preserved and applied, and are incorporated into this agreement and shall govern all disputes regardless of the
underlying theory for relief, whether contractual or otherwise, as they relate to the municipality and its agents,
officers, and employees.
20. FORCE MAJEURE: Neither party will be in default under this Agreement if its failure to perform is caused
by any of the following events: act of God; pandemic; fire; flood; severe storm; power outages; material
shortages or unavailability or other delay in undertaking their responsibilities identified in this Agreement that
do not result from the parties' failure to maintain their property or facilities. Events resulting in additional or
increased costs do not in and of themselves result in a force majeure exception. In order to claim relief under
this Section, the other party must be notified in writing of the existence of the event relied upon and the
expected cessation or termination of that event. For the duration of any valid Force Majeure event as defined
by this Section, the affected party's performance shall be excused. However, the affected party is still
required to take appropriate means to minimize or remove the event causing Force.Majeure and, within the

shortest possible time, attempt to resume performance of the obligation affected by the event of Force
Majeure.
21. GOVERNING LAW: Wisconsin law governs the interpretation and enforcement of this Agreement, without
regard to conflict of laws analysis. Venue for any dispute and/or action regarding this Agreement is
Winnebago County, Wisconsin. If a dispute is subject to federal court jurisdiction, then the location will be
the district and/or branch within which Winnebago County is located.
