HomeMy WebLinkAboutOPM-RHDM Chicago Collects Exhibition AgreementPage 1 of 12 EXHIBITION LOAN AGREEMENT This Exhibition Agreement (the “Agreement”) is between the Richard H. Driehaus Museum, (“RHDM”), which has its principal offices at 50 East Erie Street, Chicago, Illinois 60611, and the Oshkosh Public Museum (“OPM”), which has its principal offices at 1331 Algoma Blvd, Oshkosh, WI 54901 concerning the exhibition titled: Chicago Collects: Jewelry in Perspective. Intending to be legally bound, RHDM and OPM hereby agree as follows: 1. Exhibition Organization The Exhibition will be organized by RHDM. 2. Exhibition Title The title of the Exhibition is Chicago Collects: Jewelry In Perspective. OPM shall not change the title without the advance, written approval of RHDM. 3. Exhibition Location and Dates The Exhibition will be on display to the general public at OPM’s premises at 1331 Algoma Blvd, Oshkosh, WI 54901 from September 19, 2026, to March 20, 2027 (TBC). The Exhibition dates may be adjusted only with the advance, written approval of RHDM. 4. Exhibition Content a. Content: The Exhibition consists of approximately 200 jewelry and decorative art objects (“Works”) determined by RHDM. Exhibit A, Exhibition Checklist, contains a list of Works chosen for the Exhibition. In consultation with RHDM’s Collections and Exhibitions department, the venue may make minor modifications to the exhibition layout with prior written approval. b. Deletions to Exhibition: OPM may not make deletions from the Exhibition without the advance, written agreement of RHDM. If RHDM grants permission to make deletions from the Exhibition, the Works not displayed in the Exhibition by OPM must be stored in a facility (which may include a facility operated by OPM) and in a manner approved in advance in writing by RHDM, including appropriate security and environmental conditions. OPM will pay all costs incurred in deleting Work(s). c. Additions to the Exhibition: OPM may not make additions to the Exhibition without the written agreement of RHDM. If RHDM grants permission to make additions to the Exhibition, OPM will make all arrangements for the Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 2 of 12 loan of such works. In addition, OPM will pay all costs associated with such loans, including but not limited to loan negotiations, loan agreements, loan fees, conservation as required by lenders, packing, shipping, and couriers, and necessary insurance. Additions to the Exhibition are outside the scope of this Agreement. d.Withdrawal from Exhibition: RHDM reserves the right to withdraw Work(s) from the Exhibition during its tour. In such instances, OPM is requested to comply promptly with packing, shipping and other instructions provided by RHDM. RHDM will use reasonable efforts to replace withdrawn Work(s) with another (others) of comparable quality. The expense involved in the withdrawal/substitution of Work(s) will be covered by RHDM unless alternate arrangements are made. RHDM will not be responsible for any refund to OPM or other penalty for such withdrawal. 5.Loan Agreements a.RHDM has the responsibility for making arrangements with lenders of Works to the Exhibition. RHDM will prepare and send loan requests, receive replies, coordinate necessary information and negotiations pursuant to loan approvals, and retain executed loan agreements. RHDM will inform OPM of restrictions stipulated by lenders within three months prior to OPM’s opening date and OPM agrees to abide by these restrictions. RHDM will negotiate loan agreements in good faith for all venues, but some lenders may require separate loan agreements for each venue, in which case OPM shall be required to make loan arrangements with such lender. RHDM will not agree to any loan terms which will cause OPM to assume liability in addition to liability assumed under this Agreement without the prior approval of OPM for the work(s) while on loan. 6.Financial Arrangements: OPM will pay the Participation Fee and expenses as set forth below to RHDM: a.Participation Fee: In order to be permitted to participate in the Exhibition, OPM shall pay RHDM the Participation Fee of twenty thousand U.S. dollars ($20,000.00). Payment will occur in two installments: ten thousand U.S. dollars ($10,000.00) payable within fifteen (15) business days of the execution of this Agreement; ten thousand U.S. dollars ($10,000.00) payable within fifteen (15) business days of the exhibition opening date on September 19, 2026. Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 3 of 12 b.Borrower’s Expense: OPM is responsible for the inbound and return shipping costs, courier expenses, contract mount maker expenses, and local costs. i.Couriers: RHDM requires courier(s) accompaniment. OPM will be responsible for all costs incurred for all trips at the beginning and end of the exhibition including ground transportation and room and board for the following minimum number of days: 2 nights and 3 days to Midwestern region institutions. In addition to lodging, the courier will receive a per diem of seventy-five U.S. dollars ($75.00). If the courier(s) must stay longer to see the Works safely installed, OPM will be responsible for the courier(s) expenses for any additional days. ii.Contract Mount Maker: Patrick Dykstra from SR Creative Services, LLC is the Mount Maker for the Exhibition and is required to be contracted by OPM for three days during the installation and deinstallation periods. iii.Local Costs: OPM will be individually responsible for all local costs incurred in presenting the Exhibition at OPM’s premises, including but not limited to loading and unloading transport vehicles, unpacking and repacking, crate storage, installation and dismantling, printed materials, educational or other programs, publicity and promotion, opening events, and additional security at its premises. Additional staffing necessary to accomplish the foregoing will be considered a local cost. c.Admission Fees and Related Revenues: Revenues earned by OPM from admission fees charged for the Exhibition and additional revenues earned from the sale by OPM of audio tours, catalogues and other merchandise may be retained by OPM. OPM will be responsible for taxes or other charges on such revenues. 7.Packing, Shipping, Care and Handling of the Exhibition a.Packing and Handling: The packing and handling of the Exhibition Works at OPM’s premises will be OPM's responsibility. Works can only be handled by qualified members of OPM’s staff (no interns or volunteers) and will be conducted under the surveillance of OPM’s curator and RHDM’s courier(s). OPM agrees to wait a 24-hour period before opening crates on their premises to allow acclimatization. Unless otherwise authorized by RHDM, unpacking and repacking of the Works will not take place unless an RHDM courier is present. i.Packing Cases: RHDM will arrange for the fabrication of packing cases. OPM will maintain the cases in good condition, preserve Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 4 of 12 any loose packing materials inside the case to which they belong, and store the cases in areas where the temperature and humidity conditions are equivalent to those in the Exhibition galleries. If empty cases must be stored in areas without environmental controls, they must be returned to an area with temperature and humidity at Exhibition gallery levels and allowed to re-acclimatize for a minimum of 48 hours before the Exhibition is repacked. Empty cases must be stored in areas with appropriate pest control. b.Shipping: RHDM’s Collections and Exhibitions Department will make inbound shipping arrangements in consultation with OPM staff. OPM will be responsible to coordinate the return shipping arrangements in consultation with RHDM. Selection of transport company/agent for the return shipment must be approved by both parties 30 days in advance of shipment. c.Couriers: In addition to any lender-required courier(s), RHDM courier(s) will be present during the unpacking, examination, installation and during the dismantling, examination, and repacking of the Exhibition at OPM’s premises. 8.Condition Reports, Reporting Loss or Damage, Conservation a.Condition Reports: RHDM will provide a condition report for each Work in the Exhibition and these condition reports will accompany the Works for the Exhibition’s duration. During the unpacking and repacking of the Exhibition Works at OPM, RHDM’s representatives, OPM’s conservator, or a qualified member of OPM’s staff will note on the condition report any change (or “no change”) in the condition of the Work. OPM will perform regular condition checks of the Works in the galleries while the Exhibition is on view and will reference the condition reports during this process. The condition reports will be the only official record of changes in the condition of the Works. Immediately following the packing and release of the Works for return shipment to its lenders, OPM will forward the original condition reports to RHDM. b.Reporting Loss or Damage: i.Any damage or loss or other change in the condition of a Work, whether it may have occurred in transit or on OPM’s premise, and regardless of who may be responsible, must be reported immediately to RHDM’s Collections and Exhibitions Department. ii.OPM will comply with instructions RHDM may provide concerning handling or treatment of such Work. Except for emergency procedures to arrest the possibility of future damage, OPM will not make or permit the making of repairs of any Work, unless and until OPM receives advance, written permission from RHDM. Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 5 of 12 iii.Damage to any Work, or change in its condition, will be photographed immediately at the time of discovery and the photograph will be included with the written report that OPM provides to RHDM. If the damage appears to have occurred during shipment, OPM will preserve all packing materials for inspection, and will photograph the packing case and materials upon discovery of the damage. In all circumstances, OPM will cooperate with RHDM in giving written notice to the shipping companies and the insurance carriers. iv.In the instance of damage to or loss of a Work, only RHDM may make direct contact with the lender. c.Conservation: Except for emergency procedures to arrest the possibility of further damage, OPM will not make, or permit the making of, repairs to a Work d.Inspection: RHDM reserves the right to inspect the Works in the Exhibition at OPM’s premises at any time for the purpose of verifying their physical condition and if necessary to withdraw a Work or Works from public display at any time prior to the closing date of the Exhibition at OPM’s premises. 9.Insurance a.OPM’s Responsibility: OPM agrees to provide standard “all risk” “wall-to- wall” fine arts insurance coverage for the Works attached in Exhibit A, subject to the standard exclusions, terms, and limits of its fine arts insurance policy, beginning when the Works are in transit to OPM, during the Exhibition period, and during return transit to RHDM. OPM agrees to comply with any lender request for a certificate of insurance (COI). OPM agrees to notify RHDM promptly of any changes or modifications to OPM’s insurance policy. 10.Environmental Conditions a.Facility - General: The Exhibition must be installed in a fireproof or fire- resistant facility equipped with systems for adequate controls of temperature, humidity and lighting, fire detection/prevention and security, that operate on a 24-hour-per day, 7-day-per week basis. b.Conditions – General: Unless otherwise stipulated by lenders, temperature, humidity and light levels for the Works during all aspects of unpacking, installation, display, dismantling, packing, and storage must meet the following museum standards at 70° + 3° and 50% RH + 5 RH %; light levels 5-10 footcandles (50-100 lux). RHDM’s Collections and Exhibitions Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 6 of 12 department must be notified immediately of any fluctuations in temperature and humidity greater than those specified above. c.Protection of Works: OPM will not permit Works to come into direct contact with or close proximity to heating or ventilation outlets. OPM will not expose works on paper (including photographs and periodicals) to sunlight, strong incandescent or halogen light, or fluorescent light (unless fluorescent fixtures have been fitted with ultra-violet resistant filters). d.No Direct Light: OPM will cover sources of direct light in the galleries in which the Exhibition is installed. e.Additional Stipulations: OPM will comply with additional stipulations provided by lenders and/or RHDM’s conservators. f.Facility Report: Prior to the opening of the Exhibition at its premises, OPM will provide RHDM's Director of Collections and Exhibitions with a current AAM General Facility Report for the building and the specific galleries (including floor plans of the galleries) and other areas where the Exhibition will be installed, held, or stored. The information in this Report will be subject to RHDM's approval. OPM represents and warrants that its Facility Report will be accurate and complete in all material respects, and that RHDM may continue to rely on the matters reported therein until such time as the Exhibition leaves OPM’s premises. OPM will notify RHDM's Director of Collections and Exhibitions within 24 hours of any material change to the conditions listed in its Facility Report while in custody of the Exhibition. 11.Installation a.Care of Works: OPM will exercise the same care with respect to the safekeeping of the Works as it does for works of great merit and value in its own collection. b.Preparation for Installation: OPM will be responsible for preparing its galleries for installation of the Exhibition, including but not limited to reconfiguring and painting of the Exhibition galleries (at OPM’s discretion); lighting; labels and signage. Installation of the Exhibition will not take place until all construction and painting in the galleries and nearby spaces has been completed prior to the arrival of the Works in this area. c.Installation Design: Subject to conditions set forth by the lenders for the Works and the other terms and conditions of this Agreement, any design will be shown to RHDM for final approval, not to be unreasonably withheld or delayed. RHDM will provide OPM with its own plans for the design and installation of the Exhibition at RHDM. Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 7 of 12 d.Installation Schedule: OPM will provide RHDM with an installation schedule at least 4 weeks prior to the first day of the installation period. RHDM courier(s) will be present for installation. RHDM and OPM will collaborate and agree upon the travel arrangements. e.Installation: OPM is responsible for the physical installation of the Exhibition, including but not limited to construction, exhibition furniture and graphics not provided by RHDM, and other display units, audio-visual equipment, lighting. f.No Change to Works: Works may not be unmatted, unframed, or unmounted, and no change will be made in the manner in which Works are installed, as specified in the installation instructions provided by RHDM, without the advance, written approval of RHDM. g.Specific Installation Requirements: RHDM will identify in advance Work(s) in the Exhibition, which require barriers, vitrines and/or locking/secure cases, and will provide specifications. Hanging hardware will be provided for framed Works. OPM will not remove or reposition these devices, nor affix other types of hanging devices, without advance, written permission of RHDM. h.Object Labels and Wall Text: RHDM will provide one set of labels and designed graphics to be hung with the exhibition. If OPM desires to produce their own set of labels and graphics, RHDM will provide OPM with an electronic copy containing the information. However, production is subject to RHDM’s prior written approval, and OPM will be responsible for all costs of producing such labels and graphics. 12.Maintenance After completion of the installation, Works will not be dusted, cleaned, or handled in any way unless specifically requested or approved by RHDM's Collections and Exhibitions department in advance and in writing. All such work, if requested and approved, must be accomplished by trained personnel. 13.Security a.OPM’s Security: The area in which the Exhibition is temporarily stored, unpacked/repacked, examined, and otherwise prepared in advance of its installation and following its dismantling must be secure at all times. OPM agrees to maintain industry standard security precautions against fire, theft, handling by unauthorized personnel, and other hazards. Display cases must remain locked and alarmed at all times. During non-working hours this area must be monitored electronically and toured regularly by OPM's security staff. During the hours the Exhibition is installed, on public view, or whenever the Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 8 of 12 galleries are open to staff and/or special groups, security staff sufficient to fully cover the Exhibition must be deployed. RHDM requires that OPM deploy at least one guard for every two-three galleries during public and special viewing hours and may impose additional security requirements as necessary. Galleries must be locked and secure during non-public hours and must also be monitored electronically and be toured regularly by OPM's security staff. b.Required Checks: OPM will make regular security and condition checks of all Works after the Works are installed. c.Prohibitions: OPM will prohibit smoking, eating, drinking, large bags and backpacks in the Exhibition area, storage, receiving, loading dock, and any other spaces at all times when Works are within those spaces. 14.Credit Line a.Organizational Credit Line: OPM will use the following organizational credit line (“Organizational Credit Line”), printed in at least the same or larger font size as any sponsor credit line, on the entrance title wall of the Exhibition, in all publicity materials and other communications related to the Exhibition (including, without limitation: publicity releases, advertisements, invitations, announcements, posters, gallery guides, web site, brochures, membership calendars, signage, publicity, audio guide, lectures, promotion and educational materials and on other electronic or digital matter prepared in connection with the exhibition). The exhibition Chicago Collects: Jewelry in Perspective is organized by the Richard H. Driehaus Museum and curated by Guest Curator Elyse Zorn Karlin. b.Local Sponsors: OPM may seek additional funding from local donors for its presentation. The Organizational Credit Line must precede the acknowledgment of any local donor. Any such local sponsor credit line must state that the sponsorship supports only OPM’s presentation of the Exhibition. For example: The exhibition at the Oshkosh Public Museum is made possible by [fill in sponsor’s name]. c.RHDM Approval: OPM agrees that the form and substance of any published reference to the Exhibition which gives more than a passing mention of RHDM will be subject to RHDM’s prior written approval. OPM should direct such requests to Sally-Ann Felgenhauer, Director of Collections and Exhibitions. Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 9 of 12 15.Exhibition-Related Merchandise a.Merchandise Produced by OPM: Each Party may, at its own initiative and expense, produce merchandise for the Exhibition, provided necessary permission has been obtained from Lenders and copyright holders if applicable. Each Party is responsible for clearing commercial rights. The sale of merchandise between Parties shall be subject to a separate merchandise agreement. 16.Publicity and Photography a.Press Materials: OPM may develop its own press materials and media coverage materials for the Exhibition. RHDM will share its press materials with OPM upon request. Any release specific to the Exhibition shall mention RHDM in a prominent position. RHDM shall review OPM’s press release prior to its dissemination. OPM agrees to refer any national or international press to RHDM’s Director of Marketing and Communications. b.Publicity Images: RHDM can provide images to OPM to be used only for press, promotional and non-commercial educational purposes related to the Exhibition, subject to any restrictions provided by RHDM. In the event OPM seeks to use images for any other purposes, OPM must first confirm with RHDM that the lender of the Work or applicable copyright holder has provided permission for such use either in the loan agreement or in a separate writing. OPM will be individually responsible for all costs and fees for its reproduction and distribution of the images. c.OPM will prohibit visitors from using flash photography, tripods, or selfie sticks in the Exhibition d.Permitted Filming: Provided that permission is obtained from relevant lenders and rights holders, if applicable, OPM agrees to limit filming or photography of the Exhibition by the press and other media organizations to those circumstances where coverage is related to promotion of the Exhibition. Any/all authorized photography is subject to the following restrictions: i.Lights may not be too close or intense. ii.Flashbulbs or flash equipment may never be used without RHDM’s permission. iii.Photography may be done only on the premises of OPM, under constant supervision of an appropriate member of OPM’s staff. e.Requirements – Image Reproduction: Images reproduced from black-and- white photographs or negatives, color transparencies, scans, or slides, whether for publicity or any other purposes, may not be cropped or bled off the page, printed in any single color other than black, nor may anything be Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 10 of 12 superimposed on the image without the permission of RHDM and the copyright holder, as required. f.Requirements – Information Accompanying Images: Full catalogue information about a Work, its complete ownership credit, the name of the photographer, and other relevant information, including any applicable copyrights, as indicated on the labels supplied with the images or in the Exhibition checklist, must be provided whenever a photograph is reproduced by OPM or distributed for publicity. This information about the Work must appear directly under the reproduction, or on the page facing it. The photographer's credit line and other relevant information, which must always be indicated, may, in an Exhibition brochure, appear in a separate photographers' credit listing. In such listings, the page or number of the reproduction must also be indicated. The copyright designation (where relevant) must, however, be printed immediately under or beside the reproduction, unless otherwise stated. 17.Opening Events and Entertainment Prior to the opening of the Exhibition at OPM, RHDM will provide OPM with a list of suggested guests to receive invitations to opening celebrations to be held by OPM. Such list may include and will identify donors of Works, representatives of RHDM, and other distinguished guests. 18.Final Exhibition Report OPM will send a final exhibition report to RHDM within 90 days after the close of the Exhibition at OPM’s premises. It will include the following information: ●Attendance including overall and, to the extent available, school groups figures ●Operating dates and hours ●Public relations and marketing materials with summary report of media coverage ●Summary of education programs and copies of printed materials ●List of local sponsors ●Installation images 19.Indemnification a.OPM agrees to indemnify, defend, and hold harmless RHDM, its trustees, officers, employees, and agents, from all claims, damage, loss, liability, and expense (including legal fees and expenses) arising from or related to (a) any breach of this Agreement by OPM, and (b) any acts, errors or omissions of OPM, its representatives or agents in connection with the Exhibition or this Agreement. RHDM will indemnify, defend and hold harmless OPM, together Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 11 of 12 their respective directors, trustees, officers, employees, and agents, from all claims, damage, loss, liability, and expense (including legal fees and expenses) arising from or related to (a) any breach of this Agreement by RHDM, and (b) any acts, errors or omissions of RHDM in connection with the Exhibition or this Agreement. 20.Legal Actions or Proceedings a.If any legal actions or other legal proceedings are commenced relating to the Exhibition and OPM is named as a defendant or respondent therein, OPM agrees to give prompt notice to RHDM and to cooperate with RHDM in any litigation that might ensue. Should any action be commenced against OPM and/or RHDM to attach or seize any work in the Exhibition, OPM agrees to cooperate with RHDM in defending itself and RHDM against such litigation. 21.Cancellation a.In the event that RHDM is unable to provide the Exhibition to OPM, RHDM will promptly refund to OPM the Participation Fee already paid by OPM in full and complete satisfaction of its obligation to OPM. b.If circumstances require OPM to cancel its showing of the Exhibition, RHDM must be notified in writing two months in advance of the scheduled opening date and RHDM will refund the Participation Fee. If OPM cancels its showing of the Exhibition less than two months in advance of the scheduled opening date, RHDM will retain the Participation Fee pursuant to Section 6.a (plus any Shared Cost expenses incurred or to which RHDM has committed as of the date of OPM's cancellation). Payment will be due immediately upon cancellation. Should these expenses total less than the estimated Shared Costs, outlined in Exhibit B, a refund will be issued to the OPM for the difference. 22.Force Majeure No party to the Agreement will be responsible or liable for damages caused by a delay or failure in the performance of this Agreement or any provision hereof, or by a delay or failure which causes cancellation of this Agreement, if such a delay or failure is due to a cause beyond its reasonable control, such as, but not limited to, fires, strikes, scarcity of materials or fuel, war or acts of war, acts of mobs or rioters, acts of public authorities, delay or defaults caused by public carriers, or storms, floods, or other acts of nature. 23.Governing Law Docusign Envelope ID: 34B21B90-2AF2-4C6D-B282-E3717AA955E9 Page 12 of 12 This Agreement will be construed according to the laws of the State of Illinois, without regard to its conflict of law provisions. 24.Entire Agreement a.This Agreement between RHDM and OPS is intended as a final expression of the arrangements for the Exhibition and is a complete and exclusive statement of the agreement and understanding of the parties. This Agreement supersedes and replaces all prior documents, correspondence, conversations, and other written or oral understandings related to this Agreement that are not consistent with or are not contained herein. OPM may not transfer or assign this Agreement, in whole or in part, in any manner whatsoever without the prior written consent of RHDM. If the terms enumerated above are acceptable to you, please indicate your approval by signing this contract and returning one copy to RHDM.
