HomeMy WebLinkAboutTiffany Gardens Exhibition Oshkosh Public MuseumEXHIBITION LOAN AGREEMENT This Exhibition Agreement (the "Agreement") is made by and between The Neustadt Collection of Tiffany Glass ("The Neustadt"), located at 5-26 46th Avenue, Long Island City, NY 11101 and the Oshkosh Public Museum (the "Exhibitor"), located at 1331 Algoma Boulevard, Oshkosh, WI 54901. The Neustadt has prepared for circulation an exhibition titled "Tiffany's Gardens in Glass" (the "Exhibition") comprised of the objects (each a "Work" and collectively, the "Works") listed in Attachment 1 hereto (the "Checklist"). The Exhibitor agrees to display the Exhibition in accordance with the following terms and conditions: 1. The Exhibition The Neustadt reserves the right to withdraw a Work or Works from the Exhibition at any time for any reason, but will substitute a work of comparable quality and significance. The Exhibitor agrees that it will show the Exhibition in its entirety, without deletions or additions, unless specific written permission for any such change is obtained from The Neustadt before the Exhibition opens at the Exhibitor's location. The Exhibitor may not change the title of the Exhibition without The Neustadt's advance written approval. 2. Exhibition Schedule Location: Oshkosh Public Museum Dates: July 19, 2025 —January 3, 2026 Any proposed change in an Exhibition location or date of showing must be approved by The Neustadt in writing at least 90 days before the Exhibition opens at that location. 3. Financial Arrangements A. The Exhibitor agrees to pay a participation fee of Fifty Thousand Dollars ($50,000) to The Neustadt in three installments as follows: (1) $20,000 as a deposit to be sent with the executed loan agreement, (2) $15,000 to be paid one month prior to the date of the opening of the exhibition, and (3) $15,000 to be paid one month following the date of the exhibition opening. The Neustadt will invoice the Exhibitor for each payment. Payments shall be made to The Neustadt Collection of Tiffany Glass by check (or other means agreed upon by The Neustadt and the Exhibitor) within 30 days of receipt of such invoice. The Exhibitor also agrees to pay round-trip shipping costs and the actual costs of two couriers (round-trip transportation, lodging, and a $75 per diem per courier) as defined in paragraph 5a. The Neustadt will send an invoice to the Exhibitor for such shipping, courier and insurance costs within thirty (30) days following the date of the installation of the Exhibition. Invoices will be directed to the attention of Sarah Phillips, Director. B. The Exhibitor will bear all local costs incurred in presenting the Exhibition, including, but not limited to, promotion, publicity, unpacking and repacking the Works on the Exhibitor's premises, installation costs, storage on the Exhibitor's premises, educational programs, entertainment, and receptions. The Exhibitor is also responsible for any additional costs that may be specifically outlined in an amendment between The Neustadt and the Exhibitor. C. The Exhibitor may seek sponsorship funding to cover its costs for showing the Exhibition, including, but not limited to, all local costs and the Exhibitor's participation fee (collectively, the "Local Costs"). 4. Credit and Acknowledgments A. The following credit will be displayed prominently at the entrance to the gallery or galleries where the Exhibition is installed and will also appear on all printed materials related to the Exhibition including, but not limited to, press releases, invitations, announcements, brochures, posters, advertising or other publicity. Organized by The Neustadt Collection of Tiffany Glass, Queens, New York. [If applicable] Sponsored by [Name of Sponsor] The Exhibitor will encourage all news media to include this credit line in reporting on the Exhibition. B. Should sponsorship of the Exhibitor's Local Costs be secured, the Exhibitor and The Neustadt will mutually agree upon an appropriate credit line for such sponsor. Such acknowledgment will appear in a separate credit line below The Neustadt's credit line in a typeface compatible with and no larger than that used in The Neustadt's credit line; sponsors' logos may also be used. C. If The Neustadt secures additional financial support for the Exhibition, it reserves the right to change the credit line and the Exhibitor agrees to use such revised credit line. Any revisions to the credit line(s) will be communicated to the Exhibitor in writing. Such revisions shall be included in all print and promotional matter not already in production or existence at the time the Exhibitor receives such revisions. D. A link to The Neustadt's website (www.theneustadt.org) must be included on the Exhibitor's website for the duration of the exhibition. 5. Packing and Shipping A. The Neustadt's Collections + Exhibitions Manager (the "Collections + Exhibitions Manager") will make all arrangements for shipping of the Exhibition to and from the Exhibitor. The method of shipment and the carrier will be agreed upon by both the Exhibitor and The Neustadt. The Neustadt's two couriers (the Executive Director + Curator, the Collections + Exhibitions Manager, or the Conservator) will be sent to the Exhibitor to unpack, install, deinstall, and repack the Exhibition. The Neustadt and the Exhibitor will determine mutually convenient dates for the inbound and outbound shipment of the Exhibition within the limits imposed by the Exhibition Schedule set forth above. B. The Exhibitor agrees to accept delivery of the Exhibition directly into a secure, climate -controlled area on its premises. The Exhibitor will provide appropriate staff members to assist The Neustadt's two couriers with the unpacking, installation, deinstallation, and repacking of the Exhibition. The Exhibitor agrees to store crates and packing materials for the Exhibition in climate -controlled areas meeting the temperature and humidity standards set forth in Section 8, below. As soon as reasonably available, The Neustadt will provide Exhibitor with a list of crates and dimensions, approximated if and as necessary. C. The Exhibitor agrees to comply with The Neustadt's directions concerning the Exhibition's being deinstalled, packed and ready for shipping after the Exhibition closes, according to a mutually agreed -upon schedule. Deinstallation and repacking will take place promptly after the Exhibition closes, under the supervision and with the assistance of The Neustadt's couriers. All the Works must be repacked in their original crate and/or wrapping materials. At its own expense and in consultation with The Neustadt's Collections + Exhibitions Manager, the Exhibitor shall replace packing materials or crates lost or damaged while in its care with comparable materials. No change in packing systems or materials may be made without the prior written approval of The Neustadt. D. If, under any circumstances, the Exhibitor cannot receive the Exhibition on the scheduled date or cannot prepare the Exhibition for its scheduled reshipment in a timely manner, the Exhibitor will advise The Neustadt's Collections + Exhibitions Manager immediately. The Exhibitor agrees to reimburse The Neustadt for any additional costs incurred by The Neustadt due to the Exhibitor's inability to receive the Exhibition or to ship the Exhibition from its premises in a timely manner, provided that the parties will cooperate in transportation and storage changes that become necessary due to inclement weather. 6. Condition Reports and Procedures in the Event of Loss or Damage A. The Neustadt will provide an initial condition report and photograph for each Work in the Exhibition, contained in a condition report notebook that will travel with the Exhibition. These condition reports are to be annotated as appropriate and will be signed and dated by The Neustadt's couriers and an authorized member of the Exhibitor's registrarial or curatorial staff at the time of unpacking and immediately prior to repacking. B. While on the Exhibitor's premises, the Works will be checked on Exhibitor's regular schedules by a qualified member of the Exhibitor's registrarial or curatorial staff. Any change in condition of a Work will be noted on its condition report and reported immediately to The Neustadt in the manner set forth below. If any Work is discovered to be in unstable or otherwise vulnerable physical condition, the Exhibitor will withdraw such Work from the Exhibition immediately. C. No work will be removed from its permanent mounting, and the Exhibitor will not make or permit the making of any repairs or perform any remedial action on any Work, without prior written authorization from The Neustadt, except in the case of an emergency (1) at the direction of an authorized member of The Neustadt's staff on the Exhibitor's premise, or (2) for procedures needed to prevent threatened damage or to arrest further damage in case of an accident, water leak, fire, flood, earthquake, or other immediate threat in circumstances where there is not sufficient time to allow contact to be made with The Neustadt's staff. D. If (1) any Work is damaged, lost, stolen, or subject to emergency procedures, (2) there is any change in the condition of any work, (3) a withdrawal of any Work becomes necessary, the Exhibitor will, on each instance, immediately report such event and its cause, if known, to any Neustadt staff member on the Exhibitor's premises or, if no Neustadt staff member is present, to The Neustadt's Collections + Exhibitions Manager or Conservator by telephone at (718) 361-8489. In any such event, the Exhibitor will comply with the instructions of authorized Neustadt staff with respect to the affected Work. E. Any damage to or change in the condition of any Work will be photographed by the Exhibitor immediately at the time of discovery and the photograph(s) will be included in a written report describing the following: the event and its cause, if known; the condition of the Work including the damage or deterioration, if any; the steps taken by the Exhibitor; and the Exhibitor's recommendations. A copy of such report will be sent by email to the attention of The Neustadt's Collections + Exhibitions Manager at vcomo@theneustadt.org and a hard copy sent by overnight courier to The Neustadt's Collections + Exhibitions Manager. The Exhibitor will promptly provide any additional information concerning such event that The Neustadt may reasonably request. F. In situations requiring immediate action, authorized Neustadt staff may provide verbal consent and direction concerning any necessary treatment or handling of a Work, such consent and direction to be confirmed in writing. After permission is given by The Neustadt, the Exhibitor shall require the person treating the affected Work to document fully any treatment and to append the documentation to the condition report notebook together with a written copy of The Neustadt's written permission for such treatment. 7. Care and Handling; Installation A. The Exhibitor must treat the Works with the same care as it does to comparable property of its own. Notwithstanding the foregoing, Exhibitor must comply with the specific care and handling instructions outlined in Attachment 2. B. The Exhibition must be installed in accordance with The Neustadt's specifications, which will be provided to the Exhibitor at least one (1) month prior to its receipt of the Works. The Exhibitor must also comply with the specific installation requirements outlined in Attachment 2. C. The Works must be exhibited as indicated on the Checklist; lampshades, lamp bases, and finials may not be interchanged. The Works must also be displayed in the cases, light boxes, and frames supplied by The Neustadt. Exhibitor may not make substitutions without The Neustadt's prior written consent. D. The Exhibitor will be responsible for and bear all expenses of the installation of the Exhibition, including, but not limited to, the following: any construction, lighting, and production of graphics. Installation of the Works will not take place until all construction and painting activities in the Exhibition gallery or galleries have been completed. The Neustadt will provide the Exhibition text, graphics, and other didactic materials digitally, which will be used by the Exhibitor to produce object and introductory/explanatory text labels. The content of the Exhibition texts may not be altered or revised by the Exhibitor without the written permission of The Neustadt. 8. Environment A. The Exhibitor will ensure that proper standards of environmental control are maintained in spaces where the Works and their packing materials are stored and displayed, with particular attention given to maintaining acceptable temperature and humidity levels. No Work will be permitted to come into direct contact with any light fixtures or any heating, air condition, ventilation, or electrical outlets. B. Relative humidity levels will be maintained in the range of 45% to 55%. There may not be more than a 5% fluctuation in relative humidity during a 24-hour period. C. A stable temperature will be maintained between 682F and 722F. 9. Security and Safety The Exhibitor will be responsible for the security and safety of the Works while they are on its premises from the time of delivery until they leave for their next destination. The Neustadt will arrange for the security of the Works during transit and the Exhibitor agrees to cooperate with The Neustadt's reasonable requirements for this purpose. The Exhibitor also agrees to confer with The Neustadt concerning security matters relating to the Exhibition while on its premises and to provide authorized Neustadt staff with such information about the Exhibitor's security as they may reasonably request. The minimum security to be provided by the Exhibitor is set forth in Attachment 3, but the Exhibitor agrees that in no event will the security protection provided for the Exhibition be less than what Exhibitor provides for works of similar value and condition in its own collections. 10.Insurance and Risk of Loss A. Wall-to-wall insurance coverage for the Exhibition while in transit and at the Exhibitor's premises will be provided by The Neustadt, under The Neustadt's own Fine Arts Insurance Policy. The Neustadt will provide the Exhibitor, prior to the delivery of the Exhibition to the Exhibitor, with a Certificate of Insurance naming the Exhibitor as an Additional Insured under such coverage. B. The Exhibitor agrees to follow The Neustadt's reasonable instructions, including those given by authorized Neustadt staff at the site of the Exhibition, regarding matters of safety and security for the Works and their handling, packing, unpacking, conditioning, installation, deinstallation, and shipping for the Exhibition. 11. Photography, Reproductions, and Publicity A. As outlined in Attachment 4, The Neustadt shall provide the Exhibitor with a suggested press release and selected high resolution scans of Works from the Exhibition specifically for use in promotional articles, pamphlets, entrance tickets, advertising, the Exhibitor's Web site, and other similar promotional and educational material relating to the Exhibition, as well as for television programs reviewing or discussing the Exhibition. Except with the written consent of The Neustadt, only reproductions and photographs of objects provided and/or duplicated from those provided by The Neustadt may be used in connection with the Exhibitor's showing of the Exhibition. The Exhibitor agrees that all press releases, invitations, announcements, electronic media, and other promotional matter produced by the Exhibitor concerning the Exhibition will carry the full title of the Exhibition as set forth on page 1 of this Agreement and The Neustadt's credit line referred to in Section 4 above. B. Filming and videography of the Exhibition, including television coverage, may be permitted for documentary, educational, or publicity purposes related to the Exhibition, but only if supervised by a member of the Exhibitor's professional staff. C. Photography (including flash photography) by the public is permitted in the Exhibition. D. All photography is subject to the following restrictions: 1. Objects may not be moved or disassembled. 2. The type or wattage of light bulbs may not be changed. 3. The Works will at all times be protected from contact with photographic and video equipment and such equipment will not be permitted to be hazardously close to any Work. E. The Exhibitor will have no claim to any copyright for reproductions of Works in the Exhibition. F. Exhibitor must obtain The Neustadt's prior written consent before using any publicity materials in connection with the Exhibition, such consent not to be unreasonably withheld. To obtain such consent, the Exhibitor must send The Neustadt drafts or copies of all proposed publicity materials. The Exhibitor will remit copies of any printed or electronic publicity or educational material relating to the Exhibition, together with a complete publicity report as specified in Attachment 4, to The Neustadt no later than 60 days after the Exhibition closes at the Exhibitor's location. Notwithstanding the foregoing, Exhibitor is permitted to resize The Neustadt-approved publicity materials to reasonably respond to media opportunities and advertisers' specifications. 12. Product Development A. The Neustadt has developed a selection of retail products based on works in its collection and related to the works in the Exhibition. These products are available to the Exhibitor at wholesale prices for re -sale in the Exhibitor's gift shop/museum store. B. Arrangements, if any, with respect to reproductions of, or other products relating to, the Works will be the subject of a separate agreement. 13. Right of Cancellation; Force Majeure A. The Exhibitor must notify The Neustadt in writing to cancel the signed Agreement. In the event that the Exhibitor must cancel for any reason more than six months (180 days) before the public opening of the Exhibition, The Neustadt shall keep the deposit as set forth in Section 3 and the Exhibitor shall have no further financial obligation to The Neustadt. In the event that the Exhibitor must cancel for any reason with less than 6 months' notice before the public opening of the Exhibition, the Exhibitor agrees to pay the unpaid balance of the participation fee. However, in the event that The Neustadt arranges for an acceptable alternative venue for substantially the same loan period, the fees received from that venue, less the cost of procuring such alternate venue, shall be applied to reduce the amounts payable to The Neustadt under this paragraph. The Neustadt, however, shall have no obligation to procure such alternate sponsor and the Exhibitor is entitled to no reduction of the participation fee for The Neustadt's failure to procure such alternate venue. B. In the unlikely event that The Neustadt must cancel the booking for any reason other than the Exhibitor's failure to meet the material terms of the Agreement, The Neustadt will provide, at minimum, a six-month notice of cancellation. Within 30 days of such notification, The Neustadt will refund in full any fees received from the Exhibitor. C. In no event will The Neustadt be held responsible, nor will the Exhibitor be relieved of its responsibility to pay the participation fee, if inclement weather, earthquake, accident, riot, strikes, or other similar acts over which The Neustadt has no control, prevent the delivery of the Exhibition or portions of the Exhibition as scheduled. 14. Disputes; Limitation of Liability and Indemnification A. Both The Neustadt and the Exhibitor agree to use their best efforts to resolve through discussion and negotiation to their mutual satisfaction any disagreement arising out of or under the terms of this Agreement. Failing a negotiated resolution between the parties, The Neustadt and the Exhibitor agree to participate in a voluntary mediation (with the mediator selected by mutual agreement of the parties), but if after 60 days from the date of the first request by a party for voluntary mediation, no resolution of the dispute has occurred, then the parties agree that the dispute shall be resolved in New York, before a panel of three (3) arbitrators, at least one (1) of whom shall be a lawyer with substantial commercial and art museum law experience, and in accordance with the Commercial Arbitration Rules of the American Arbitration Association in effect as of the date hereof. B. It is the intention of the parties to this Agreement that each party shall be solely responsible for its own actions and activities and the actions and activities of its own officers, employees and agents while acting within the scope of their employment. Except to the extent that a party hereunder (the "indemnified party") or its representatives are negligent, the other party (the "indemnifying party") agrees to hold harmless, indemnify, and defend the indemnified party from and against all claims, damages, losses, and expenses, including, but not limited to, reasonable attorney's fees and disbursements, asserted against or suffered by the indemnified party in connection with or arising out of the indemnifying party's negligent actions (i) under this Agreement or (ii) concerning the Exhibition or the showing of the Exhibition at the Exhibitor's location. C. The Exhibitor agrees that in no event shall any damages payable by The Neustadt as a result of a breach by it of the terms of this Agreement exceed the amount of the participation fee actually paid to The Neustadt and under no circumstance shall the Exhibitor be entitled to receive, in addition to its actual damages or the refunds described above, consequential, incidental, special, or punitive damages. D. Exhibitor agrees that this Section 14 sets forth the only remedies of the Exhibitor hereunder. E. Without regard to choice of law provisions contained herein, nothing contained within this agreement is intended to be a waiver or estoppel of the ability of Exhibitor, as a Wisconsin municipal entity, or its insurer to rely upon the limitations, defenses, and immunities contained within Wisconsin law, including those contained within Wisconsin Statutes §§ 893.80, 895.52, and 345.05 and that such damage limits, caps and immunities shall be used to govern all disputes, contractual or otherwise, as they apply to the parties, their agents, officers and employees. 15. Entire Agreement; Amendments A. This Agreement and its Attachments constitute the entire understanding between The Neustadt and the Exhibitor with respect to the Exhibition. This Agreement supersedes and replaces any previous documents, correspondence, conversations, and other written or oral understandings related to this Agreement. B. This Agreement may not be amended or modified except by means of a written document, signed by both parties, and no waiver of the terms hereof shall be in effect unless in writing and signed by the party making such waiver. 16. Governing Law This Agreement shall be governed by and construed, enforced and performed in accordance with laws of the State of New York without regard to conflicts of law principles thereof. U. Severability In the event that any one or more of the provisions contained herein, or the application thereof in any circumstances, is held invalid, illegal or unenforceable in any respect for any reason, the validity, legality, and enforceability of any such provision in every other respect and of the remaining provisions hereof shall not in any way be impaired or affected, it being intended that all of the rights and privileges contained herein shall be enforceable to the fullest extent permitted by law. 18. Signatures; Binding Agreement The Neustadt and the Exhibitor each warrant to the other that the officer or officers signing this Agreement on its behalf is or are authorized to do so and that it has entered into this Agreement and caused it to be signed on its behalf, intending to be legally bound. The Exhibitor agrees that, prior to the couriers' arrival, an authorized member of the Exhibitor's collections staff, in consultation with other experienced staff members, are permitted to handle only the bronze lamp bases and accessories. 2. Light bulbs in lamps and light boxes must be extinguished at least eight hours of each twenty-four hours. The Exhibitor must provide the means of turning the objects on and off without handling the electric switches of the individual objects. Extension cords and power strips with an on/off switch are the responsibility of the Exhibitor. 3. The Exhibitor's trained staff members are permitted to replace light bulbs with the same type, size, and wattage as previously used. These replacement light bulbs will be provided by The Neustadt. Lamp shades may not be removed when changing light bulbs. 4. The Exhibition is optimally displayed in galleries with limited ambient light. 5. The Exhibitor is permitted to paint the light box for the Grape Vine and Lemon Tree with Trellis window, however the Exhibitor is not permitted to alter the rest of the exhibition furniture in any other way. The exhibition furniture must be returned to The Neustadt in the same condition in which it arrived other than the paint applied by Exhibitor to the light box referenced above. It must also be packed in the same or similar materials and manner in which it arrived. 6. "Do Not Touch" signs must be posted throughout the galleries. Attachment 3 Security The Exhibitor will take all reasonable measures to ensure the security of the Exhibition while at its premises, including, at a minimum, the following: Guard and/or attendant coverage and protection from the dangers of fire, smoke, water damage, loss, theft, and vandalism will be maintained 24 hours a day while the Works are located at the Exhibitor's premises. 2. Constant electronic security monitoring and regular patrols by security personnel will be in place; at least one guard and/or attendant will be deployed in each gallery at all times during public hours. As a security minimum during closed hours, the Exhibitor must have electronic security systems that report to a central station that is manned 24 hours a day. If, in the opinion of The Neustadt, electronic security is inadequate, Guards will conduct evening/night patrols hourly. 4. All entrances into the exhibition galleries will be secured and alarmed when the Exhibition is closed to the public. 5. All intrusion alarms will be checked every morning to verify that they are operating properly; non -working alarms will be immediately restored to service or the Exhibitor will provide alternative security, such as guards, until the alarms are restored to service. 6. All alarms and monitoring devices will have a back-up power supply that will maintain the operation of these units for a minimum of four (4) hours. 7. The Works must be displayed in such a way that they will not be touched by the public. "Do Not Touch" signs must be displayed throughout the galleries. 8. No eating or drinking will be allowed in exhibition galleries, storage areas, or anywhere else the exhibition materials are kept. Attachment 4 Photographs and Publicity 1. The Neustadt will provide a selection of high resolution images and accompanying captions to the Exhibitor for use in promotional and educational materials for the Exhibition, but the costs of any new photography requested by the Exhibitor will be borne by the Exhibitor. 2. Images provided by The Neustadt and approved for promotional and educational reproduction must include a credit stating that such images are owned by The Neustadt and, when possible, accompanied by full documentation including artist's name, title of Work, date, medium, and size. 3. Whether for promoting the Exhibition or any other purpose, images may not be printed in any single color other than black nor may anything be superimposed on the image without submitting a design to The Neustadt for approval. The Exhibitor must notify The Neustadt when such images are posted on the Exhibitor's websites. 4. The Neustadt will provide the Exhibitor with suggested language for press releases. 5. Press releases must be submitted to The Neustadt for final approval before being distributed to media outlets. The Neustadt will review and provide such approval to the Borrower within five working days. 6. The Neustadt must be "tagged" in all exhibition -related social media posts generated by the Exhibitor, including, but not limited to, instagram, Facebook, and X (formerly Twitter). The hashtag for the exhibition is #tiffanyglass. The Neustadt will generate exhibition -related posts on its own social media pages, which may be shared ("regrammed," "retweeted," etc.) with Exhibitor's audience. 7. At the close of the Exhibition, the Exhibitor will send the following materials and information (the "Publicity Report") to the attention of The Neustadt's Executive Director + Curator (the costs of supplying the report will be borne by the Exhibitor) no later than sixty (60) days after the Exhibition closes at the Exhibitor's location: attendance figures for the Exhibition and, for comparative purposes, attendance figures for the same period the previous year; a set of digital images of the installation (minimum: 5 views); 1 copy or digital file of each piece of printed matter produced by the Exhibitor in connection with the Exhibition, such as publicity posters, brochures, checklists, press releases, invitations, and any other material relating to the Exhibition; d. 1 copy or digital file of press clippings of reviews and articles about the Exhibition from newspapers and magazines; e. 1 copy or digital file of each print ad; 1 copy of any digital file produced by the Exhibitor for use by local media in publicizing the Exhibition; 1 digital copy of each television or radio program in which the Exhibition received coverage, if the Exhibitor has obtained copies of such for its own use; address of any websites where information and/or images relating to the Exhibition have been posted; an outline or checklist of the publicity sought or obtained for the Exhibition; and any other similar relevant material relating to the Exhibition and the publicity for the Exhibition.
