CONTRACTOR AGREEMENT:
INSTALLATION OF EPDXY FLOORING- VARIOUS BUILDINGS
THIS AGREEMENT, made on the 15TH day of NOVEMBER, 2024, by and between the CITY OF
OSHKOSH, party of the first part, hereinafter referred to as CITY, and BLACK DIAMOND WISCONSIN,
P.O. BOX 7263, APPLETON, WI 54912, hereinafter referred to as the CONTRACTOR,
WITNESSETH:
That the City and the Contractor, for the consideration hereinafter named, enter into the following
agreement. The Contractor's proposal is attached hereto and reflects the agreement of the parties except
where it conflicts with this agreement, in which case this agreement shall prevail.
ARTICLE I. COMPONENT PARTS OF THE CONTRACT
This contract consists of the following component parts, all of which are as fully a part of this contract
as if herein set out verbatim, or if not attached, as if hereto attached:
A. This Instrument
B. Proposal Solicitation
C. Contractor's Proposal
In the event that any provision in any of the above component parts of this contract conflicts with any
provision in any other of the component parts, the provision in the component part first enumerated
above shall govern over any other component part which follows it numerically except as may be
otherwise specifically stated.
ARTICLE II. PROTECT MANAGER
A. Assignment of Project Manager. The Contractor shall assign the following individual to manage
the project described in this contract:

B. Changes in Project Manager. The City shall have the right to approve or disapprove of any
proposed change from the individual named above as Project Manager. The City shall be

provided with a resume or other information for any proposed substitute and shall be given the
opportunity to interview that person prior to any proposed change. COPY
ARTICLE III. CITY REPRESENTATIVE
The City shall assign the following individual to manage the project described in this contract:

ARTICLE IV. SCOPE OF WORK
The Contractor shall provide the services described in the City's INVITATION FOR BID for the Project
titled "INSTALLATION OF EPDXY FLOORING: VARIOUS BUILDINGS" dated October 11, 2024, and
the contractor's bid form and materials attached as Exhibit A. If anything in the Bid Form conflicts with
the Bid Specifications, the provisions in the Bid Specifications shall govern.
The Contractor may provide additional products and/or services if such products/services are requested
in writing by the Authorized Representative of the City.
ARTICLE V. CITY RESPONSIBLTTIES
The City shall furnish, at the Contractor's request, such information as is needed by the Contractor to aid
in the progress of the project, providing it is reasonably obtainable from City records.
To prevent any unreasonable delay in the Contractor's work the City will examine all reports and other
documents and will make any authorizations necessary to proceed with work within a reasonable time
period.
ARTICLE VI. TIME OF COMPLETION
The Contractor shall complete the project no later than April 1, 2025. Any changes to the completion
date must be agreed upon by both parties in writing.
ARTICLE VII. PAYMENT
A. The Contract Sum. The City shall pay to the Contractor $63,387.50, adjusted by any changes
hereafter mutually agreed upon in writing by the parties hereto.
B. Fee schedules shall be firm for the duration of this Agreement.
i. Method of Payment. The Contractor shall submit itemized monthly statements for services.
The City shall pay the Contractor within 30 calendar days after receipt of such statement. If
any statement amount is disputed, the City may withhold payment of such amount and shall
provide to Contractor a statement as to the reason(s) for withholding payment.
ii. Additional Costs. Costs for additional services shall be negotiated and set forth in a written
amendment to this agreement executed by both parties prior to proceeding with the work
covered under the subject amendment.

ARTICLE VIII. STANDARD PROVISIONS COPY
The CONTRACTOR agrees in all hiring or employment made possible by or 1 esulting from th. s
agreement, there will not be any discrimination against any employee or applicant for employment
because of race, color, religion, sex, sexual orientation, gender identity, or national origin.
ARTICLE IX. CONTRACTOR TO HOLD CITY HARMLESS
The Contractor covenants and agrees to protect and hold the City of Oshkosh harmless against all actions,
claims and demands of any kind or character whatsoever which may in any way be caused by or result
from the intentional or negligent acts of the Contractor, his agents or assigns, his employees or his
subcontractors related however remotely to the performance of this Contract or be caused or result from
any violation of any law or administrative regulation, and shall indemnify or refund to the City all sums
including court costs, attorney fees and punitive damages which the City may be obliged or adjudged to
pay on any such claims or demands within thirty (30) days of the date of the City's written demand for
indemr fication or refund.
ARTICLE X. INSURANCE
The Contractor shall provide insurance for this project that includes the City of Oshkosh as an additional
insured. The contractor's certificate of insurance for this project is attached as Exhibit B.
ARTICLE XI. TERMINATION
C. For Cause. If the Contractor shall fail to fulfill in timely and proper manner any of the
obligations under this Agreement, the City shall have the right to terminate this Agreement
by written notice to the Contractor. In this event, the Contractor shall be entitled to
compensation for any satisfactory, usable work completed.
D. For Convenience. The City may terminate this contract at any time by giving written notice
to the Contractor no later than 10 calendar days before the termination date. If the City
terminates under this paragraph, then the Contractor shall be entitled to compensation for
any satisfactory work performed to the date of termination.
This document and any specified attachments contain all terms and conditions of the Agreement and
any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated
as an amendment to this Agreement.
Signatures. By placing their signatures below, each individual affirms that the entity they represent is
authorized to enter into this Agreement, and further affirm that they are authorized by the entity they
are representing to bind their respective parties to the terms and conditions of this Agreement.

SURFACE PREPARATION
CHECK FOR MOISTURE Concrete must be dry before application of this floor coating material. Concrete moisture testing must oc-
cur. Calcium chloride testing or "In -situ" relative humidity testing Is recommended. Readings must be belc N the defined thres Id
as specified for each Purepoxy system to be installed directly to the concrete substrate.
CHECK THE TEMPERATURE & HUMIDITY Floor temperature and materials should be between 55°F (18°C Cd op-Cu ldi-
ty must be less than 95%. Do NOT coat unless floor temperature is more than (5°F) over the dew point.
SURFACE PREPARATION Requires ICRI CSP 3. This product requires proper surface profile to perform as expected. Substrate must
be mechanically profiled (ASTM 4259-83), clean, sound, and dry.

The temperature of the (A) and (B) portions should be between 700 and 80°F (200-250C). MIX them separately to ensure a uniform
consistency. For a 3 gallon kit add (Side-8) Into (SIde-A) in a 3.5 gallon bucket. Mix contents thoroughly until all components are
completely incorporated and no streaking Is observed. Thinning is not recommended. The portions of each side is accurately
measured to ensure optimum product performance. Pouring from one container to the other (boxing) during mixing is very helpful
In ensuring complete mixing. Mix for 2 minutes.
APPLICATION
After mixing all contents as Instructed, Immediately pour out into a ribbon on the surface. Squeegee the material out evenly and
check for desired film thickness by using a wet -film thickness gauge. Back -rolling and then cross rolling Is critical. Allow to dry
mtnlmum of 12 hours before recoat.
HEALTH AND SAFETY

1. Pre -mix Part B with a with a drill ana j117 type mixing de 0
low speed. If pigmenting, add a pint of U-Tint per gallon kit and
mix until uniformly dispersed. Slowly add Part C Filler and mix
for 3 minutes until thoroughly blended. Add partA and mix for 3
additional minutes. Do not mix more than 1 kit at a time.
2. Using a brush, cut in any edges and areas that will, not allow
coverage with a roller. He careful to apply thin around all floor
obstructions and at the base of a cove (floor and wall Junction).
Material applied to cove or vertical surface will run, teaving
a pool at the base. These areas can be rolled out with a small
roller designed for edging.
3. Pour mixed material into a roller pan and apply with a 3/8"
nap roller cover at 600 sq. ft./gat. It you apply thicker than
recommended, you are more likely to create: bubbles, soft film,
texture and gloss variation.
4. Dip the roller In the material and lightly roll off excess coating in
the roller pan, Ro(( across your area right to (eft or (aft to right,
2 parallel paths on the concrete that are approximately 8-10
feet in length. Repeat the dip and roll process, so there are 4
adjacent roller paths in front of the applicator. Agitate the mixed
material In the roller pan frequently, as the Part C fitter can
settle to the bottom of the pan. Rolling out excess fitter from the
bottom of the ratter pan can impact color and texture.
5, Back -roll the coating up and back across the previously applled
paths (perpendicular) using a V-shape pattern to evenly spread
the material and remove roller tines. There should be just
enough material on the floor to cover the area. The final rolling
passes should be straight up and back. Pulling material down
toward the applicator and reaching to overlap at least 1 ft,
into the previously applied area will allow better blending of
application marks.
6. Move over or down the floor and repeat steps 4 and 5. To help
prevent visual differences in application be sure to minimize
the time between tle-Ins. Use control joints or natural breaks as
breaking points between mixes.
7. To better blend overlap and application marks, have a separate
person finish roll no more than 20 minutes behind the other
rollers on spiked shoes by pulling a wet roller across the
entire area in the same direction as the original roper passes.
The material will not flow out, so the coating wilt cure with
any defects that are visible. Reroll areas that do not look
satisfactory.
8. Do not back roll coating that has begun to tack up. This could
result in an orange peat texture andlor a whitelah haze in the
coating. Applying the coating thicker than recommended or
rolling the material when sticky will cause bubbles, roller lines/
inconsistent appearance,

PRODUCT DESCRIPTION
Slkafloorm-24 NA PurCem° FS is a state of the art,
phthalate -free, water dispersed polyurethane based
/cement and aggregate screed, applicable at '
thicknesses ranging from 80 to 160 mils (2 to 4 mm).
It is designed to be installed as a self leveling floor or
topping that provides an easy -to -clean, smooth surface
with slip resistance values and is typically used for
general, industrial applications. Sikafloor®-24 NA
PurCem® FS represents superior polyurethane/cement
technology, combining easier --application, resistance to
blistering and improved performance.

Sikafloor®-24 NA PurCem® FS may only be used by
experienced professionals.
Typically used in areas of medium to heavy loading and
abrasion, to provide a smooth, flat and thin self -
leveling layer in general industrial areas, including
warehouses, production facilities, laboratories and
workshops, either with or without a Sikafloor® sealer
top coat.
As thin layer, flat but slip -resistant screed in
commercial environments, with a suitable UV -stable

Smooth Appitcatton
Primer
For smooth applications, a primer or scratch is required.
Mix and apply a primer coat of Slkafloor-31NA PurCem
FS at a consumption of approximately 165 ft2/unit 6

Scratch Coat (000nal)
Where the surface profile requires such.and where a flat
floor is intended, mix and apply a scratch coat of
Sikafloor®-24 NA PurCem® FS using steel trowels to
spread the materials at consumption of approximately •
215 ft2/unit (20 m2/unit) per unit, achieving a minimum
40 mils (1 mm) thickness. This application must be
applied to seal the concrete surface, fill in surface -
Irregularities; including pock marks, -non-moving control
joints and cracks., (Note: Should the scratch coat at 40
mils (1 mm) not fill and level the irregularities, additiona
coats can be applied, observing the necessary inter -coat
curing times).
Allow a cure period. of at least 3 hours at 20°C (68°F)
before application of the screed.
Smooth Screed
Mix and pour the Sikafloor°-24 NA PurCem® FS onto the
floor. Spread to the desired thickness, from 80 -160 mlls
(2 - 4 mm), at approximate consumptions of 107 ft2 (10
m2) per unit at 80 mils (2 mm) to 53.5 ft2 (5 m2) per unit
at 160 mils (4 mm), using a notched trowel or pin or cam
gauge rake. Note: Take care to spread freshly mixed
materials across the transition of previously applied
mixes before the previously applied material begins to
set. Immediately spike roll the surface to release
trapped air in the matrix. Roller spikes must be at least
three times longer than the applied product thickness.
Allow a minimum 18 hours cure period at 68°F (20°C)
before foot traffic.

PRODUCT DESCRIPTION
Sikafloor®-510 is a clear two -component, solvent -free,
high solids, low -viscosity, high strength, polyaspartic
resin system. Sikafloor®-510 is designed to be installed
as a clear topcoat over a quartz or flake broadcast
system where a low VOC, quick cure, flexible, UV
resistance finish coat is necessary. Slkafloor®-510 Is
available in clear or with SikafioorO Urethane Color
Additive to achieve a variety of colors.
USES
Sikafloor®-510 may only be used by experienced
professionals.
Typically used in decorative applications, chemical
storage areas, warehouses, washrooms, laboratories,
food preparation areas and chemical process plants.

MIXING
Mixing Ratio - 3 -.2 by volume.
For bulk packaging, when not mixing full units, each
component must be pre -mixed separately to ensure
product uniformity.
Clear Resin:
Premix each Component separately. Empty Component
B (Hardener) in the correct mix ratio into Component A
(Resin). Mix the combined components for at least 3
minutes using a low speed drill (300 - 450 rpm) and
Exomixer or Jiffy type paddle suited to the volume of the
mixing container to minimize entrapped air. Be careful
not to introduce any arr bubbles while mixing. Make
sure the contents are completely mixed to avoid any
weak or partially cured spots In the coating. During the
mixing operation, scrape down the sides and bottom of
the container with a flat or straight edge trowel at least
once to ensure complete mixing.
Field Pigmented,
If color is desired, Sikafloor' SCO Additive is added to
Component at a rate of 1 quart per2.5 mixed gallons
(i.e. Components A+B) for all colors. Mix Component A
and Sikafloor' Urethane Color Additive for 2 minutes or
until a uniform color is achieved with a low speed drill
(300-450 rpm) and Exomixer or Jiffy type paddle suited
to the volume. Empty Component B (Hardener) in the
correct mix ratio to Component A (Resin) and mix for
additional 2 minutes. Be careful not to introduce any air
bubbles while mixing. Make sure the contents are
completely mixed to avoid any weak or partially cured
spots In the coating. During the mixing operation, scrape
down the sides and bottom of the container with a flat
or straight edge trowel at least once to ensure complete
mixing.
APPUCATION
As a pigmented topcoat/sealer coat for smooth or
broadcast finish:
Squeegee and back roll Sikafloor®-510 to provide a
uniform coverage without ponding at a thickness of
10-15 mils (160-107 W/gal). if required, repeat this
procedure for a second coat.
As a dear topcoat for a broadcast quartz or flake
system:
Squeegee and back roll Sikafloor)-510 to provide a
uniform coverage without ponding at a thickness of
10-15 mils (160-107 W/gal). If required, repeat this
procedure for a second coat. As a stand-alone double
broadcast quick cure decorative quartz and flake system:
Step 1: Primer - Apply a neat coat of Sikafloor®-510 on a
prepared substrate as a primer using a squeegee and
roller without ponding at 5-10 mils (160-320 W/gal).
Note: When using Sikafloor®-510 as primer extra
precaution has to be taken on the substrate preparation

is free of all loose particles and dust.
Step 3: Second Broadcast Application - Squeegee and
back roll Sikafloor®-510 to provide a uniform coverage
without ponding at a thickness of 10-15 mils (160-107 ft
2/gal). Broadcast pre -blended decorative flakes or
colored quartz aggregates into the binder to saturation.
Broadcast in a manner so that aggregates fall vertically
into the binder. Broadcast to rejection. Ensure that
broadcast flakes/aggregates cover entire surface. Allow
broadcast system to cure sufficiently to be able to resist
foot traffic without damaging the surface. Remove
excess flakes/aggregates from the surface. Removal of
excess flakes/aggregates is carried out by sweeping up
the flakes/aggregates, followed by vacuuming, until
surface is free of all loose particles and dust.
Step 4: Finish Coat - Squeegee and back roll Sikafloorm-
510 to provide a uniform coverage without ponding at a
thickness of 10-15 mils (160-107 W/gal). When
required, repeat this procedure for a second coat.
LIMITATIONS
Notes on Umitations;
Prior to application, measure and confirm Substrate
Moisture Content, Ambient Relative Humidity, Ambient
and Surface Temperature and Dew Point. During
installation, confirm and record above values at least
once every 3 hours, or more frequently whenever
conditions change (e.g. Ambient Temperature rise/fall,
Relative Humidity increase/decrease, etc.).
Substrate Moisture Content: Moisture content of
concrete substrate must be S4 % by mass (pbw - part by
weight) as measured with a Tramex® CME/CMExpert
type concrete moisture meter on mechanically prepared
surface according to this product data sheet
(preparation to CSP-3 to CSP-4 as per ICRI guidelines).
Do not apply to concrete substrate with moisture levels
>4 % mass (pbw- part by weight) as measured with
Tramex® CME/CMExpert type concrete moisture meter.

When relative humidity tests for concrete substrate are
conducted per ASTM F2170 for project specific
requirements, values must be S85 %. If values are >85
according to ASTM F2170 use Sikafloor® 1610 or
Sikafloor° PurCeml 22NA or 24NA. ASTM F2170 testing
is not a substitute for measuring substrate moisture
content. Use a Tramex® CME/CMExpert type concrete
moisture meter as described above
Material Temperature: Precondition material for at least
24 hours between 65 °F to 75 °F (18-24 'C)
Ambient Temperature: M inimu m/Maximum 50/85 ' F
(10/30 'C)
Substirate Temperature: Minimum/Maximum 50/85 'F
(10/30 'C). Substrate temperature must be at least 5 'F
(3 'C) above measured Dew Point. Mixing and
Application must adhere to Material, Ambient and
Substrate temperatures listed above or a decrease in
product workability and slower cure rates will occur.
Relative Ambient Humidity: Minimum ambient humidity
30 %/Maximum ambient humidity 75 % (during
application and curing)
Note: Low Relative Ambient Humidity may result in
slower cure.
Dew Point: Beware of condensationi
The substrate must be at least 5 'F (3 'C) above the Dew
Point to reduce the risk of condensation, which may lead
to adhesion failure or "blushing" on the floor finish. Be
aware that the substrate temperature may be lower
than the ambient temperature,
Mixing: Do not hand mix Sikafloor® materials,
Mechanically mix only.
Do not thin this product, Addition of thinners (e.g.
water, solvent, etc.) will slow cure and reduce ultimate
properties of this product. Use of thinners will void any
applicable Slka warranty,
Application: If Sikafloor)-5101s used as a primer, apply
the coating to the prepared substrate using a squeegee
and back roll to provide uniform coverage. Ensure that
the coating is pore -free and pinhole -free and provides
uniform and complete coverage over the entire
substrate. If necessary, apply an additional coat to
ensure the coating Is pore -free and pinhole -free and

Whenever Contractor shall be, and declared by Owner to be in default under the Contract, the Owner having performed
Owner's Obligations thereunder, the Surety may promptly remedy the default, or shall promptly
1. Complete the Contract in accordance with its terms and conditions, or
Obtain a bid or bids for completing the Contract in accordance with its terms and conditions, and upon determination by
Surety of the lowest responsible bidder, or, if the Owner elects, upon determination by the Owner and the Surety jointly
of the lowest responsible bidder, arrange for a contract between such bidder and Owner, and make available as Work
progresses (even though there should be a default or a succession of defaults under the contract or contract of completion
arranged under this paragraph) sufficient funds to pay the cost of completion less the balance of the contract price; but
not exceeding, including other costs and damages for which the surety may be liable hereunder, the amount set forth in
the first paragraph hereof. The term "balance of the contract price", as used in this paragraph, shall mean the total
amount payable by Owner to Contractor under the Contract and any amendments thereto, less the amount properly paid
by Owner to Contractor.
PROVIDED, FURTHER, that it is expressly agreed that the BOND shall be increased automatically and immediately, without
the need for separate amendments hereto, upon amendment to the Contract that does not increase the contract price more
than ten (10) percent, so as to bind the PRINCIPAL and the SURETY to the full and faithful performance of the CONTRACT
as so amended. The term "Amendment", wherever used in this BOND, and whether referring to this BOND, the Contract or
the Loan Documents shall include any alteration, addition, extension, or modification of any character whatsoever.

CONDITIONS
1. A claimant is defined as one having a direct contract
with the Principal or with a Subcontractor of the
Principal for labor, material, or both, used or
reasonably required for use in the performance of the
Contract, labor and material being construed to
include that part of water, gas, power, light, heat, oil,
gasoline, telephone service or rental of equipment
directly applicable to the Contract.
2. The above named Principal and Surety hereby jointly
and severally agree with the Owner that every
claimant as herein defined, who has not been paid in
full before the expiration of a period of ninety (90) days
after the date on which the last of such claimant's work
or labor was done or performed, materials were
furnished by such claimant may sue on this bond for
the use of such claimant, prosecute the suit to final
judgement for such sum or sums as may be justly due
claimant, and have execution thereon. The Owner
shall not be liable for the payment of any costs or
expenses of any such suit.
3. No suit or action shall be commenced hereunder by
any claimant.
a. Unless claimant, other than one having a direct
contract with the Principal, shall have given written
notice to any two of the following: The Principal,
the Owner, or the Surety above named, within
ninety (90) days after such claimant did or
performed the last of the work or labor, or furnished
the last of the materials for which said claim is
made, stating with substantial accuracy the
amount claimed and the name of the party to whom
the materials were furnished, or for whom the work
or labor was done or performed. Such notice shall
be served by mailing the same by registered mail
or certified mail, postage prepaid, in an envelope
addressed to the Principal, Owner or Surety, at any
place where an office is regularly maintained for
the transaction of business, or served in any
manner in which legal process may be served in
the state in which the aforesaid project is located,
save that such service need not be made by a
public officer.
b. After the expiration of one (1) year following the
date on which Principal released work on said
Contract, it being understood, however, that if any
limitation embodied in this bond is prohibited by
any law controlling the construction hereof such
limitation shall be deemed to be amended so as to
be equal to the minimum period of limitation
permitted by such law.
c. Other than in a state court of competent jurisdiction
in and for the county or other political subdivision
of the state in which the project, or any part thereof,
is situated, or in the United States District Court for
the district in which the project, or any part thereof,
is situated, and not elsewhere.
4. The amount of this bond shall be reduced by and to
the extent of any payment or payments made in good
faith hereunder, inclusive of the payment by Surety of
mechanics' liens which may be filed of record against
said improvement, whether or not claim for the amount
of such lien be presented under and against this bond.
