May 15, 2023
PRESENT: Susan Panek, Todd Hutchison, Matt Mugerauer, Meredith Scheuermann,

Mugerauer called the meeting to order at 4:00 p.m. Roll call was taken and a quorum
declared present.
Approve March 20, 2024 Meeting Minutes
Motion by Hutchinson to approve the March 20, 2024 Meeting minutes.
Seconded by Panek.
Motion carried 6-0.
*24-07 Certification of Sawdust District Redevelopment Area Project Plan
Mr. Lyons said that the final plan in a redevelopment plan is the certification of the
plan. The state statute gives the RDA the authority to follow the project plan. It does
limit what someone can do on their property if it is out of compliance with the plan but
allows them to continue the maintenance. This will help make sure that new
construction is compliant or compatible with the project plan.
Motion by Belter to approve 24-07.
Seconded by Panek.
Mr. Belter asked if there is a timeline on this plan or if they expire.
Mr. Lyons said that he believes they do not expire but he will double check.
Mr. Bellcorelli asked if there were any questions at the last meeting since he was not
able to attend.

Mr. Lyons said that there wasn’t much conversation at the last RDA meeting and not
any at the Council meeting.
Ms. Panek asked if once it’s approved by RDA if there’s another step or if it goes to
Council.
Mr. Lyons said that it goes right to Council.
Motion carried 6-0.
Presentation on West 8th Avenue and West 9th Avenue Redevelopment Proposal
Mr. Lyons said that there is a request on ten parcels owned by the city of Oshkosh that
are located between 7th and 8th Avenue and between Oregon and Nebraska Street. After
the presentation, RDA will go into closed session to discuss price of acquisition and
then after closed session, RDA will make formal action.
Jabril Odogba, Evan Williams and Oluwapelmi Oguntade are with Pangaea Dimensions
and are proposing townhomes in the ten parcels.
Ms. Oguntade said that most of the lots are owned by the city. The ones that are
privately owned will be approached as well. Their focus is on sustainable and
workforce housing and these townhomes would be available as rentals. They believe
this would be aligned with the city’s housing study.
Mr. Williams said the proposed plan would include 23 two-floor, two-bedroom one and
a half bath townhomes that would include two car garages for each unit. It does include
recreational space that would be open to the public as well as the residents of the
townhomes. In the design process of the townhomes, they wanted to bring the features
of downtown and follow the characteristics of the neighborhood.
Ms. Panek asked if they were able to acquire the privately owned properties if they
would add more townhomes.
Mr. Williams said that the preference would be to add additional townhomes so the sets
of two that are located on 9th and 8th Ave wouldn’t be separated.
Ms. Panek asked why they chose Oshkosh and if they have other developments in this
area.

Mr. Odogba said they chose Oshkosh because of a presentation that was given about
the different municipalities at an event in Madison. After conversations with staff, they
had originally had two different sites but the other one was contaminated. They have
developed in the Milwaukee area different properties; including mixed-use, single
family and duplexes.
Mr. Lyons said that he and City Manager Rohloff attended an event that WHEDA had
hosted about workforce housing. It was a chance for communities to give their own
pitch on sites available to developers.
Ms. Panek asked what the developers mean by Workforce housing.
Mr. Odogba said that it is 80% of the area median income (AMI).
Mr. Hutchinson asked if they plan on turning any of these townhomes into accessible
homes.
Mr. Odogba said that it depends on the incentives they might receive.
Mr. Williams said that they would be willing to add accessibility features if there was
interest.
Mr. Hutchinson asked what type of funding they are using and if there is a reason they
are choosing to develop workforce housing.
Mr. Odogba said that the majority of their developments have been workforce housing
but they would be willing to go with a mix of workforce and low to moderate income
housing.
Mr. Belter asked if city staff have seen these plans before.
Mr. Lyons said that they have. He also mentioned that the developers are asking for a
year to work through acquisition of remaining properties. He said that based on
feedback from the RDA, there will be some benchmarks they have to meet to order to
move forward. As an example, they will have until October to finalize the scope of the
project which includes if they are able to acquire the additional properties.
Mayor Mugerauer asked how many more townhomes would be built if they acquired
the privately owned properties.
Mr. Williams said it would be an additional 15-20 units.
Mayor Mugerauer said that this project is unique and definitely tackles housing deficits
the city has.

Mr. Panek questioned what a two story would look like versus a three story.
Mr. Lyons said that all of the units are designed as three story, but if there were any
remaining homes left on the lot, they could work with the developer to soften the units’
aesthetic to fit the remaining home.
Mr. Hutchinson asked if the goal is to have this project go all the way to Nebraska
Street.
Mr. Lyons said that that if the developer acquired all the lots, it would go all the way to
Nebraska Street.
Mr. Belter said that the townhomes are nice, but his concern is that the designs seem to
be backwards. He asked if they were able to acquire all the lots if they would flip the
design and tenants could drive in the back and the living space towards the front. He
said that with the driveways in front, street parking has been eliminated.
Mayor Mugerauer said that he disagrees and believes it is a controlled space and
becomes private.
Mr. Belter said he believes it will cause this area to be more like a gated community.
Mr. Williams said that there will be open space and it will be more inviting and not
closed off to the community and the residents and public will have community space
access.
Mr. Bellcorelli asked if there was a way to create an entrance.
Mr. Williams said that they could create a park entrance for the community space.
Mr. Lyons said that this is a concept that he has seen work well in other municipalities.
Mr. Belter asked if the required pro forma has been done to make sure there will be an
appropriate ROI.
Mr. Odogba said that is the next step.
Mr. Belter asked if they are working with Milwaukee based banks or local banks.
Mr. Odogba said that they have met with Milwaukee and local banks.
Mr. Belter said that he likes this project and hopes the whole block could become the
townhomes.

Ms. Panek asked who the management company will be that will oversee the
townhomes.
Ms. Oguntade said that one of the development companies they work with has a
management company they will use for this project.
Mr. Hutchinson asked what the average rent would be for these properties.
Ms. Oguntade said it’s around $1700.
Mr. Bellcorelli asked if there would be a way to make the back of the units look less
dormitory style.
Mr. Williams said that they could, this is a conceptual plan.
Mr. Belter asked Mayor Mugerauer if he would be interested in incentivizing the
developer to make more affordable units with a lower rent.
Mayor Mugerauer said that workforce housing is considered deficient and there is
access to lower income housing. This would qualify for workforce housing.

Mayor Mugerauer said that he likes the project and it covers deficiencies in housing in
the area. He said that the sites were acquired using CDBG funds, and requirements are
that the sites are either sold for fair market value or are used for low income housing.
Mr. Odogba asked if there have been any appraisals done on the sites.
Mr. Lyons said that the city assessor did go through to set a value.
Mr. Williams asked if one of the properties were rented at a low income, if the sale price
of the lot could be altered.
Mayor Mugerauer said that they have the ability to work with city staff to amend the
offer to purchase if applicable later on and there is a possibility of other incentives in the
future.

Washington School Update
Mr. Lyons said that the school district did approve the purchase price of Washington
School. The item went through Plan Commission and Council and was approved and it
will continue to go forward. The project might come back through RDA for blighting to
be approved for block grant funds for demolition.
Ms. Panek asked if staff has a cost of the demolition and if CDBG has enough funds to
cover it.
Mr. Lyons said they have an estimated cost and there are enough funds in CDBG funds
to cover the estimated cost.

Ms. Panek said she heard that this project is in collaboration with Habitat for Humanity.
Mr. Lyons said that Habitat for Humanity does have some funding sources available to
help assist with getting the lots ready.
Mayor Mugerauer said the plan is to have the City and Habitat split costs evenly.
Executive Director Report
• Sawyer Street/Oshkosh Avenue
RDA has acquired the home on the south side and the demolition did take place.
Council did approve an agreement for the redesign of that intersection. The TIF district
would have sufficient funds probably later in the 2020’s.
• South Shore Redevelopment Area
Staff continues to work with the owners at Pioneer and discuss potential projects
and try to help them find development there. They do plan on operating the tiki
bar in that area this summer.
• Boatworks
The owners have not moved forward on the project. They had concerns about
contamination but it was determined to have little cleanup cost.
• Mill on Main
Council has amended the development agreement at the end of March to give
them until the end of 2024 to construct. They have gotten in contact with local
lenders and it seems like they have more favorable terms with local lenders.
They are hoping to break ground in the fall of 2024.
• Mercury Marine
This is in the Marian Redevelopment Area. Mercury Marine has approached city
staff about buying some property from the City in order to build a parking lot.
• Morgan Crossing Phase II
There was a TID created but the developer has not moved forward with the
development.

Staff has been working with ATC on numerous easements they are requesting
from the city, RDA and private properties.

PURPOSE: APPROVE OFFER TO PURCHASE REDEVELOPMENT AUTHORITY
LOT GENERALLY LOCATED BETWEEN WEST 7th AVENUE and WEST
8TH AVENUE WEST OF SOUTH MAIN STREET, PARCEL, 0300780100;
MELLENIUM CONSTRUCTION ($1.00)
BE IT RESOLVED by the Redevelopment Authority of the City of Oshkosh that
the offer to purchase in the amount of $1.00 submitted by Mellenium Construction for
the property generally located between West 7th Avenue and West 8th Avenue, West of
South Main Street, Parcel Number 0300780100, is hereby accepted and the proper officials
are hereby authorized and directed to execute any and all documents necessary for
purposes of same.
BE IT FURTHER RESOLVED that the terms of said offer to purchase
agreement shall include, but not be limited to:
1) Schedule pre-submittal meeting with City of Oshkosh staff for conceptual plan
review prior to September 15, 2024.
2) Finalize and submit to the City of Oshkosh Department of Community
Development any request for development support, including identification of
any financial gaps by October 1, 2024.
3) Obtain land use approval by November 26, 2024.
4) Submit Wisconsin Housing Economic Development Authority (WHEDA)
Housing Tax Credit (HTC) conceptual project submission by December 6, 2024.
5) Submit Wisconsin Housing Economic Development Authority (WHEDA)
Housing Tax Credit (HTC) conceptual project submission by March 21, 2025.
6) Finalize Developer Agreement with the City of Oshkosh (if required) by June 1,
2025.
7) Purchase land from Oshkosh Redevelopment Authority by July 15, 2025.

BACKGROUND
The 2024 Sawdust District Redevelopment Plan identified the subject area for commercial and
recreation redevelopment. In 2004, the Redevelopment Authority (RDA) began acquiring
parcels in the area, acquiring a total of six (6) parcels within the subject block for a total
investment of over $900,000.
The parcels have been combined into one parcel of 1.3 acres and has varying levels of
contamination throughout the whole site. The city was granted an EPA grant to investigate the
parcel and has completed a Phase I and Phase II on the site with existing contaminates still on
site. The contamination will need to be addressed when the site is redeveloped.
ANALYSIS
Mellenium Construction has submitted an Offer to Purchase to the RDA for consideration. The
developer followed the RDA’s requirements of submitting the necessary materials for city staff
and RDA members to review for consideration. The developer is proposing to construct a
mixed-use development with commercial, low-income apartments and townhomes on the
subject parcels. The developers are proposing to construct low-income apartment units,
commercial space townhomes. The developer has proposed to submit a Low-Income Housing
Tax Credit application to WHEDA to help fund the apartment construction portion of the
development. The proposed development will need land use approvals through the Plan
Commission and City Council. The developer has indicated they may seek additional
development support once the project scope is established. As a result of the potential for
additional acquisition the developer is seeking an offer period of approximately twelve (12)
months. Based on past RDA conversations staff is proposing that specific benchmark dates be
added to the resolution to ensure the development moves forward in a timely fashion.

Mellenium Construction is proposing to pay $1.00 for the subject parcel.

Submittal Requirements:
1. The Offer to Purchase form for RDA parcels must be filled out and is available online at
www.DevelopOshkosh.com.
2. The Offer to Purchase must be approved by the RDA board at its regular meeting.
3. Design and character of the proposed use must fit that of the neighborhood as approved by
the City of Oshkosh Department of Community Development staff.
4. Buyer is responsible for all development costs including the cost of surveys and permits.
5. Project must be compliant with and meet all city codes.
6. The City reserves the right to deny any applicant based on the applicant’s inability to
provide adequate information needed to determine eligibility, as determined by the
Department of Community Development staff of the City of Oshkosh.
7. Buyer is responsible to submit a preliminary site plan (drawn to scale), floor plan and
elevations, a narrative of the proposed use, and showing the ability to obtain funding to
construct the home at the time of making the Offer to Purchase.
8. Projects will be evaluated using the attached scoring matrix. (see Attachment A)
Conditions: All property transactions are subject to the following terms and conditions unless the
Redevelopment Authority explicitly agrees to any other terms:
1. The property will be sold by the Redevelopment Authority, and accepted by the buyer, in
an as-is condition. The City of Oshkosh and the Redevelopment Authority of Oshkosh
make no representations regarding the property. Specifically, there are no warranties,
whether explicit or implied, related to the property except those made by providing the
buyer with a Warranty Deed.
2. The Redevelopment Authority is exempt from any requirement for providing a property
condition report as described in Wisconsin Statutes 709.01, and therefore no condition
report will be provided. In the event it is later determined that the Redevelopment

Authority does not meet a property condition report exemption, the buyer explicitly waives
the right to receive a property condition report and also waives the right to rescind the
transaction due to the lack of a property condition report.
3. The Redevelopment Authority has in most cases owned the property for a short time, and
typically only after the property became distressed with the house needing to be torn down
to correct the blighted property’s condition. The Redevelopment Authority’s knowledge of
the property is therefore limited.
a. Upon request, the buyer is welcome to perform a site visit at the property, as well as
inspect all available public records in the Redevelopment Authority or City of
Oshkosh’s possession in order to make its own determination about the property’s
dimensions, boundary locations, and condition.
b. The buyer is responsible for making determinations regarding exact property lines,
location and responsibilities of fencing, and any environmental issues that may be
present. The Redevelopment Authority will assist in making records it has to be
available for inspection, but it remains the buyer’s responsibility.
c. The Redevelopment Authority also makes no representations regarding the removal
of basements and foundations on vacant properties that formerly contained a
structure. This is not an issue that the Redevelopment Authority or the City of
Oshkosh has tracked with very much detail. However, in properties where
structures were removed in 2013 or earlier, there is a good chance that the basement
was broken up but remains buried within the property. Structures removed after
2013 have a better chance of having the basements and foundations removed.
However, for either sets of properties, the Redevelopment Authority makes no
assurances regarding subsurface debris either way. If this issue is important to the
buyer, it is recommended that they perform whatever due diligence may be
necessary to ensure that the property they are receiving is acceptable.
4. The Redevelopment Authority is hopeful that the buyer will have a successful
development. However, the Redevelopment Authority cannot guaranty that the buyer will
be able to carry out the desired development. The buyer is expected to investigate the
existence and location of curb cuts, driveway aprons, utility connections and laterals, and

all other items important to develop the property. All development remains subject to all
local, state, and federal rules, regulations, and approvals.
5. The Redevelopment Authority makes no representations regarding the surrounding
properties and neighborhood. The buyer is encouraged to investigate surrounding zoning
and land uses, both current as well as known potential future changes. This includes,
without limitation, viewing the sex offender registry as operated by the Wisconsin
Department of Corrections.
6. The Redevelopment Authority has not retained and is not using a broker or other real estate
or other professionals in this transaction and will not be responsible for the payment of any
fee or other cost for such services, regardless of whether the buyer may have retained the
services of such broker, real estate professional, attorney, accountant, or others to assist in
the transaction. The City will pay only those closing costs normally attributed to the seller
in a real estate transaction, or as otherwise agreed to in writing by the parties.
7. This Offer, and any counteroffers, must be approved by the Redevelopment Authority.
Therefore, the schedule for approvals and closings is subject to change or delay based on
the scheduling of Redevelopment Authority meetings. Offers may be withdrawn without
penalty up until the Redevelopment Authority accepts an offer. Counter offers must be
accepted and transmitted to the other party within five (5) business days or they will be
considered rejected. Closings shall be held as soon as practicable after the Redevelopment
Authority has accepted an offer. In the event the City at its sole discretion determines that
an agreed-upon closing is being unnecessarily delayed, the City retains the sole discretion
to set and provide notice of a closing date no later than thirty (30) calendar days from the
date it makes that determination. The buyer’s failure to agree to close the transaction
within this thirty (30) day time period will void any interest the buyer has in the property
and the Redevelopment Authority may pursue other buyers for the property.
8. These conditions will survive after the conveyance of the property.

PURPOSE: APPROVE OFFER TO PURCHASE VACANT RESIDENTIAL LOT AT 653
MOUNT VERNON STREET, PARCEL 0402580000; BRIAN SEAL ($6,500)
BE IT RESOLVED by the Redevelopment Authority of the City of Oshkosh that
the offer to purchase in the amount of $6,500 submitted by Brian Seal for the property
generally located at 653 Mount Vernon Street, Parcel Number 0402580000, is hereby
accepted and the proper officials are hereby authorized and directed to execute any and
all documents necessary for purposes of same.
BE IT FURTHER RESOLVED that the terms of said offer to purchase
agreement shall include, but not be limited to:
1) Buyer is responsible to obtain necessary survey for building plans.
2) Buyer is responsible to locate municipal and private utilities. City will allow a
Locator on site to mark the existing utilities.
3) The City will provide all records related to the property.
4) Review and approval of the final development plans by the City of Oshkosh.
5) All work completed will meet city and state codes including but not limited to
zoning, stormwater, building and utilities.

BACKGROUND
The City of Oshkosh previously acquired the former 653 Mt. Vernon parcel in 2019 using
Community Development Block Grant (CDBG) funds. The blighted home was demolished and
the parcel was restored to a vegetative state. It costs approximately $500 annual to maintain the
parcel. Brian Seal is requesting an offer to purchase the property in the amount of $6,500, and
plans to construct a single-family home that he will reside in.
ANALYSIS
Mr. Seal’s submitted an offer to purchase to the RDA for consideration. The residential home
proposal would need to be approved by the city, and be consistent with the City’s Municipal
Ordinance. Mr. Seal is proposing to construct a single-family home on a 0.08 acre parcel. The
proposed plans will require some minor changes in order to be compliant with the municipal
code.
RECOMMENDATION
The Redevelopment Authority approves the offer to purchase for the former 653 Mt. Vernon
Street (parcel 0402580000) to Brian Seal for $6,500.00.

SOUTH SHORE REDEVELOPMENT AREA
Boatworks Property
Chet Wesenberg and Tim Hess have not moved forward with the land purchase to construct
their planned multifamily development. Their plans do not have site plan approval but their
building plans are being reviewed. The developers have requested TIF assistance from the
existing TID#29 and the Common Council will be discussing the terms of the TIF request at the
upcoming Council meeting.
Former Morgan Door/Jeld Wen
Froedtert ThedaCare Health are constructing their 85,000 sq ft hospital. The health care company
has already submitted a plan to increase the number of stories of the medical offices from two
to three stories. This will add an additional 28,500 sq ft to the facility. The total investment in the
site will be over $80 million dollars.
SAWDUST DISTRICT REDEVELOPMENT AREA
Pioneer Marina/Island Area
The owners of the Pioneer Island are operating the tiki bar again this coming summer under a
temporary use permit. The City continues to work with the owner on potential development
projects and parties interested in purchasing the property.
Mill on Main Redevelopment Project
The Common Council approved an amendment to the Development Agreement to amend the
starting date of the first phase to December 31, 2024 with substantial completion by March 31,
2026. Staff has kept in regular contact with the developers who have indicated that they plan to
start construction on the project by November 1, 2024.

MARION & PEARL REDEVELOPMENT AREA
Mercury Marine Parking Lot on RDA/City Land
Mercury Marine has approached the RDA about purchasing the property along Marion Road to
install a parking lot. RDA will consider this item at a future meeting.
Morgan Crossing – Phase 2
Alexander and Bishop has proposed a multi-family building on the vacant parcel to the east of
the existing Morgan Crossing building. The Common Council approved the creation of TID#42
but the developer has not approached the city to create a Development Agreement.
Merge Urban Development
Construction for Phase I of Mackson Corners on Parcel J along the Fox River is completed. Staff
has been in communication with the developers to discuss their next project on their parcels.
They have indicated that they may start construction of a multifamily development on their
parcel along Marion Road near the water tower first before they complete Parcel J.
ATC Easements
The City has been approached by the American Transmission Company (ATC) regarding
easements that they are requesting on City and RDA properties. The proposed easement
placements, widths, and language in the easement document are very restrictive and will
severely limit what the City and RDA could do with their properties in the future. Any
easements proposed on RDA property would need to be approved by RDA.
SAWYER STREET/OSHKOSH AVENUE
Sawyer Street/Oshkosh Avenue Intersection Reconstruction
City staff have started the design work for the Sawyer Street/Oshkosh Avenue reconstruction
project. The RDA continues to maintain the lots that are planned to be part of the Sawyer Street
and Oshkosh Avenue intersection reconstruction once there are enough funds in TID #35. City
staff continues to monitor grant opportunities as well to help offset these construction costs as
well.
HOUSING
Washington School Redevelopment
The City will be acquiring the former Washington School in September, 2024 and will be starting
the process to demolish the building in order to prep the site for redevelopment. At the next
RDA meeting, an agenda item will be brought forward to Spot Blight the property in order to
utilize CDBG funds to help with the demo costs.
