HomeMy WebLinkAboutGovAI from Civia MOUCivia - GovAl Enterprise Early Partnership MOU GovAl Enterprise Early Partnership MOU This Partnership Memorandum of Understanding (the 'MOU') outlines the terms and understanding between Civia Inc. (Civia, or the Platform) and the City of Oshkosh. WI (the 'City') regarding their intended partnership wherein the City agrees to pilot Civia's GovAl Enterprise edition for the mutual learning and benefit of both parties. A. Civia Contributions 1) Civia will provide no -cost access to the GovAl Enterprise features — including those articulated in Appendix A as they become available and assuming they meet the City's expectations — for a period of 60-days, extendable by mutual consent. 2) Civia suggests a phased pilot implementation approach (see Appendix B) to provide maximum control, safety, and fluency for the City; 3) Civia will offer technical support and onboarding assistance to the City's GovAl users; 4) Civia certifies that data provided to GovAl via the City's users remains the exclusive property of the City, and will not be used for any other purpose by Civia or its sub -processors beyond what is necessary to operate the service. For clarity, this prohibits Civia and any of its sub -processors from using City data as training data for Al models like Large Language models (LLMs) or similar. Civia further certifies that user data is kept confidential and secure. For more details on Civia's security and privacy approach, please visit our Trust Centre at https://trust.civia.com. 5) Notwithstanding the prior clause, Civia retains the right to collect, anonymize, and aggregate statistics about GovAl users and usage in order to (a) further develop the product, and (b) provide occasional research reports to Public Sector audiences about Al. 6) Civia explicitly agrees that the City is under no obligation to purchase any product or service from Civia at the conclusion of this pilot or any other time. CIVIA 7) In the event that the City would like to proceed to full roll -out of GovAl Enterprise upon successful completion of the pilot, Civia certifies that it will cap, in perpetuity, any fees paid by the City to a maximum of $2,000 /year. This capped fee would include unlimited users (restricted to active employees of the City), usage, and includes access to all current and future GovAl Enterprise features. B. The City's Contributions 1) The City will (a) help promote the usage of GovAl among employees, (b) provide feedback to Civia about their experiences with the platform, and (c) offer product improvement and extension suggestions for Civia's consideration; 2) The City agrees that any new Intellectual Property (IP) added to GovAl based on the City's suggestions or feedback will remain Civia's exclusive property. C. General Terms & Conditions 1) Duration & Termination. This MOU is effective upon signing, and can be terminated by the City in writing (electronically via email or via mail) at any time for any reason. 2) Confidentiality. Both parties agree to uphold the strictest confidence regarding any shared information marked Confidential and will not disclose any proprietary data or details to 3rd parties without prior written consent. PII risk reporting Central user management Contractual protections for data, up -time, etc. Actively trains users on safe -use of Al GovAl Individual lig a a a a IN GovAl Enterprise IN IN 151 IN IN lig 1151 O 151 O * Coming soon In addition to these features, GovAl Enterprise also provides the following 'operational' extras to aid in the adoption of Al assistants at the participating City: 1) Educational video content to show/train users how to use GovAl for various use -cases, examples, etc. 2) Policy templates and input to aid in the formulation of the City's Al policies 3) Customized live Lunch & Learn webinars for the City's users, in which participants can ask questions 4) Dedicated support for the City's users and administrators We believe that these operational supports will help the City arm their leaders and staff with the best possible grounding in how to use Al assistants safely and effectively. Civia - GovAl Enterprise Early Partnership MOU Appendix B: Implementation Phases CIVIA Phase #1 - Visibility —30 days #2 - Control 30 days #3 - Rollout Description GovAl made available for a small set of initial trusted users; Data Shield running in passive / listen -only mode. • GovAl provided to 5 - 10 trusted internal users to start using. Users can interact with GovAl via the web interface, email-GovAl-interface, or mobile web interface. • City admin user(s) granted access to the visibility Dashboard for their organization to see usage volume, use -case summary, and Data Shield email alerts • Data Shield in passive / listen -only mode, meaning that user prompts are classified but not blocked or mitigated yet • Advanced GovAl mode enabled for online search and sources This phase broadens to include more users and more Enterprise features: • GovAl provides to up to 25 trusted internal users; we suggest adding a few 'teams' or departments at once to get a sense for how they collectively experience it; • Data Shield shield turned on to Active mitigation mode - this means that prompts are pre-screened for PII prior to LLM ingestion • Acceptable Use Policy (AUP) wrapper displayed to users on whatever frequency is decided • Data retention settings configured and enacted as per the City's preferences This phase further broadens the number of users to include the entire organization. • User management features brought online to help manage and orchestrate the rollout • Training/onboarding sessions and/or videos customized for the City's policies • Other improvements and features made available to the City as developed Key Learnings / Outcomes The purpose of this stage is to allow a small set of users to gain experience with the platform while giving the admin user(s) the ability to monitor the system, including the incidence rate and type of data risks. During this phase, we hope to gain: • Feedback and improvement suggestions from real users and admin user(s) on their experiences including with the visibility Dashboard • Discussions about what form of mitigation the Data Shield should employ for Phase 2 (Block, Redact, Warn, etc). The purpose of this stage is to continue to increase the set of users, and turn on the active mitigation of prompts. During this phase, we hope to gain: • Continued feedback from real users on their experiences, and the admin user(s) on the Dashboard • Incidence rates of Data Shield mitigations, and their type/sensitivity • Feedback on the Data Shield mitigation approach and settings Arm the entire organization with GovAl, secure in the visibility and knowledge that they are using Al safely and appropriately. Continue providing feedback on what features can be improved or built -upon.
