Karrels & Associates, SC is pleased to present this proposed agreement for design services for the above-referenced project. If you find acceptable please sign and return. A.) PROJECT DESCRIPTION The proposed project will consist of providing construction documents, project administration and onsite observation for this project. This work consists of removing existing finish wood flooring, reviewing subfloor conditions, installing a new finish wood floor and floor finishing. B.) SCOPE OF SERVICES Services shall include the following: Design Development Phase • Meet with Owner to understand program • Study special requirements • Field measure and photograph existing conditions • Preliminary/Schematic Drawings Construction Documents Phase • Architectural Drawings o Architectural Floor Plan(s) o Architectural Details • Special material review & selection • Edit Specifications Competitive Bidding Phase • Choose contractors with owner (select contractors to request bids from) • Help with advertisement for bidding • Organize plan holders list and contacts • Have documents printed • Answer contractor questions during bidding • Issue Addendum • Pre-Bid Meeting with perspective bidders • Review (receive) Bids with owner Construction Phase • Required onsite observation visits during construction • Certify contractor request for payments • Provide punch list at end of project • Pre-Construction Meeting DocuSign Envelope ID: A898759A-FAAB-483D-B468-8E83CE707090 2 Review of Shop Drawings Phase • Wood Flooring • Paint/Finishes C.) ITEMS EXCLUDED FROM SCOPE OF SERVICES: • Cost of document reproduction • State and local plan review fees • State and local construction permits • Construction Cost Estimating D.) COMPENSATION: Compensation for Architectural / Structural Services to be as follows: A lump sum fee of $6,640.00. Additional structural review and design services services may be required at time of existing finish flooring removal at the front edge of the stage (sagging). These additional services can be done on a Time and Material Basis or a fee proposal can be developed from further review of the issue. Time & Material rates are as follows: Structural Engineering: $100 / hr Senior Architect: $ 90 / hr Architectural Designer: $ 82 / hr Architect in Training l $ 70 / hr Architect in Training ll $ 76 / hr ________________________________________________________________________________ E.) Access. The Architect / Engineer will have access to the site and will take precautions to minimize damage due. The cost of restoration of any resulting damage is not included in the fee. 2. Additional Services. Charges for services in addition to those herein will be invoiced as Additional Services and will NOT be performed without prior WRITTEN authorization. 3. Reimbursable Expenses. Are in addition to Basic Fee or Hourly Fee and include the following: travel and lodging expense, document printing fees for bid sets. 4. Payments. Invoices will be submitted monthly for services and reimbursable expenses and are due when rendered. Invoice shall be considered PAST DUE if not paid within thirty (30) days. The A/E may, without waiving any right against Client, terminate the performance of the service after said default. A service charge of 1.5% per month on the unpaid balance will be charged. The Client shall pay cost of collection, including reasonable attorneys' fees. 5. Dispute Resolutions. Any claims or disputes between the Client and the A/E arising out of the services to be provided by the A/E or out of this Agreement shall be submitted to non-binding mediation. The Client and the A/R agree to include a similar mediation agreement with all contractors, sub consultants, subcontractors, suppliers, and fabricators, providing for mediation as the primary method for dispute resolution amount all parties. 6. Disclaimer of Warranties. A/E warrants that its work is done in a professional and workmanlike manner. This warranty is in lieu of any other warranties that are expressed or implied. Any further warranties shall be in writing. 7. Hidden Conditions. A structural condition is hidden if concealed by existing finishes or is not capable of investigation by reasonable visual observation. If the A/E has reason to believe of such a condition, the Client shall authorize and pay for all costs of an investigation of such a condition and all costs to correct said condition. If (1) the Client fails to authorize such investigation or correction after due notification, or (2) the A/E has no reason to believe that such a condition exists, the Client is responsible for all risks associated with this condition, and the A/E shall not be responsible for the existing condition nor any resulting damages. 8. Permits and Licenses. The Client will be responsible for the cost, and the securing of all permits and licenses, either directly or via the contractors. 11. Ownership Documents. All documents of the Engineer shall remain the property of A/E and may not be used by this Client without prior written consent. 12. Termination. This agreement may be terminated upon ten (10) days written notice by a party should the other fail to perform their obligations. In such event, the Client shall pay the A/E for all services, rendered to the date of termination, and all reimbursable expenses. 13. Nonwaiver. No delay of any party to exercise a right of the agreement shall constitute a waiver. 14. Severability. If a provision of this agreement is ever found to be invalid by a court, the remainder of this agreement shall nevertheless remain in effect. 15. Law. This agreement shall be governed by the laws of the State of Wisconsin. 16. Binding Effect. The provisions of this agreement shall be binding upon and inure to the benefit to both parties and their legal representatives, successors, and assigns.
