Adjournment __________________________________ Redevelopment Authority Minutes 1 February 9, 2023 REDEVELOPMENT AUTHORITY SPECIAL MEETING MINUTES February 9, 2023 PRESENT: Thomas Belter, Steve Hintz, Susan Panek, Todd Hutchison, Adam Bellcorelli EXCUSED: Lori Palmeri, Archie Stam STAFF: Kelly Nieforth, Community Development Director; Mark Lyons, Planning Services Manager Belter called the meeting to order at 4:00pm. Roll call was taken and a quorum declared present. Approve November 16, 2022 Minutes Motion by Panek to approve the November 16, 2022 minutes. Seconded by Hutchison. Motion carried 4-0. 23-01 Approve Option to Purchase 302 Merritt Avenue; Neighborworks-Green Bay ($1.00) Motion by Panek to approve 23-01. Seconded by Hutchison. Lyons stated they’ve been looking at options for increasing infill development and workforce housing in the city as a result of the housing study. Staff have been working with Neighborworks- Green Bay on some concept designs for this lot. They’ve reached the point where they’d like to have an option on the property while finalizing designs for a new structure. Hutchison asked if they have a buyer for the lot. Lyons replied no, they will build and then market the structure. Belter asked what type of residence will be on the lot. Lyons replied a duplex. Another thing they’ve done as a result of the housing study is make it easier to build duplexes on some of these harder to develop lots. Belter asked if the address is 302 or 300. Nieforth replied technically it doesn’t have an address because it’s vacant. They would have to work through the driveway placement to determine what the newly assigned address would be. __________________________________ Redevelopment Authority Minutes 2 February 9, 2023 Panek asked if they are ultimately planning to purchase the property for $10,000. Lyons replied affirmatively, they are only seeking the option today. The City has to sell the property for the fair market value due to the funds used to acquire the property. Panek asked if they would then develop it and sell it. Lyons replied affirmatively. Panek stated she always thinks of children. She asked if there would be a yard to play in if they put a duplex in. Lyons replied it’s a two-story structure, so the footprint would be smaller to maintain some greenspace. Bellcorelli asked if the property will have a program or subsidy once acquired by Neighborworks. Lyons replied the city might be able to provide some assistance. They won’t be able to identify what that is or if there is a need until they bid it out and have it under their control. Panek asked if there are other multi-family homes in this area. Lyons replied there is a triplex across the street and several other non-single-residential-family in the immediate area. Panek asked if parking would be available on the lot or on the street. Lyons replied on the lot. Panek asked if this is the first venture for Neighborworks-Green Bay in Oshkosh and if they’re excited. David Erickson, Neighborworks-Green Bay replied they are excited and there are a few other sites they are considering. Motion carried 4-0. Potential Future Agenda Items Nieforth provided an update on the Central City Redevelopment Plan. Box 1130 Oshkosh, WI 54903-1130 920.236.5000 http://www.ci.oshkosh.wi.us TO: Redevelopment Authority FROM: Kelly Nieforth Community Development Director DATE: March 24, 2023 RE: 23-02 Grant Electric Underground and Gas Easements to Wisconsin Public Service for Undergrounding of Utilities in the Sawdust District BACKGROUND The Redevelopment Authority and City of Oshkosh have made a substantial investment in the Sawdust District in order to prepare the area for private redevelopment. As part of the redevelopment efforts, city staff has budgeted funds to have Wisconsin Public Service (WPS) bury the existing overhead utilities in the new redevelopment area to improve the overall aesthetics of the Sawdust District. ANALYSIS WPS is requesting easements on RDA property in an effort to bury the existing overhead utilities and serve future development. City staff has worked with T Wall representatives to ensure that the easements will meet their needs for service and are acceptable to them as T Wall will eventually be the owners of the property. City staff has also worked with WPS to ensure that the underground utilities installed in the new easements will be set up to underground additional utilities in the future. RECOMMENDATION The Redevelopment Authority recommends the granting of Electric Underground and Gas Easements to Wisconsin Public Service for Undergrounding of Utilities in the Sawdust District on RDA property. Access: Grantee shall have the right to enter on and across any of the Grantor’s property outside of the easement area as may be reasonably necessary to gain access to the easement area and as may be reasonably necessary for the construction, installation, operation, maintenance, inspection, removal or replacement of the Grantee’s facilities. 3. Buildings or Other Structures: Grantor agrees that no structures will be erected in the easement area or in such close proximity to Grantee's facilities as to create a violation of all applicable State of Wisconsin electric and gas codes or any amendments thereto. 4. Elevation: Grantor agrees that the elevation of the ground surface existing as of the date of the initial installation of Grantee's facilities within the easement area will not be altered by more than 4 inches without the written consent of Grantee. 5. Restoration: Grantee agrees to restore or cause to have restored Grantor's land, as nearly as is reasonably possible, to the condition existing prior to such entry by Grantee or its agents. This restoration, however, does not apply to any trees, bushes, branches or roots which may interfere with Grantee's use of the easement area. 6. Exercise of Rights: It is agreed that the complete exercise of the rights herein conveyed may be gradual and not fully exercised until sometime in the future, and that none of the rights herein granted shall be lost by non- use. 7. Binding on Future Parties: This grant of easement shall be binding upon and inure to the benefit of the heirs, successors and assigns of all parties hereto. 8. In addition to the purchase of property, the Agreement also permitted Mercury Marine to use former railroad right of way to the east of their existing plant, (Plant 33), for a parking lot or boat storage. The former railroad right of way property is currently owned by the RDA and the Agreement indicates that the RDA would continue to own the property if Mercury Marine chooses to use it as a parking lot. The Agreement states that if Mercury Marine chooses to construct a parking lot on the RDA property, that the RDA and the City must approve the site plan. ANALYSIS Mercury Marine has submitted a site plan to the City for approval. Mercury Marine is proposing to construct a parking lot with 49 spots in order to provide additional parking for their employees. The parcel is zoned Riverfront Mixed Use with a Planned Development and Riverfront Overlay (RMU- PD-RFO) on the parcel. A parking lot requires a Conditional Use Permit for the use which will be handled as part of the Planned Development approval process through Plan Commission and Common Council in order to obtain zoning approval. RECOMMENDATION The Redevelopment Authority recommends approval of the Mercury Marine site plan for construction of a parking lot east of 505 Marion Road with final plans being approved by Plan Commission and Common Council prior to project implementation. The property consists of parcels: 90102260200, 90102270000 and 90102230000 in the City of Oshkosh. The property is owned by the Oshkosh Redevelopment Authority; however, Mercury Marine has retained the right to use this area for parking. The current zoning of the parcels is Riverfront Mixed Use with Planned Development and River Front Overlays (RMU-PD-RFO). The project site is bound by Mercury Marine Plant 33 to the west, multi-family residential apartment developments to the north and east and the Fox River to the south. GDP/SIP Narrative Requirements: • Specific themes and images o The parking lot project will include landscaping that meets City requirements to the maximum extent practicable; it will be designed with required resiliency in mind and complimentary style. Site lighting will be provided in a fashion that provides appropriate foot candles for safety with cut-off fixtures directed inward toward the development for minimal light trespass. • Specific mix of land uses o There will not be a mix of land uses for the project and the site will solely be used as additional parking. • Specific nonresidential intensities o No new buildings are proposed with the project. The proposed overall site will consist of approximately 62% impervious surface and approximately 38% landscape/open space. • Specific treatment of natural features o The existing rock rip rap protection will remain in place along the bank of the Fox River. o Plans will be provided to ATC for review and approval of the proposed development located under the existing overhead lines and adjacent to the support structures on site. The existing concrete driveway approach will remain in place; the existing gravel driveway will be replaced with an asphalt paved drive to match the proposed asphalt parking lot surface. No new traffic impacts are anticipated. • Statistical data on minimum lot sizes in the development, the precise areas of all development lots and pads; density/intensity of various parts of the development; building coverage, and landscaping surface area ratio of all land uses; proposed staging; and any other plans required by Plan Commission. o The overall redevelopment site totals 42,420 square feet (0.97 acres). The proposed redevelopment will include an addition of 19,655 square feet of impervious coverage yielding a total of 26,201 square feet of impervious area for this site. The existing impervious area was constructed prior to the adoption of Chapter 14 of the City of Oshkosh Municipal Code. • General relationship of the project to the Comprehensive Plan or other areas o The City Comprehensive Plan Update Year 2040 Future Land Use designates this area as “Center City” providing for high intensity office, retail, housing, hospitality, conference, and public land uses. Typical zoning districts include Urban Mixed Use, Central Mixed Use, Riverfront Mixed Use, and Industrial. The proposed parking lot use is in line with the Comprehensive Plan. • Phasing Schedule o No project phasing is proposed. The current project schedule calls for construction to commence in the beginning of May 2023 with completion by August 2023. • Agreements, bylaws, covenants, and other documents relative to the operational regulations of the development and particularly providing for the permanent preservation and maintenance of common open areas and amenities. o Pursuant to a purchase agreement dated March 30, 2006 between Mercury Marine and the City of Oshkosh Redevelopment Authority for the sale of property to the east the was previously owned by Mercury, Mercury has the right to construct and occupy a parking lot on the parcels that are the subject of this application. • A statement of rationale as to why PD zoning is proposed. The City then demolished the blighted property and it has been vacant since. Gallery Homes Real Estate and Rentals LLC is requesting an option to purchase the property for a $1.00 option fee. The anticipated purchase price will be $13,300, which is fair market value of the land. Gallery Homes Real Estate and Rentals LLC plans on developing the lot into a single-family home with an accessory dwelling unit above the rear garage that is accessed by the alley in the rear of the property. ANALYSIS Gallery Homes Real Estate and Rentals LLC is requesting a six (6) month option period. Any development proposal would need to be approved by the City and be consistent with the design standards of the City of Oshkosh and the City’s Zoning Ordinance. Respectfully Submitted, Jeffrey Witte Principal Planner OPTION AGREEMENT FOR PURCHASE OF REAL PROPERTY AND SITE ACCESS AGREEMENT THIS OPTION AGREEMENT ("Agreement") was made and entered into this __22_ DAY OF MARCH_, 2023 by and between the Redevelopment Authority of the City of Oshkosh, whose principal address is 215 Church Avenue, Oshkosh WI 54901, hereinafter referred to as "Seller" and Gallery Homes Real Estate and Rentals LLC, whose principal address is 5535 County S, Oshkosh, WI 54904, hereinafter referred to as "Purchaser": WITNESSETH: WHEREAS, Seller is the fee simple owner of certain real property being, lying and situated in the County of Winnebago, State of Wisconsin, such real property having Parcel ID of 90501650000 ("Premises") and the such property being more particularly described as follows: 1014 Wisconsin, OSHKOSH, WI 54901. GRANT OF OPTION. For and in consideration of the Option Fee payable to Seller as set forth herein, Seller does hereby grant to Purchaser the exclusive right and Option ("Option") to purchase the premises upon the terms and conditions as set forth herein. 3. PAYMENT OF OPTION FEE. Purchaser agrees to pay the Seller a down payment of one-hundred percent (100%) of the total purchase price of the Premises upon the Execution Date. 4. ACCESS AND ALLOWED ACTIVITIES. PURCHASER is granted non-exclusive access and permission to enter upon the Property for the purpose of conducting inspections, studies, tests, analyses, surveys and/or other investigations of the Property that Purchaser deems necessary to determine if the Property is suitable for its intended use and development (collectively, Investigation). Anticipated initial Investigation activities may include wetland delineation, Phase II environmental site assessment, geotechnical investigations and other investigations and/or sampling (the "Investigation") that are necessary to determine if the existing soil, subsoil and topographical conditions of the Property are suitable for Purchaser’s intended development and use of the Property. If the Purchaser determines it necessary and/or desirable to undertake more extensive or intrusive activities on the Property than its anticipated initial Investigation, then Purchaser shall notify Seller and the Parties shall work in good faith to address additional terms and conditions necessary to undertake such work. 5. COMMENCEMENT OF WORK. Purchaser may begin performing its Investigation and due diligence activities when this Agreement is fully executed and delivered. However, unless shorter notice is otherwise accepted in writing by Seller, Purchaser shall provide Seller with notice of at least two (2) business days prior to the date and approximate time any investigation is conducted on the Property. 6. EXISTING UNDERGROUND OBSTRUCTIONS. Purchaser shall be responsible for calling “Digger’s Hotline” and having the Property marked for such obstructions as any underground utilities, plumbing, storage tanks and other underground obstructions. 7. RESTORATION. Purchaser shall perform and complete the performance of the Investigation activities on the Property in compliance with all applicable laws, requirements and regulations. Purchaser will promptly restore the surface of the Property to substantially the same condition as its pre-Investigation condition and as mutually agreed upon by the Parties. 8. HOLD HARMLESS AND INDEMNIFICATION. Purchaser shall indemnify, defend and hold harmless Seller from and against any and all third-party demands, claims, suits, actions and causes of action related to this Agreement. Purchaser shall compensate and reimburse Seller for all resulting losses, damages, costs and expenses (including reasonable attorneys’ fees), judgments, awards, penalties and settlements to the extent asserted against, resulting from, imposed upon or incurred by Seller as a result of the intentional or negligent acts or omissions of the Purchaser related to this Agreement. 9. INSURANCE. Purchaser shall obtain and maintain in full force the insurance coverages identified in Exhibit B, attached hereto and incorporated into this Agreement. Before beginning any Investigation activities on the Property, Purchaser shall deliver to the Property Owner all certificates of insurance for all Investigation activities that identify the required insurance coverages. 10. EXERCISE OF OPTION. Purchaser may exercise its exclusive right to purchase the Premises pursuant to the Option, at any time during the Option Term, by giving written notice thereof to Seller. As provided for above, the date of sending of said notice shall be the Option Exercise Date. In the event the Purchaser does not exercise its exclusive right to purchase the Premises granted by the Option during the Option Term, Seller shall be entitled to retain the Option Fee, and this agreement shall become absolutely null and void and neither party hereto shall have any other liability, obligation or duty herein under or pursuant to this Agreement. Furthermore, Purchaser's failure to establish an Option Exercise Date on or before the expiration of the Option Term shall terminate and extinguish any and all rights and interest in the Premises without further notice or without further documentation. In the event the Purchaser fails to exercise his right to purchase pursuant to this agreement and the time for doing so expires, the Seller may require, at Seller's sole discretion, that Purchaser sign any documents necessary to confirm the termination of rights in the premises or to otherwise clear this agreement from the title to the premises. (a) CONTRACT FOR PURCHASE & SALE OF REAL PROPERTY. In the event that the Purchaser exercises its exclusive Option as provided for in the preceding paragraph, Seller agrees to sell and Purchaser agrees to buy the Premises and both parties agree to execute a contract that is materially the same as attached hereto as Exhibit A for such purchase and sale of the Premises in accordance with the following general terms and conditions: (b) Purchase Price. The purchase price for the Premises shall be the sum of ten thousand dollars ($13,300); however, Purchaser shall receive a credit toward such purchase price in the amount of the Option Fee thus, Purchaser shall pay to Seller at closing the sum of ten thousand dollars ($13,300); (c) Closing Date. The closing date shall be within 30 days after the Option Exercise Date. (d) Closing Costs. The seller will only pay those closing costs normally attributed to the seller in a real estate transaction, or as otherwise agreed to in writing by the parties; (e) The Premises shall be conveyed as-is without regard to any condition of the Premises, whether environmental or otherwise. Purchaser shall assume all risk for the condition of the Premises. Seller shall make the Premises reasonably available to the purchaser to inspect its condition upon request until the Option Exercise Date, or the termination of the Option Term, whichever occurs first. (f) Default by Seller; Remedies of Purchaser. In the event Seller fails to close the sale of the Premises pursuant to the terms and provisions of this Agreement and/or under the Contract, Purchaser shall be entitled to either sue for specific performance of the real estate purchase and sale contract, or terminate such Contract. In no circumstance shall the purchaser or any other person or entity be entitled to any monetary damages resulting from this Agreement, and will have no recourse against the Seller except as otherwise explicitly stated in this Agreement. (g) The Premises shall be conveyed as-is without regard to any condition of the Premises, whether environmental or otherwise. Purchaser shall assume all risk for the condition of the Premises. Seller shall make the Premises reasonably available to the purchaser to inspect its condition upon request until the Option Exercise Date, or the termination of the Option Term, whichever occurs first. 11. MISCELLANEOUS. (a) Execution by Both Parties. This Agreement shall not become effective and binding until fully executed by both Purchaser and Seller. (b) Notice. All notices, demands and/or consents provided for in this Agreement shall be in writing and shall be delivered to the parties hereto by hand or by United States Mail with postage pre-paid. Such notices shall be deemed to have been served on the date mailed, postage pre-paid. The location of the resolution of disputes shall be Winnebago County, or any Court district including Winnebago County. (d) Successors and Assigns. This Agreement shall apply to, inure to the benefit of and be binding upon and enforceable against the parties hereto and their respective heirs, successors, and or assigns, to the extent as if specified at length throughout this Agreement. The purchaser shall not assign, convey, or transfer through any legal mechanism this Agreement, or any right or benefit acquired within this Agreement. (e) Time. Time is of the essence of this Agreement. (f) Headings. The headings inserted at the beginning of each paragraph and/or subparagraph are for convenience of reference only and shall not limit or otherwise affect or be used in the construction of any terms or provisions hereof. (g) Cost of this Agreement. Any cost and/or fees incurred by the Purchaser or Seller in executing this Agreement shall be borne by the respective party incurring such cost and/or fee. (h) Entire Agreement. This Agreement contains all of the terms, promises, covenants, conditions and representations made or entered into by or between Seller and Purchaser and supersedes all prior discussions and agreements whether written or oral between Seller and Purchaser with respect to the Option and all other matters contained herein and constitutes the sole and entire agreement between Seller and Purchaser with respect thereto. This Agreement may not be modified or amended unless such amendment is set forth in writing and executed by both Seller and Purchaser with the formalities hereof. (i) No Third Party Beneficiary. The benefits and burdens of this Agreement shall accrue only to the parties identified herein, and will not benefit or burden any other person or entity.
