Adjournment __________________________________ Redevelopment Authority Minutes 1 November 16, 2022 REDEVELOPMENT AUTHORITY MINUTES November 16, 2022 PRESENT: Lori Palmeri, Thomas Belter, Steve Hintz, Archie Stam, Susan Panek, Todd Hutchison EXCUSED: Jack Bermingham STAFF: Kelly Nieforth, Executive Director/Community Development Director; Jason Pausma, Economic Development Services Manager; Lynn Lorenson, City Attorney Palmeri called the meeting to order at 4:00pm. Roll call was taken and a quorum declared present. Motion by Belter to approve the September 21, 2022 minutes as written. Seconded by Stam. Stam asked why 22-08 went before Council when the motion failed at the RDA meeting. He would like to figure out how this body interacts with Council. Lorenson replied Council can decide to acquire a property even if the RDA doesn’t recommend the acquisition. Council considers the RDA’s recommendation, but they aren’t bound by it. Belter asked who is on the title. Nieforth replied the City. Palmeri asked if it would make sense to designate on the agenda which items require Council approval. Nieforth replied it is something they could note moving forward. Panek replied she questioned why the RDA is even here after reading about the Council decision in the paper. Nieforth replied it’s something they could have done better in terms of letting the RDA know that it would be going to Council and that staff were still recommending the acquisition. Minutes approved as written. 22-13 Approve Offer to Purchase 1524 Rush Avenue; Habitat for Humanity of Oshkosh Inc. ($18,000.00) Page 1 __________________________________ Redevelopment Authority Minutes 2 November 16, 2022 Motion by Stam to approve 22-13. Seconded by Belter. Hintz joined the meeting at 4:05pm. Stam asked if the property is across from the high school. Nieforth replied affirmatively, explaining the property was required after a house fire. Palmeri asked if below fair market value is allowable for LMI. Nieforth replied affirmatively. Panek asked if this is pretty standard in terms of the way they work with Habitat. Nieforth replied affirmatively, adding they’ve done similar projects with Habitat on Otter Avenue and Grove Street. With the housing study, they’re looking at allowing more types of housing like duplexes in single-family residential districts. Hutchison asked if Habitat already has a family for this. Rob Rabe, Habitat for Humanity, replied no. The way their program works is the house is designed for the family. This would probably be offered in their 2024 cycle and they’ll need four lots for that cycle because they offer the family two choices. Hutchison asked if the adjacent property owners were made aware that this lot was available to potentially expand their yards. Nieforth replied they did reach out, but there wasn’t any interest. Motion carried 6-0. 22-14 Public Hearing: Approve Spot Blight Designation; Accept Donation of Property Located at 916 Mason Street Motion by Belter to approve 22-14. Seconded by Hintz. Lorenson stated the owner had some health and other issues and the property deteriorated substantially. They have worked with the property owner’s attorney and it’s been a longer process due to some of those difficulties. The bottom line is the owner would like to donate it and walk away from some of those issues. That is what staff are recommending at this point. Palmeri asked if it is customary for the RDA to make a determination on the unpaid taxes, water, and sewer. Page 2 __________________________________ Redevelopment Authority Minutes 3 November 16, 2022 Nieforth replied the RDA would need to cover those costs in this situation. Belter asked if it is a transaction or those costs are wiped away. Nieforth replied they have to pay. Panek asked if the maximum costs would be $29,300. Nieforth replied the worst case is $30,000. Panek asked how long the RDA would sit on this property. Nieforth replied the owner to the south has expressed some interest and they would work with them. Otherwise they would sell the lot. Panek asked how much they could sell the lot for. Nieforth estimated around $5,000 to $10,000, but she would need to confirm. Motion carried 6-0. City Strategic Plan Nieforth provided an overview of what involvement RDA might have in implementation of the City’s Strategic Plan in terms of redevelopment, continuation of the riverwalk, issuance of one request for proposals per year for existing properties, housing study implementation, and the strengthening of neighborhoods. Potential Future Agenda Items Panek asked if RDA would have an opportunity to tour the warming shelter before it opens for business. Nieforth replied they could look into it. Executive Director’s Report Nieforth shared the current list of RDA owned properties. Hutchison asked if these were available online. Nieforth replied they’re working on adding improvements to their website for this. Palmeri stated she isn’t sure what vacant means for the Franklin green space lot. Palmeri replied she doesn’t think so because of the grants used to acquire those lots. Nieforth shared an overview of funding available for acquisitions. Palmeri asked if this includes the funding for 2023 or CDBG. Nieforth replied it does not. CDBG funding can only be used for specific things and they use that first when they can. Nieforth provided additional updates to the RDA. Adjournment There was no further discussion. The meeting adjourned at approximately 4:50pm. (Panek, Belter) Respectfully Submitted, Kelly Nieforth Executive Director Page 4 REDEVELOPMENT AUTHORITY OF THE CITY OF OSHKOSH, WISCONSIN FEBRUARY 9, 2023 23-01 RESOLUTION (CARRIED________LOST________LAID OVER________WITHDRAWN________) PURPOSE: APPROVE OPTION TO PURCHASE 302 MERRITT AVENUE; NEIGHBORWORKS-GREEN BAY ($1.00) BE IT RESOLVED by the Redevelopment Authority of the City of Oshkosh that the option to purchase in the amount of $1.00 submitted by Neighborworks-Green Bay or its Assigns, for the property located at 302 Merritt Avenue, is hereby accepted and the proper officials are hereby authorized and directed to execute any and all documents necessary for purposes of same. BE IT FURTHER RESOLVED that the terms of said option to purchase agreement shall include, but not be limited to: 1) Option term shall commence on the Execution date of the Option to Purchase and will end on or before 180 days from Execution date. 2) The closing date shall be within 30 days after the Option Exercise Date. 3) The option fee shall be One Dollar and 00/100 ($1.00). 4) Purchase Price shall be Ten Thousand Dollars ($10,000). The City then demolished the blighted property. NeighborWorks-Green Bay is now requesting an option to purchase the property for a $1.00 option fee. The anticipated purchase price will be $10,000, which is fair market value. Neighborworks-Green Bay plans on developing the lot into a workforce housing unit(s). ANALYSIS NeighborWorks-Green Bay is requesting a six (6) month option period. Any development proposal would need to be approved by the City and be consistent with the design standards of the City of Oshkosh and the City’s Zoning Ordinance. This property is located at 302 Merritt Avenue in the Historic Fourth Ward. RECOMMENDATION The Redevelopment Authority approves the option to purchase 302 Merritt Avenue from NeighborWorks-Green Bay for $1.00. The property will be sold by the Redevelopment Authority, and accepted by the buyer, in an as-is condition. The City of Oshkosh and the Redevelopment Authority of Oshkosh make no representations regarding the property. Specifically, there are no warranties, whether explicit or implied, related to the property except those made by providing the buyer with a Warranty Deed. 2. The Redevelopment Authority is exempt from any requirement for providing a property condition report as described in Wisconsin Statutes 709.01, and therefore no condition report will be provided. In the event it is later determined that the Redevelopment Authority does not meet a property condition report exemption, the buyer explicitly waives the right to receive a property condition report and also waives the right to rescind the transaction due to the lack of a property condition report. 3. The Redevelopment Authority has in most cases owned property for a short time, and typically only after the property became distressed with the house needing to be torn down to correct the blighted property’s condition. The Redevelopment Authority’s knowledge of the property is therefore limited. a. Upon request, the buyer is welcome to perform a site visit at the property, as well as inspect all available public records in the Redevelopment Authority or City of Oshkosh’s possession in order to make its own determination about the property’s dimensions, boundary locations, and condition. b. The buyer is responsible for making determinations regarding exact property lines, location and responsibilities of fencing, and any environmental issues that may be present. The Redevelopment Authority will assist in making records it has to be available for inspection, but it remains the buyer’s responsibility. c. The Redevelopment Authority also makes no representations regarding the removal of basements and foundations on vacant properties that formerly contained a structure. This is not an issue that the Redevelopment Authority or the City of Oshkosh has tracked with very much detail. However, in properties where structures were removed in 2013 or earlier, there is a good chance that the basement was broken up but remains buried within the property. Structures removed after 2013 have a better chance of having the basements and foundations removed. Page 16 City Hall, 215 Church Avenue P.O. Box 1130 Oshkosh, WI 54903-1130 http://www.ci.oshkosh.wi.us However, for either sets of properties, the Redevelopment Authority makes no assurances regarding subsurface debris either way. If this issue is important to the buyer, it is recommended that they perform whatever due diligence may be necessary to ensure that the property they are receiving is acceptable. 4. The Redevelopment Authority is hopeful that the buyer will have a successful development. However, the Redevelopment Authority cannot guaranty that the buyer will be able to carry out the desired development. The buyer is expected to investigate the existence and location of curb cuts, driveway aprons, utility connections and laterals, and all other items important to develop the property. All development remains subject to all local, state, and federal rules, regulations, and approvals. 5. The Redevelopment Authority makes no representations regarding the surrounding properties and neighborhood. The buyer is encouraged to investigate surrounding zoning and land uses, both current as well as known potential future changes. This includes, without limitation, viewing the sex offender registry as operated by the Wisconsin Department of Corrections. 6. The Redevelopment Authority has not retained and is not using a broker or other real estate or other professional in this transaction and will not be responsible for the payment of any fee or other cost for such services, regardless of whether the buyer may have retained the services of such broker, real estate professional, attorney, accountant, or others to assist in the transaction. The City will pay only those closing costs normally attributed to the seller in a real estate transaction, or as otherwise agreed to in writing by the parties. 7. This Offer, and any counteroffers, must be approved by the Redevelopment Authority. Therefore, the schedule for approvals and closings is subject to change or delay based on the scheduling of Redevelopment Authority meetings. Offers may be withdrawn without penalty up until the Redevelopment Authority accepts an offer. Counter offers must be accepted and transmitted to the other party within five (5) business days or they will be considered rejected. Closings shall be held as soon as practicable after the Redevelopment Authority has accepted an offer. In the event the City at its sole discretion determines that an agreed upon closing is being unnecessarily delayed, the City retains the sole discretion to set and provide notice of a closing date no later than thirty (30) calendar days from the date it makes that determination. The buyer’s failure to agree to close the transaction within this thirty (30) day time period will void any interest the buyer has in the property and the Redevelopment Authority may pursue other buyers for the property. 8. Box 1130 Oshkosh, WI 54903-1130 920.236.5000 http://www.ci.oshkosh.wi.us TO: Redevelopment Authority FROM: Kelly Nieforth Community Development Director DATE: January 27, 2023 RE: Executive Director’s Report for February 9, 2023 SOUTH SHORE REDEVELOPMENT AREA Pioneer Marina/Island Area – Mr. Art Dumke continues to work with City staff and other possible developers to explore development options and funding scenarios. Miles Kimball Building (Northwest corner of S. Main/9th Avenue) The developers have started work on the building and plan to open in 2023. This is later than proposed due to a delay in receiving the elevator. 9th Avenue extension to CN Railroad The 9th Avenue extension and utility undergrounding was approved as part of the CIP for 2022. The project will be constructed in Spring of 2023. Pioneer Drive Riverwalk The Riverwalk is complete except for the light poles. Design work for the remainder of the Pioneer Drive area riverwalk will start this winter. Boatworks Property The RDA awarded an Option to Chet Wesenberg and Tim Hess to construct multi-family units on the property and will need to go obtain an option for the City’s property to the west. City staff are working with the developers, the DNR and the city’s environmental consultant to work on the contamination on the site. The developers submitted their GDP/SIP submittal for zoning approval which will be reviewed in later February. 43 E. 7th Redevelopment Area City staff are working with the T. Wall Enterprises team on their proposed development. A VPLE application and Remedial Action Plan were approved by the WNDR. These are the final steps to receive approval to start work from a contamination aspect. The developer has received Page 24 City Hall, 215 Church Avenue P.O. Box 1130 Oshkosh, WI 54903-1130 920.236.5000 http://www.ci.oshkosh.wi.us their zoning approvals and will be submitting their building plans to the City in the near future. The developer proposes to start construction on Phase 1 in the Spring of 2023. MARION & PEARL REDEVELOPMENT AREA Merge Update Construction is complete on the Parcel H site, the location of the Brio Building, a mixed-use Food Coop/residential building. Construction for Phase I of Mackson Corner on Parcel J along the Fox River continues with plans to open in mid-2023. City staff applied for a WEDC CDI grant and were awarded $250,000 for the project. City staff facilitated meetings with the Merge developers, Department of Public Works, and the Wisconsin Department of Transportation regarding the alignment of the Oregon/Jackson Street bridge reconstruction project so the Merge developers could consider the location while designing the remainder of their site. Morgan Crossing – Phase 2 Alexander and Bishop has proposed another multi-family building on the vacant parcel to the east of the existing Morgan Crossing building. The Common Council approved the creation of TID#42 to help fund the remediation for the development but has not executed a Development Agreement yet. SAWYER STREET/OSHKOSH AVENUE Sawyer Street/Oshkosh Avenue Intersection Reconstruction – The RDA continues to maintain the lots that are planned to be part of the Sawyer Street and Oshkosh Avenue intersection reconstruction once there are enough funds in TID #35. City staff continues to monitor grant opportunities as well to help offset these construction costs as well. JEFFERSON STREET REDEVELOPMENT City staff continue to promote the properties in an effort to attract private investment and have been keeping in contact with adjacent property owners in case they are looking to sell their property.
