PURPOSE: AUTHORIZE CITY OFFICIALS TO SIGN NON-JUDICIAL
SETTLEMENT AGREEMENT FOR ZIEBELL TRUST FOR THE
BENEFIT OF THE OSHKOSH PUBLIC MUSEUM
INITIATED BY: OSHKOSH PUBLIC MUSEUM
WHEREAS, the Oshkosh Public Museum is a department of the City of Oshkosh;
and
WHEREAS, the Oshkosh Public Museum has been designated as a beneficiary of
the John A. Ziebell and May C. Ziebell Charitable Remainder Unitrust; and
WHEREAS, it is necessary to formally authorize persons to sign documents
pertaining to the Trust on behalf of the Oshkosh Public Museum; and
WHEREAS, the Common Council of the City of Oshkosh for the Oshkosh Public
Museum in Oshkosh, Wisconsin is determined to grant signing authority to certain
person(s) described hereunder.
NOW, THEREFORE, BE IT RESOLVED, by the Common Council of the City of
Oshkosh that the City of Oshkosh hereby authorizes, approves and empowers the
following individuals to make, execute, endorse and deliver in the name of and on behalf
of the Oshkosh Public Museum the Nonjudicial Settlement Agreement: Appointment of
Trustee regarding the John A. Ziebell and May C. Ziebell Charitable Remainder Unitrust
and the Appointment of Successor Trustee and to bind the Oshkosh Public Museum to
the terms set forth thereunder:

This resolution has been approved by the Common Council of the City of Oshkosh, for
the benefit of the Oshkosh Public Museum on June 8, 2021.

The undersigned, Pamela R. Ubrig, hereby certifies that she is the City Clerk for the City
of Oshkosh, and is responsible for keeping the records and seal of the City of Oshkosh
which includes the Oshkosh Public Museum, a tax-exempt municipal organization, and
that said meeting was held in accordance with state law. I, as authorized by the Common
Council of the City of Oshkosh, for the benefit of the Oshkosh Public Museum, hereby
certify and attest that all the information above is true and correct.

RE: Authorize Signing of Ziebell Trust Settlement Agreement
BACKGROUND
John A. and May C. Ziebell were Members of the Oshkosh Public Museum and as long-
time supporters, included the Museum in their estate plan. They designated the Museum
as one of the beneficiaries of the John A. Ziebell and May C. Ziebell Charitable Remainder
Unitrust.
ANALYSIS
The settlement and transfer of the Ziebell trust to the Oshkosh Public Museum is beyond
the authority of the Museum Board to execute. Because the Oshkosh Public Museum is
not a separate legal entity but is a department of the City of Oshkosh, the settlement of
the trust and empowering the City Manager to provide the authorizing signature must
come from the governing body.
FISCAL IMPACT
The final value of the bequest has not been determined. However, the generosity of John
and May Ziebell will serve to further strengthen the Museum’s mission.
RECOMMENDATION
The Common Council should approve, authorize, and empower City Manager Mark A.
Rohloff, on behalf of the Oshkosh Public Museum, to make, execute, endorse and deliver
the Nonjudicial Settlement Agreement: Appointment of Successor Trustee regarding the
John A. and May C. Ziebell Charitable Remainder Unitrust.
