Praska, Deputy City Attorney City of Oshkosh, Wisconsin December 7, 2020 1 ENCROACHMENT AGREEMENT This Agreement is between the City of Oshkosh(City),and Jerome B.Dempsey and Leona F. Dempsey(collectively"Owner"). The parties enter into this Agreement for$1.00 and other good and valuable consideration as described in this Agreement, the sufficiency and receipt of which is acknowledged. A. The Owner is the fee owner of Property identified as Parcel Number 91415490000 and commonly known as 90 Crimson Lane, which is more particularly described as follows: See Property legal description in Exhibit A, which is attached. Legal Description is from Owner's deed recorded with the Winnebago County Register of Deeds on November 15, 1985, as Document Number 641842 B. The Property is subject to an Easement granted to the City of Oshkosh that allows the City to install,maintain,and operate sanitary sewer facilities and water main facilities in perpetuity over, under, and through the Property. The Easement was recorded with the Winnebago County Register of Deeds on June 17, 1982 as Document Number 576851,and is attached as Exhibit B.The Easement has been actively used by the City for the authorized purposes since its creation, and the City will continue using the Easement for the authorized purposes in perpetuity. C. No building, structure,or object is allowed to encroach into,obstruct,or limit the City's use of the sanitary sewer and water main Easement without approval by the City's Department of Public Works. D. The Owner has previously installed or constructed an asphalt parking pad, vegetative screening,and a tree(collectively,the Encroachment)within and across the Easement. Some or all of the Encroachment was installed or constructed with the knowledge of the City's Planning and/or Building Inspections Divisions. However,the Department of Public Works was unaware of and did not approve of the installation and construction of the Encroachment. E. The asphalt parking pad, vegetative screening, and tree that have been installed as the Encroachment are shown on the map attached to this Agreement as Exhibit C. F. The City, including the Department of Public Works, has reviewed the Owner's Encroachment into the City's Easement.The City will allow the Encroachment as it currently exists, subject to the terms of this Encroachment Agreement. A material component of this Agreement is the explicit understanding that the City's permission allowing an Encroachment should not result in any expectation of permanency, and does not create or give any property right to any component of the Encroachment. This Encroachment is personal to the Owner and is completely revocable by the City. G. This Encroachment will be allowed subject to conditions. The conditions include: 1) the Encroachment remains materially the same as the Encroachment that exists on the date of this Agreement; 2) it is clear that the City's Easement rights continue to supersede the Owner's Encroachment rights;and 3)this Encroachment is revocable without cost to the City and is subject to all terms and conditions identified or referenced in this Agreement. December 7, 2020 2 H. The City's permission for the Encroachment is contingent upon the initial, and continuing, compliance with all applicable local,state and federal statutes,codes,ordinances,and rules. I. The Owner is solely responsible for the installation and maintenance of the Encroachment. The Owner is solely responsible for any and all personal and property damage to the extent caused by the existence of the Encroachment. J. Snow, ice, debris, or any materials shall not be moved on to or allowed to remain in the Encroachment area, or on to any part of the City's Easement. K. The Owner is solely responsible for constructing, maintaining,repairing, and replacing the Encroachment. The City's permission and approval of this Encroachment is not meant to state or imply that the City guaranties,warranties,or acquires any responsibility for the short and/or long-term stability and safety of the Encroachment.The Encroachment is and always remains the sole responsibility and liability of the Owner. L. The Owner acknowledges that the facilities and utilities within City's Easement are subject to ongoing operation, inspection, maintenance, repair, and replacement, as allowed by the Easement. To that end: 1) The Owner is solely responsible for removing or otherwise protecting the Encroachment if it will be affected by any public maintenance,repair,or replacement projects or activities within the Easement. The City will not be responsible for any costs related to the disruption, removal, repair or replacement of the Encroachment resulting from the City's use of the Easement. 2) The Owner is solely responsible for protecting the City's public utilities and facilities from adverse effects related to the existence and use of the Encroachment. 3) In the event that the City will be undertaking non-emergency maintenance, repair, replacement, or installation of public facilities in the Easement is planned, the City agrees to make reasonable efforts to notify the Owner of these projects or activities in advance. In emergency situations, the City will notify the Owner as soon as practicable. 4) If the Owner elects to remove or to otherwise take actions to protect the Encroachment (as opposed to the City protecting or removing the Encroachment), then such actions must be taken in a manner approved by the City and within the City's timeframe for the anticipated work. 5) The City shall not be responsible for any damage to the Encroachment,or any Owner structure, improvement, hard surface, feature, or landscaping within the City's Easement, related to the City's lawful use of the Easement. X December 7, 2020 3 t_I 6) The City has no obligation to remove, but shall be allowed to remove, at its sole discretion, all or part of the Encroachment in the event that the City's lawful use of the Easement requires such removal. 7) The Owner shall be responsible for reinstalling, replacing, and repairing the Encroachment provided the City,at its discretion,approves the continued location of encroachments in the Easement, regardless of which party removed the Encroachment. The City shall be reimbursed by the Owner for all costs and expenses related to removing or protecting the Encroachment, or for removing vehicles or obstructions within the easement. 8) For the sake of clarity,the City may take significant material actions when removing or protecting Encroachments so that the City is able to perform lawful work in the Easement pursuant to any lawful use of the Easement. These significant actions may include removal of trees or other vegetation, moving anything setting or parked on the hard surfaced pad, and removing some or all of the hard surface pad within the Easement. Reinstalling, replacing, and/or repairing any of the aforementioned or related actions will be the Owner's responsibility. 9) The City recognizes that the purpose and function of the pad is for the parking storage of private, personal property that is not specifically identified or outlined within the Encroachment. The Owner shall be responsible for the removal of private property from the Encroachment area to allow the City with the ability to proceed with all scheduled and emergency operations to be performed by the City within the utility Easement. The City agrees to make reasonable efforts to notify the Owner of such scheduled activities which require all personal property to be removed from the Easement area, and will notify the Owner as soon as practicable in all emergency situations. In the event that City discovers that private, personal property has not been removed from the Encroachment area when work is required for the Easement, the City shall move and relocate the private, personal property from the Encroachment area to Owner's nearby property. The City will use reasonable efforts to safely move and relocate such personal property, but shall not be responsible for and shall be held harmless from damages to the personal property and the adjoining property onto which the personal property is moved. M. Due to the nature of this Agreement and the permission granted, the Owner is not eligible for,and specifically disavows,any right to receive compensation of any kind for the removal, replacement,protection,alteration,or limited accessibility of the Encroachment,in whole or in part, whether temporary or permanent. N. At some point in the future, the City's lawful use of the Easement may conflict with the existence and use of the Encroachments. Such conflicts will be resolved in favor of the City's unobstructed use of the Easement. However,except for emergencies,the City agrees to consult with the Owner and in good faith assist with any approvals or changes necessary. Nevertheless,the City's legal obligations to state and federal law,as well as its obligations to its taxpayers, may require certain changes to the Encroachment. Both parties agree to act in good faith to resolve issues affecting the City ability to properly operate and maintain its December 7, 2020 4 public utilities and facilities.The City may revoke its approval of the Encroachment,or may require changes to the Encroachment, based on any of the following: 1) The City's efficient and cost effective use of the Easement prohibits the continued location of the Encroachment; 2) The City determines that an Encroachment adversely affects the functioning of the public utilities in the Easement; 3) Additional encroachments are added, or the existing Encroachment is altered or expanded, without permission from the City; 4) Local, state or federal rules, laws,or guidelines relating to any public facility located in the easement, or any other local, state or federal law, prohibit the continued location of the Encroachment; 5) The Owner fails to properly maintain, repair, or replace the Encroachment; The Owner fails to provide the City with annual written proof that the Encroachment is covered by the required insurance; or, 6) Any other lawful reason or circumstance that requires a change based on the City's interests in the Easement, including without limitation, a breach of a term of this Agreement. O. If the City's permission allowing the Encroachment is revoked, or requires changes to the Encroachment,then Owner shall promptly take all required actions to remove or reconfigure the Encroachment. In the event that the Owner fails or refuses to make changes or remove its Encroachment within the timeline set by the City, the City may remove some or all of the encroachment at the Owner's expense. P. The Owner protects, holds harmless, and releases the City of Oshkosh, its employees, agents,elected officials,and authorized volunteers from all debt,claims,demands,damages, actions and causes of action whatsoever to the extent caused by the construction, location, and use of the Encroachment. Q. The Owner agrees to indemnify and pay to the City all amounts that the City may be required, obligated, and/or adjudged as responsible to pay, for any dispute or action related to,or to the extent caused by,the Encroachment. This indemnification is broad,and includes damages, attorney's fees and costs, and defense costs. The payments required of the Owner by this paragraph are due no later than 30 days after written request for such indemnification. The Owner agrees that this paragraph shall be liberally construed in favor of the City of Oshkosh,in consideration of the Encroachment privilege allowed by the City as described in this Agreement. R. At all times that all or part of the Encroachment is located in the Easement, the Owner's liability insurance shall cover all potential liabilities related to the Encroachment. The Owner's insurance shall provide reasonable coverage for potential damages to persons and property cause wholly, or in part, by the Encroachment. Minimum insurance coverage December 7, 2020 5 related to the Encroachment shall be $500,000 for each occurrence for bodily injury and property damage liability and$500,000 general aggregate.The Owner shall include the City of Oshkosh as an additional insured on its policy for claims, liabilities,and damages related to the Encroachment. The Owner shall annually provide the City with proof of insurance for the Encroachment. S. The Owner's responsibilities and liabilities pursuant to this Agreement extend to other persons, contractors, and agents performing work on Owner's behalf related to the Encroachment. The Owner will always be ultimately responsible to the City even if the damage is caused by others performing work in Owners behalf. T. This Agreement is solely for the benefit of the two parties to this Agreement, and it is not intended to benefit any third party. U. The decision to enforce or not enforce, as well as the timing of enforcement, shall be at the City's sole discretion and shall not act as a waiver of any rights to exercise any right relating to the Encroachment in the future. V. This Agreement shall incorporate and adopt all immunities and limitations on liability provided to municipalities within the Wisconsin Statutes, regardless of whether a claim is based upon contract, tort, or other theory. W. This Encroachment Agreement shall inure to the benefit of, and be binding upon,these two parties. To the extent that the Owner rents or leases the Property, the Owner shall remain responsible for its obligations described in this Agreement even though the actions are taken by tenants or are related to any tenancy. X. This Agreement may be recorded with the Winnebago County land records solely to ensure notification that no property interests have been transferred. This Agreement shall expire upon the Owner's conveyance of any interest in the Property.Any holder of an interest in the Property should be aware of the revocable nature of the Encroachment permission. Any future owner shall be required to obtain their own Encroachment Agreement.Any change in ownership of the Property shall require a new Agreement with the new owner(s).The City's future agreements with future owners of the property shall not be unreasonably denied, provided the Encroachment remains substantially the same as described in this Agreement, and other conflicts described or inferred in this Agreement are not present. The City shall be entitled to enter the Property upon the expiration of revocation of this Agreement and remove the Encroachment at the expense of the Owner or other person the City deems responsible for the continued existence of the Encroachment.
