PURPOSE: APPROVE ADDENDUM "B" TO OFFER TO PURCHASE FOR AN
EXTENSION TO PURCHASE VACANT PROPERTY ON SOUTH MAIN
STREET BETWEEN 7rH AVENUE AND 8TH AVENUE; SAWDUST
DISTRICT LOFTS-OSHKOSH, LLC ($1.00)
BE IT RESOLVED by the Redevelopment Authority of the City of Oshkosh that
Addendum "B" to the offer to purchase in the amount of $1.00 submitted by Sawdust
District Lofts -Oshkosh, LLC or its Assigns, for the vacant property on the west side of
South Main Street between 7th Avenue and 81h Avenue is hereby accepted and extended
until April 30, 2021 and the proper officials are hereby authorized and directed to execute
any and all documents necessary for purposes of same.

Background
The RDA issued a Request for Proposals (RFP) for the site in 2019 and received three
proposals. Upon review of the proposals, the RDA selected the Sawdust Lofts proposal
for redevelopment of the property. The Sawdust Lofts project proposes the construction
of about 60 affordable housing units in a single building, containing underground
parking, and a plaza structure facing Main Street. The developers also identified the
WHEDA Low Income Housing Tax Credit (LIHTC) program as a piece of the financial
plan. The developers applied for the WHEDA LIHTC programs. Unfortunately,
WHEDA did not select the Sawdust Lofts for LIHTC funding in April, 2020. The
developers would like to extend their offer to purchase to provide them time to acquire
alternative financing and possible re -application for the tax credits.
Analysis
The proposed Sawdust Loft project was selected after considering the other proposals
that were presented. The Sawdust Lofts appeared to best match the Sawdust District
Plan with residential development, underground parking, and the public plaza fronting
on South Main Street. The original development timing contingency for the project was
obtaining financing and all necessary approvals for construction by October 31, 2020.
The proposed extension would extend this date to April 30, 2021, or six months. The
developers report that they plan to apply for additional grants and/or tax credits to help
finance the proposed Sawdust Lofts project.
Fiscal Impact
The time extension to April 30, 2021 will not have a significant fiscal impact. The RDA
will continue to maintain the property with grass cutting and snow removal.
Recommendation
The RDA approves Addendum to Offer to Purchase for an Extension to Purchase Vacant
Property on South Main Street between 7th Avenue And 8th Avenue; Sawdust District
Lofts -Oshkosh, LLC ($1.00)
Addendum A to the Offer to Purchase
Addendum attached to and made part of the Offer to Purchase dated November 26, 2019 made by the
buyer, Northpointe Development Corporation with respect to the property at 707 South Main Street,
Oshkosh, Wisconsin.
Contingencies: Buyer's obligation to close this transaction is contingent upon the following:
A. Buyer obtaining any other approvals from appropriate local, state or federal governments or government
agencies having jurisdiction over the Property and all necessary support, permits, and licenses necessary for the
Buyer's proposed use of an approximately 60-unit multi -family affordable housing project. This contingency shall
be waived by Buyer in writing by 10/31/20 or this Offer shall be null and void.
B. Buyer shall obtain a Phase I Environmental Report, at Buyer's expense, satisfactory to Buyer, This contingency
shall be waived in writing by 6/15/20 or this Offer shall be null and void.
C. Buyer obtaining approval for Buyer's application for certain WHEDA tax credits for the proposed use from the
State of Wisconsin. This contingency shall be waived in writing by Buyer by 4/15/20 or this Offer shall be null and
void.
The Offer and Addendum constitute the complete Agreement between the parties with respect to the purchase of
the property. The Offer shall not be amended in any form whatsoever, unless such amendment is in writing and
duly signed by all parties. Each party acknowledges that it has carefully read and fully understands all provisions of
the Offer. Neither party has relied on the statements made by the other party regarding the interpretation or legal
effect of the Offer.
THE PARTIES ACKNOWLEDGE AND AGREE THATTHE TERMS OF THIS ADDENDUM ARE INCORPORATED AND MADE
A PART OF THE OFFER TO WHICH IT IS ATTACHED,

Addendum B to the Offer to Purchase
Addendum attached to and made part of the Offer to Purchase dated November 26, 2019 made by the
buyer; Northpointe Development Corporation with respect to the property at 107 South Main Street
Oshkosh, Wisconsin.
All dates listed in the Offer to Purchase dated November 26, 2019 and Addendum A to the Offer to Purchase shall
be extended by 6 months.
The Offer and Addendum constitute the complete Agreement between the parties with respect to the purchase of
the property. The Offer shall not be amended in any form whatsoever, unless such amendment is in writing and
duly signed by all parties. Each party acknowledges that it has carefully read and fully understands all provisions of
the Offer. Neither party has relied on the statements made by the other party regarding the interpretation or legal
effect of the Offer.
THE PARTIES ACKNOWLEDGE AND AGREE THAT THE TERMS OF THIS ADDENDUM ARE INCORPORATED AND MADE
