Liability Company (Owner), and CITY OF OSHKOSH, a municipal corporation,
located in Winnebago County, Wisconsin, (City).

5, 2008 as Document Number 1489088. CSM 6331 included, among City Attorney's Office

other elements, a Sanitary Sewer Easement forty (40) feet wide that is P.O. Box identified as "Easement F" for the explicit benefit of the City of Oshkosh, WI 54903-1130
Oshkosh. The described allowed use by the City, and the subordination
of all other uses as described in CSM No. 6331 remain fully in 91346000200, 91346000101
effect. This Sanitary Sewer Easement has been used by the City Parcel Identification Number (PIN)
since its creation and it contains sanitary piping and facilities that are
critical to the City's sanitary sewer system. This Clarification and Agreement does not replace or supersede
the existing Sanitary Sewer Easement. Notwithstanding any other term within this Clarification and
Agreement, it is not the parties' intention to change the use, location, or size of the Sanitary Sewer
Easement, nor to change the date the 2008 Sanitary Sewer Easement was created and easement interests
vested or other easements and uses subordinate to the Sanitary Sewer Easement.
2. PURPOSE: The Purpose of this Clarification and Agreement is to more fully describe the specific public
benefit held and that may be enforced by the City of Oshkosh through the creation of the Sanitary Sewer
Easement for the benefit of the public, as described in Wis. Stat. 236.293, and all other applicable statutes.
The Owner's Property through which the Sanitary Sewer Easement passes was originally intended to be the
subject of a residential development, but was never actually developed. The Owner recently purchased the
Property and intends to construct a residential accessing the sanitary facilities and, in some cases, crossing
the surface of the City's Easement. In some cases the Owner's development proposes that public utilities
enter or cross the City's Sanitary Easement. The Owner and City seek to provide some certainty regarding
potential reasonable uses of the Easement Property, including the obligations of those using that property,
rather than rely upon ongoing discussions to provide clarity of rights and responsibilities, and to seek to
minimize future disagreements. CSM No. 6331 granted a Sanitary Sewer Easement for the public benefit
through the City as of the date of the CSM's recording on December 5, 2008. Under no circumstance shall
this Clarification and Agreement change, modify, waive, or alter in any way the Easement rights vested in
the City through the recording of CSM No. 6331. The City explicitly retains all Sanitary Sewer Easement
rights vested from and through CSM No. 6331.
3. OWNER PROPERTY: The City's Sanitary Sewer Easement is identified and described on and within CSM
No. 6331, which is attached as Exhibit A. More specifically, the Owner's Property upon which the
Easement is located is located within the following:
Lot 3 and Outlot I of Certified Survey Map Number 6331, recorded within the Winnebago County Register
of Deeds on December 5, 2008, as Document Number 1489088, all of which is located in the Southwest/4
of the Southwest''/, of Section 29, Township 18 North, Range 16 East, City of Oshkosh, Winnebago County,
Wisconsin.
4. EASEMENT PROPERTY: The Sanitary Sewer Easement Property is located within the City of Oshkosh,
Winnebago County, Wisconsin, and described as:

5. ACCESS RIGHTS: City shall have the complete right to access and use the Easement Property for all purposes
related to City's Sanitary Sewer pipes, related facilities, and overall sanitary system. In the event that this
Clarification and Agreement allows the Owner to use the Easement Property surface, or to allow the limited use of the
Easement Property by public utilities, provided the City approves such uses, then the Owner ensures that at all times
there exists a minimum unobstructed width of twenty (20) feet throughout the Sanitary Sewer Easement Property that
will always allow City's vehicles and equipment to access the full length of the Sanitary Sewer Easement Property.
The entire unobstructed Sanitary Sewer Easement Property shall be made available to City for routine or other
maintenance or repairs upon 48 hours advanced notice. City shall be allowed access to the full, unobstructed width
and length of the Sanitary Sewer Easement Property when emergency situations require such access without prior
notice.
6. USE FOR CITY SANITARY SEWER SYSTEM: The City's required use of the Sanitary Sewer Easement when it
was required to be created in 2008 is for underground Sanitary Sewer pipes and related facilities, although some
facilities including manholes will be at the surface level. City has been using the Sanitary Sewer Easement for such
required uses and those uses shall continue in perpetuity. The City shall have the right to access, survey, lay,
construct, use, operate, maintain, repair, replace, relocate, and/or remove Sanitary Sewer pipes, structures, and related
facilities.
7. MAINTENANCE: Owner shall be responsible for normal and routine maintenance and repair of the surface of the
Sanitary Sewer Easement Property, and also those underground uses that are explicitly allowed by the City.
a. City shall be responsible for maintaining all public Sanitary Sewer facilities on and within the Sanitary Sewer
Easement Property, including the maintenance, repair, and replacement of all public Sanitary Sewer facilities
located over, under, and through the Sanitary Sewer Easement Property.
b. At the completion of any disruptions of the surface, the City is responsible for grading and seeding areas of
grass. Additionally, the City would repair disruptions to streets/sidewalks pursuant to City of Oshkosh standard
specifications.
c. To the extent that City maintenance, repair, or replacement of Sanitary Sewer facilities, affects, or is affected by,
any improvement that the City allows the Owner to construct or install, or any other installation or facility
installed by a public utility or others after the Sanitary Sewer Easement was created through CSM No. 6331,
then all such costs to protect, remove, reroute, reinstall, or repair shall be at the expense of the Owner, public
utility, or other applicable user.
d. The City's maintenance of its Sanitary Sewer facilities shall beat its sole discretion.
8. INTERFERENCE WITH EASEMENT: The City installed substantial and critical public Sanitary Sewer facilities
within the Sanitary Sewer Easement after it was created in 2008 through CSM No. 6331. As a result, it is important
that subsequent allowed uses of the Easement Property, whether at the surface level or underground, be kept to a
minimum and only those uses explicitly approved by the City be allowed. Therefore, as the Owner's Property is
being developed and used, the Owner, their heirs, agents, successors, or assigns, nor any holders of any easements or
uses that were created after the Sanitary Sewer Easement was created to benefit the public in 2008 through CSM No.
6331, shall not interfere in any way with the City's use of the Sanitary Sewer Easement, or install or construct any
new building, structures, fences, improvements, underground piping, cables, wires, and the like, as well as
landscaping within the Sanitary Sewer Easement Property. The City will allow certain reasonable uses of the
Easement Property, provided the City approves and provided they remain subordinate to the City's use of the
Easement Property. At this time, the allowed subordinate uses by Owner are the following, provided the plans for
these items are approved in advance by the City:
a. Private light posts and associated electrical;
b. Street, curbing, and sidewalks;
c. Private storm drainage and storm sewer facilities;
d. Private water main;
e. Private residential connections to the private water main;
f. Private sanitary laterals to residential uses;
g. One crossing for public utilities, with the one crossing must be designed to accommodate all potential public
utilities, subject to regulatory installation standards for particular public utilities.
h. Trees, shrubs, and other vegetation may be removed from the Sanitary Sewer Easement Property as necessary, at
the sole discretion of City, without further compensation.

Due to the critical nature of the City's sanitary sewer facilities within the Easement Property, in the event there
is a problem with the sanitary sewer's function, the City will need to access these facilities quickly, and the
existence of snow and ice on the Easement Property can delay repairs of the sanitary sewer facilities. However,
some winters with significant snowfalls may present the Owner with snow removal challenges. Therefore, the
Owner may place some snow onto the Easement Property as long as such amounts are not excessive and will not
result in significant delays by the City in accessing its facilities within the Easement Property. Both parties
agree to act in good faith in this and all other issues related to the Easement Property. Despite the allowance of
some snow to be placed onto the Easement Property, the City retains the right to require that the Owner stop
placing additional snow onto the Easement Property or, in certain cases, to remove some snow from the
Easement Property if the City, at its sole discretion, reasonably believes that the amount of snow placed onto the
property will unreasonably interfere with its ability to access the Easement Property.
j. If Owner, public utility, or other person or entity using the Sanitary Sewer Easement fails to remove these
materials, objects, structures, or other items, whether allowed or prohibited, then the City shall remove the same
at the expense of the Owner, public utility, or other person or entity using the Sanitary Sewer Easement.
k. The Owner shall take reasonable steps to prevent third parties from interfering in any way with the City's use of
this Sanitary Sewer Easement.
9. USE OF EASEMENT BY OTHERS: The Owner agrees that the City may temporarily assign the access rights
identified herein to any contractor, third party, or other assignee that will be performing work on the Sanitary Sewer
Easement Property which would otherwise be allowed for City itself to undertake. City shall take reasonable steps to
ensure that the other parry retains sufficient competence and gives adequate assurances that any work to be performed
in or around the Sanitary Sewer Easement shall be conducted in a skillful manner, and that the Owner's interest in the
Sanitary Sewer Easement premises shall be protected to the same extent as if the City was itself performing the
construction and maintenance.
10. DEFAULT: If either Owner or City reasonably believes that the terms of this Sanitary Sewer Easement have been
breached, then written notification of the alleged breach shall be delivered to the other party. Any party in breach
shall have thirty (30) days to cure any actual breach. However, City may immediately remove any object or material
which it believes materially interferes with the design of a Sanitary Sewer facilities within the Sanitary Sewer
Easement Property.
11. TERM: The Sanitary Sewer Easement created in 2008 through CSM No. 6331 was granted in perpetuity for public
purposes and uses, both current and future, without regard to the City's use of the Sanitary Sewer Easement. This
Clarification and Agreement is intended to apply to as long as the Sanitary Sewer Easement remains in effect, subject
to any lawful written modifications. This Clarification and Agreement is intended to be binding upon and inure to the
benefit of the Owner and City, their respective heirs, executors, administrators, successors, assigns, and legal
representatives as long as the Sanitary Sewer Easement remains in effect.
12. EXISTING EASEMENTS: The Owner and City are not aware of any other easements recorded prior to the effective
date of the Sanitary Sewer Easement created in 2008 through CSM No. 6331 which relate to or affect the Sanitary
Sewer Easement Property. However, subsequent easements may be created with the prior approval of the City with
the understanding that any benefits created through such subsequent easements remain wholly subordinate to the
public benefits created through CSM No. 6331.
13. WAIVER: No delay or omission by any party to this Clarification and Agreement in exercising any right or power
arising out of any default under any of the terms or conditions of this Clarification and Agreement shall be construed
as a waiver of the right or power. A waiver by a parry of any of the obligations of the other party shall not be
construed to be a waiver of any breach of any other terms or conditions of this Agreement.
14. INVALIDITY: If any term or condition of this Clarification and Agreement, or the application of this Clarification
and Agreement to any person or circumstance, shall be invalid or unenforceable, the remainder of this Clarification
and Agreement, or the application of the term or condition to persons or circumstances other than those to which it is
held invalid or unenforceable, shall not be affected thereby, and each term and condition shall be valid and
enforceable to the fullest extent permitted by law.
15. NO THIRD PARTY BENEFICIARY: The terms of this Agreement are for the benefit of the two parties identified,
and it is not the intention of either the Owner or City that other parties shall acquire any rights, to enforce or benefit
from, through this Agreement.

16. MUNICIPAL LIABILITY: Nothing in this Clarification and Agreement is intended as a waiver of the City's right or
opportunity to rely upon the municipal limitations and immunities contained within Wisconsin law. Municipal
immunities and limitations include, but are not limited to, Sections 345.05, 893.80, and 893.83, Wisconsin Statutes.
Such damage limits, caps and immunities are intended to be preserved and are incorporated into this agreement and
shall govern all disputes, contractual or otherwise, as they apply to the municipality and its agents, officers, and
employees.
17. GOVERNING LAW: This Agreement shall be construed and enforced in accordance with the laws of the State of
Wisconsin. Venue for any action regarding this Agreement shall be the Winnebago County, Wisconsin, Circuit Court
or, if a federal court action, then the appropriate district and/or branch within which Winnebago County is located.
I & NOTICES: Any notices required by this Sanitary Sewer Easement shall be in writing and delivered via certified mail,
return receipt requested, as follows. Changes to these addresses shall be in writing. In addition to formal
notification, both parties agree to take reasonable measures to keep the other party informed of issues or questions
regarding the Sanitary Sewer Easement Property.

19. AUTHORITY: The City is not granting, accepting, releasing, waiving, or modifying any easement rights vested
through the Sanitary Sewer Easement identified in CSM No. 6331 in 2008. This administrative Clarification and
Agreement is lawfully entered into by the undersigned. The Owner affirms that it has the authority without limitation
to enter into this Clarification and Agreement.
