HomeMy WebLinkAbout05. 20-02 JANUARY 14, 2020 20-02 RESOLUTION (CARRIED 6-0 LOST LAID OVER WITHDRAWN ) PURPOSE: APPROVE AGREEMENT FOR DISPOSAL OF CONTAMINATED SOIL FROM VARIOUS PROJECTS IN THE 2020 — 2022 CAPITAL IMPROVEMENT PROGRAM / WASTE MANAGEMENT- WISCONSIN (ESTIMATED $4,766,000) INITIATED BY: DEPARTMENT OF PUBLIC WORKS WHEREAS, Section 12-11 of the Oshkosh Municipal Code permits the purchase of services to be done without formal bidding or quotes when those services are available from only one source; and WHEREAS, Waste Management Wisconsin is the only landfill provider which is licensed to accept all materials anticipated to be generated from City projects. BE IT RESOLVED by the Common Council of the City of Oshkosh that the proper City officials are hereby authorized to enter into and take those steps necessary to implement an appropriate agreement for professional services associated with disposal of contaminated soil from various projects with Waste Management for capital improvement projects during 2020-2022. City of W Oshkosh MEMORANDUM TO: Honorable Mayor and Members of the Co on Council FROM: James Rabe,Director of Public Work DATE: January 9, 2020 RE: Approve Agreement for Disposal of Contaminated Soil from Various Projects in the 2020 — 2022 Capital Improvement Program / Waste Management- Wisconsin (estimated$4,766,000) BACKGROUND During the preliminary design work for this year's construction contracts, an environmental review for contaminated soils was conducted within planned project limits. Several locations were identified as areas of concern due to previous activities that occurred in those areas. These previous activities could include industrial use or commercial use, such as gas stations or other uses that historically have produced soil contamination. Soil samples will be taken in areas of concern and analyzed. Any encountered soils containing refuse, petroleum, heavy metals, or other hazardous substances will be landfilled. The closest landfill licensed to handle these materials is the Waste Management's Valley Trail Landfill located in Berlin, Wisconsin. ANALYSIS Waste Management and the City have historically had a negotiated standard tipping fee for each of the contaminated soil types anticipated to be excavated. These costs have been, and continue to be,less than the regular commercial rate for waste disposal at the Waste Management facilities. The rates for 2020-2022 are $25.00/ton for petroleum contaminated soil, $18.00/ton for contaminated soil that can be used as daily cover, and $38.00/ton for general refuse. In addition to these standard items, a negotiated rate of$33.00/ton has been established for hauling of waste material from the former Kienast-Paulus Quarry landfill sites associated with the landfill gas mitigation system project. In addition to these rates, a $1.50/ton for an Environmental Fee and $1.50/ton for a Wastewater Management Fee will be charged to ensure continued environmental compliance. The tipping fee rates are good through 2022 and are the same as the rates from 2018- 1:1Lnginccring12O2O CONTRACTS\Waste Mgmt 2020-2022 Landfill Disp\CC Memo-2020-2022 Page 1 of 2 Crisp of Contam Soil_1-9.20.doca 2019. The Environmental and Wastewater Management Fees increase by $0.50 per year. The standard Waste Management landfill tipping fee is $38.00/ton plus the Environmental and Wastewater Management Fees. A breakdown of projects anticipated to have contaminated soils and the estimated quantities of contaminated soil is attached. Additional projects may be added if contaminated soil is found at those locations. FISCAL IMPACT The estimated total disposal cost for contaminated soils in 2020 is approximately$1,178,000. The estimated total disposal cost for contaminated soils in 2021 is approximately $1,765,000. The estimated total disposal cost for contaminated soils in 2022 is approximately $1,823,000. The actual total cost will be based on the quantities hauled to the landfill. Funds for these services are budgeted as part of each construction project and are available in the Street, Storm Sewer, Sanitary Sewer, Water Main, and Property Improvement sections of each year's CIP or appropriate TIF district. RECOMMENDATIONS Section 12-11 of the Municipal Code of the City of Oshkosh provides that purchases of services, materials, supplies, or equipment, that are available from only one source and exceed $25,000, may be approved by Council upon recommendation by the City Manager without the use of formal, sealed quotes. In the event costs of processing recyclables exceeds the commodity value,a recyclable material offset will be charged per ton. 12.ASSIGNMENT&SUBCONTRACTING.This Agreement shall be binding on and shall inure to the benefit of the parties and their respective successors and assigns. Customer acknowledges and agrees that the Company may utilize unaffiliated subcontractors that are not affiliates of Company to provide the Services to Customer. 13.ENTIRE AGREEMENT. This Agreement and its exhibits and attachments represent the entire understanding and agreement between the parties relating to the Services and supersedes any and all prior agreements,whether written or oral,between the parties regarding the same;provided that,the terms of any national service agreement or lease agreement for compactors or specialty equipment between the parties shall govern over any inconsistent terms herein. 14,TERMINATION; LIQUIDATED DAMAGES,Company may immediately terminate this Agreement,(a)in the event of Customer's breach of any term or provision of this Agreement, including failure to pay on a timely basis, or(b)if Customer becomes insolvent,the subject of an order for relief in bankruptcy,receivership,reorganization dissolution,or similar law,or makes an assignment for the benefit of its creditors or if Company deems itself insecure as to payment ("Default").Notice of termination shall be in writing and deemed given when delivered in person or by certified mail,postage prepaid,return receipt requested.In the event Customer terminates this Agreement prior to the expiration of the Initial or Renewal Term("Term")for any reason other than for cause after providing Company with a reasonable opportunity to cure or as set forth in Section 3,or in the event Company terminates this Agreement for Customer's default,Customer shall pay the following liquidated damages in addition to the Company's legal fees,if any:(a)if the remaining Tenn(including any applicable Renewal Tenn)under this Agreement is six(6)or more months,Customer shall pay the average of its six(6)most recent monthly Charges(or,if the Effective Date is within six(6)months of Company's last invoice date,the average of all monthly Charges)multiplied by six(6);or(b)if the remaining Term under this Agreement is less than six(6)months,Customer shall pay the average of its six(6)most recent monthly Charges multiplied by the number of months remaining in the Term. Customer shall pay liquidated damages of$100 for every Customer waste tire that is found at the disposal facility.Customer acknowledges that the actual damage to Company in the event of termination is impractical or extremely difficult to fix or prove,and the foregoing liquidated damages amount is reasonable and commensurate with the anticipated loss to Company resulting from such termination and is an agreed upon charge and is not imposed as a penalty.
