HomeMy WebLinkAboutStrand Associates 3/13/2014AGREEMENT THIS AGREEMENT, made on the 13th day of March, 2014, by and between the CITY OF OSHKOSH, party of the first part, hereinafter referred to as CITY, and STRAND ASSOCIATES, INC., 910 WEST WINGRA DRIVE, MADISON, WI 53715, party of the second part, hereinafter referred to as the CONSULTANT, WITNESSETH: That the CITY and the CONSULTANT, for the consideration hereinafter named, enter into the following AGREEMENT for ENGINEERING DESIGN SERVICES, AVIATION BUSINESS PARK, EDA PROJECT #06 -01- 05830. ARTICLE I. PROJECT MANAGER A. Assignment of Project Manager. The CONSULTANT shall assign the following individual to manage the PROJECT described in this AGREEMENT: Mathew A. Yentz, P.E., Strand Associates, Inc. B. Changes in Project Manager. The CITY shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The CITY shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The CITY shall assign the following individual to manage the PROJECT described in this AGREEMENT: Allen Davis, Community Development Director ARTICLE III. SCOPE OF WORK The CONSULTANT shall provide the services described in the CITY'S Request for Proposal for Engineering Design Services, Aviation Business Park, EDA Project #06 -01 -05830 dated January 27, 2014. CITY may make or approve changes within the general Scope of Services in this AGREEMENT. If such changes affect CONSULTANT's cost of or time required for performance of the services, an equitable adjustment will be made through an amendment to this AGREEMENT. All reports, drawings, specifications, computer files, field data, notes, and other documents and instruments prepared by the CONSULTANT as instruments of service shall remain the property of the CITY. ARTICLE IV. STANDARD OF CARE The standard of care applicable to CONSULTANT's services will be the degree of skill and diligence normally employed by professional consultants or consultants performing the same or similar services at the time said services are performed. CONSULTANT will re- perform any services not meeting this standard without additional compensation. ARTICLE V. OPINIONS OF COST FINANCIAL CONSIDERATIONS AND SCHEDULES In providing opinions of cost, financial analyses, economic feasibility projections, and schedules for the PROJECT, CONSULTANT has no control over cost or price of labor and materials; unknown or latent conditions of existing equipment or structures that may affect operation or maintenance costs; competitive bidding procedures and market conditions; time or quality of performance by operating personnel or third parties; and other economic and operational factors that may materially affect the ultimate project cost or schedule. Therefore, it is understood between the parties that the CONSULTANT makes no warranty that the CITY's actual project costs, financial aspects, economic feasibility, or schedules will not vary from CONSULTANT's opinions, analyses, projections, or estimates. ARTICLE VI. RECORD DRAWINGS Record drawings, if required, will be prepared, in part, on the basis of information compiled and furnished by others. CONSULTANT is not responsible for any errors or omissions in the information from others that the CONSULTANT reasonably relied upon and that are incorporated into the record drawings. ARTICLE VII. CITY RESPONSIBILITIES The CITY shall furnish, at the CONSULTANT's request, such information as is needed by the CONSULTANT to aid in the progress of the PROJECT, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the CONSULTANT's work, the CITY will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE VIII. ASBESTOS OR HAZARDOUS SUBSTANCES If asbestos or hazardous substances in any form are encountered or suspected, CONSULTANT will stop its own work in the affected portions of the PROJECT to permit testing and evaluation. If asbestos is suspected, CONSULTANT will, if requested, manage the asbestos remediation activities using a qualified subcontractor at an additional fee and contract terms to be negotiated. If hazardous substances other than asbestos are suspected, CONSULTANT will, if requested, conduct tests to determine the extent of the problem and will perform the necessary studies and recommend the necessary remedial measures at an additional fee and contract terms to be negotiated. CITY recognizes that CONSULTANT assumes no risk and /or liability for a waste or hazardous waste site originated by other than the CONSULTANT. ARTICLE IX. CITY'S INSURANCE CITY will maintain property insurance on all pre- existing physical facilities associated in any way with the PROJECT. CITY will provide (or have the construction contractor(s) provide) a Builders Risk All Risk insurance policy for the full replacement value of all project work including the value of all onsite CITY- furnished equipment and /or materials associated with CONSULTANT's services. Upon request, CITY will provide CONSULTANT a copy of such policy. ARTICLE X. TIME OF COMPLETION The work to be performed under this AGREEMENT shall be commenced and the work completed within the time limits as agreed upon in the CITY's Request for Proposal. The CONSULTANT shall perform the services under this AGREEMENT with reasonable diligence and expediency consistent with sound professional practices. The CITY agrees that the CONSULTANT is not responsible for damages arising directly or indirectly from any delays for causes beyond the CONSULTANT's control. For the purposes of this AGREEMENT, such causes include, but are not limited to, strikes or other labor disputes, severe weather disruptions or other natural disasters, failure of performance by the CITY, or discovery of any hazardous substances or differing site conditions. If the delays resulting from any such causes increase the time required by the CONSULTANT to perform its services in an orderly and efficient manner, the CONSULTANT shall be entitled to an equitable adjustment in schedule. ARTICLE XI. COMPONENT PARTS OF THE AGREEMENT This AGREEMENT consists of the following component parts, all of which are as fully a part of this AGREEMENT as if herein set out verbatim, or if not attached, as if hereto attached: This Instrument 2. CITY's Request for Proposal dated January 27, 2014 and attached hereto 3. CONSULTANT's Proposal dated February 25, 2014 and attached hereto In the event that any provision in any of the above component parts of this AGREEMENT conflicts with any provision in any other of the component parts, the provision in the component part first enumerated above shall govern over any other component part which follows it numerically except as may be otherwise specifically stated. ARTICLE XII. PAYMENT A. The Agreement Sum. The CITY shall pay to the CONSULTANT for the performance of the AGREEMENT the total sum as set forth below, adjusted by any changes hereafter mutually agreed upon in writing by the parties hereto: • Time and Materials Not to Exceed $260,000 Dollars. • Attached fee schedules shall be firm for the duration of this AGREEMENT. B. Method of Payment. The CONSULTANT shall submit itemized monthly statements for services. The CITY shall pay the CONSULTANT within 30 calendar days after receipt of such statement. If any statement amount is disputed, the CITY may withhold payment of such amount and shall provide to CONSULTANT a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written amendment to this AGREEMENT executed by both parties prior to proceeding with the work covered under the subject amendment. ARTICLE XIII. HOLD HARMLESS The CONSULTANT covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims, and demands which may be to the proportionate extent caused by or result from the intentional or negligent acts of the CONSULTANT, his /her agents or assigns, his /her employees, or his /her subcontractors related however remotely to the performance of this AGREEMENT or be caused or result from any violation of any law or administrative regulation, and shall indemnify or refund to the CITY all sums including court costs, attorney fees, and punitive damages which the CITY may be obliged or adjudged to pay on any such claims or demands within thirty (30) days of the date of the CITY's written demand for indemnification or refund for those actions, claim, and demands caused by or resulting from intentional or negligent acts as specified in this paragraph. Subject to any limitations contained in Sec. 893.80 and any similar statute, of the Wisconsin Statutes, the CITY further agrees to hold CONSULTANT harmless from any and all liability, including claims, demands, losses, costs, damages, and expenses of every kind and description (including death), or damages to person or property arising out of re -use of the documents without consent where such liability is founded upon or grows out of the acts or omission of any of the officers, employees or agents of the City of Oshkosh while acting within the scope of their employment. ARTICLE XIV. INSURANCE The CONSULTANT agrees to abide by the attached City of Oshkosh Insurance Requirements. ARTICLE XV. TERMINATION A. For Cause. If the CONSULTANT shall fail to fulfill in timely and proper manner any of the obligations under this AGREEMENT, the CITY shall have the right to terminate this AGREEMENT by written notice to the CONSULTANT. In this event, the CONSULTANT shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The CITY may terminate this AGREEMENT at any time by giving written notice to the CONSULTANT no later than 10 calendar days before the termination date. If the CITY terminates under this paragraph, then the CONSULTANT shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the AGREEMENT and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this AGREEMENT. ARTICLE XVI. RE -USE OF PROJECT DOCUMENTS All reports, drawings, specifications, documents, and other deliverables of CONSULTANT, whether in hard copy or in electronic form, are instruments of service for this PROJECT, whether the PROJECT is completed or not. CITY agrees to indemnify CONSULTANT and CONSULTANT's officers, employees, subcontractors, and affiliated corporations from all claims, damages, losses, and costs, including, but not limited to, litigation expenses and attorney's fees arising out of or related to the unauthorized re -use, change, or alteration of these project documents. ARTICLE XVII. SUSPENSION, DELAY, OR INTERRUPTION OF WORK CITY may suspend, delay, or interrupt the services of CONSULTANT for the convenience of CITY. In such event, CONSULTANT's contract price and schedule shall be equitably adjusted. ARTICLE XVIII. NO THIRD -PARTY BENEFICIARIES This AGREEMENT gives no rights or benefits to anyone other than CITY and CONSULTANT and has no third -party beneficiaries. ARTICLE XIX. EDA REQUIREMENTS FOR MAINTENANCE OF RECORDS The City, EDA, the Comptroller General of the United States, the Inspector General of the Department of Commerce, or any of their duly authorized representatives, shall have access to any documents, books, papers, and records of the A/E (which are directly pertinent to a specific grant program) for the purpose of making an audit, examination, excerpts, and transcriptions. The City shall require the A/E to maintain all required records for at least three years after the City makes final payment and all pending matters are closed. City of Oshkosh, Wisconsin Request for Proposals For Engineering Design Services Aviation Business Park EDA Project #06 -01 -05830 January 27, 2014 City of Oshkosh P.O. Box 1130 Oshkosh, Wisconsin 54903 -1130 www.ci.oshkosh.wi.us REQUEST FOR PROPOSALS Engineering Design Services I. Introduction & Background The City of Oshkosh, Wisconsin (herein referred to as the City) hereby solicits proposals for engineering design services for a proposed Aviation Business Park. This project (design and construction) will be funded in part by the U.S. Department of Commerce - Economic Development Administration (EDA). All elements of the design and construction of this project shall meet EDA requirements, including, but not limited to design requirements, bidding process, reporting, construction, grant administration and documentation throughout the project. A copy of the EDA Grant Award Letter identifying the budget line items for this project is attached as Exhibit A. The project consists of the design and construction of municipal facilities to develop an industrial park. Specifically, it includes approximately 2,700 feet of sanitary sewer, 4,400 feet of storm sewer, and 2,900 feet of water main along with construction of storm water management retention basin(s) and approximately 2,500 feet of streets. There will also be a multi -use trail and /or sidewalk constructed parallel to the street, street lighting and street signs along with landscaping berms along the non - airport properties to provide a buffer between the existing development and the new park. A concept plan of the proposed Aviation Business Park is attached as Exhibit B. The purpose of this request for proposals is to attract and hire a consulting firm to provide engineering design services for this project, culminating in the preparation of construction drawings and specifications suitable for bidding. A separate Request for Proposals for construction engineering services will be issued prior to the start of construction. It is the responsibility of the Proposer to carefully read the entire Request for Proposals (herein referred to as the RFP) which contains all provisions applicable to successful completion and submission of a proposal. A mandatory pre - proposal conference will be held on February 7, 2014 at 9:00 a.m. in Room 404 of City Hall, 215 Church Avenue, Oshkosh, WI 54901. All firms interested in submitting a proposal must be in attendance. 2 Proposals received from firms that do not attend the pre - proposal conference will not be considered. All proposals, sealed and marked "Engineering Design Services- Aviation Business Park ", must be received by the City of Oshkosh, City Clerk's Office, 215 Church Avenue, PO Box 1130, Oshkosh, WI 54901 by 3:00 p.m. on February 25, 2014. Any proposal received after this time will not be considered. It is neither the City's responsibility nor practice to acknowledge receipt of any proposal. Proposals may be withdrawn by notice to the parry receiving proposals of the place designated for the receipt of proposals any time prior to the submittal deadline. Such notice shall be in writing over signature of the proposer, or by e -mail. If by e -mail, written confirmation over the signature of the proposer shall be mailed and postmarked on or before the date and time set for receipt of proposals, and it shall be so worded as not to reveal the amount listed in the original proposal. The City will not be liable for any costs incurred by the proposer in responding to this RFP or participating in the RFP process. Such costs are the sole responsibility of the proposer. The City of Oshkosh reserves the right to reject any or all proposals, to waive any informalities in the process, or to accept any proposal deemed in the best interests of the City of Oshkosh. The City is a governmental entity which is subject to the Wisconsin Open Records laws. Therefore, all proposals and other materials submitted to the City may be considered a public record accessible to anyone who may request such information. If you believe that any information or document that you may submit to the City is not, or should not be, a public record, then you must contact the City before it comes into the possession of the City. The City will be glad to answer questions about the applicability of open record laws and to come to some type of resolution, if possible, regarding particular circumstances. Any ongoing discussions regarding open records will not extend the deadline for submitting proposals. H. Scope of Services The proposers shall consider and address these elements in developing its proposal: A. Design Services o Geotechnical Investigation 3 ■ Prepare Request for Proposals (RFP) for Geotechnical Services. City will utilize this RFP to solicit proposals from firms capable of completing the services. RFP shall include at a minimum: • Scope of Services • Maps showing location of soil borings • City Standard Professional Services Agreement • City Contractor Safety Program • City Confined Space entry Policy • City Insurance Requirements • Coordinate with City selected Geotechnical firm to ensure all necessary information is obtained. • Survey location of all soil borings. The location and elevation of existing ground at all locations shall be noted on the plans. o Topographic Survey ■ City has provided the existing topographic survey that has been conducted for this site as a part of this RFP. ■ Consultant shall perform a location survey of any existing facilities that may be affected or disrupted by the proposed construction, including existing utilities, such as cable television, electric, gas, sanitary sewer, storm sewer, telephone, and water main that may not appear in the file provided by City. Prior to conducting survey, contact Digger's Hotline to request all utilities be marked. ■ Consultant shall supplement file provided with any additional survey data that may be pertinent. o Sanitary Sewer Design • Design sanitary sewer in accordance with City of Oshkosh and Wisconsin Department of Natural Resources (WDNR) requirements. • Ensure design accounts for service lateral crossings of all other utilities. • Prepare applications and submit to City of Oshkosh, East Central Wisconsin Regional Planning Commission and WDNR for sanitary sewer extension permits. • Consultant to coordinate with City to review potential for installing sanitary sewer in one terrace or under the street. o Street Design M • Design street in accordance with City of Oshkosh requirements. • Review proposal layout provided with RFP for constructability. Recommend revisions as necessary to provide constructible project. • Submit street design to City of Oshkosh for approval. • Recommend. pavement section typical section (concrete thickness and base course /sub -grade design). o Storm Sewer Design • Design storm sewer in accordance with City of Oshkosh requirements. • Ensure design accounts for service lateral crossings of all other utilities. • Storm sewer design shall account for City design goals: • No street surcharging for up to the 10 -year design storm. • Maintain street drivability (less than 6 inches of surcharging in gutter) for up to the 25 -year design storm. • Contain surcharging within the right -of -way for up to the 100 -year design storm. o Storm Water Management Plan Design • Design storm water management plan (including erosion control plan) in accordance with City of Oshkosh, WDNR, United States Army Corps of Engineers (USACE),.Federal Aviation Administration (FAA) and Bureau of Aeronautics requirements. • Prepare applications and submit to City of Oshkosh, WDNR, USACE, and Bureau of Aeronautics for approvals. o Water Main Design ■ Design water main in accordance with City of Oshkosh and Wisconsin Department of Natural Resources (WDNR) requirements. • Ensure design accounts for service lateral crossings of all other utilities. • Prepare applications and submit to City of Oshkosh and WDNR for water main extension permits. • Consultant to coordinate with City to review potential for installing water main in one terrace or under the street. E o Street Lighting Design ■ Private system in accordance with City requirements vs. Wisconsin Public Service System. o Master Site Grading Design ■ Entire site shall be designed to have less than a two percent (2 %) slope in all areas that could potentially be developed. o Permitting / Agency Coordination • Sanitary Sewer Extension Permit • Water Main Extension Permit • DNR Construction Site Permit • DNR Wetland /Waterways Permit • US Army Corps of Engineers Wetland /Waterways Permit • Prepare for, and attend all agency meetings necessary during permitting process. Pre - submittal meetings are required for many DNR permit applications. o Plan Preparation — comply with all City, State and EDA requirements ■ Anticipated Plan Sheets Required: • Title Sheet • Typical Cross Sections and General Notes • Special Details, including roadway elements, geometric layouts, and salvage /disposal of materials. • Miscellaneous Quantities • Plan and Profile Sheets o 22x34 Full Size (11x17 half size) o Full Size Horizontal Scale: 1 " =20' o Full Size Vertical Scale: 1 " =2" • Computer Earthwork and Mass Diagrams. • Cross Sections • Utilities Plan & Profile (Storm Sewer, Water Main, Sanitary Sewer) o. Utilities to be backfilled with compacted granular material. ■ Street Plan & Profile o Construction will include paving of streets in concrete. • Master Site Grading Plans • Erosion Control Plan ,1 • Marking and Signing Plan • Lighting Plans • Landscaping Plan ■ Retention basin(s) detail sheet(s) ■ Engineer's opinion of probable construction cost based on 60 %, 90% and final design plans. o Contract Manual (Specifications) Preparation — comply with all City, State and EDA requirements: • Utilize City of Oshkosh Standard Specifications. • Prepare Special Conditions. Ensure all appropriate requirements are included for working in the vicinity of an active airport. • Provide approximate quantities for City to prepare Official Notice to Contractors. • Utilize City supplied Bid Items / Proposal generation spreadsheet to assist in preparation of proposal. • City will compile all sections into Contract Manual. ■ Submit for prevailing wage rate determination for Davis- Bacon wage rates. ■ Submit for prevailing wage rate determination with State of Wisconsin Department of Workforce Development. • Utility Coordination • Coordinate with private utilities to ensure design allows for adequate placement of facilities. • Wisconsin Public Service (gas and electric) ■ AT &T ■ Time Warner Cable • Construction Review ■ Provide Shop Drawing review of any special design items (structurally design junction chambers as an example). • CADD Files ■ All work shall be performed in AutoDesk Civil 3D. • Meetings (to be held in Oshkosh at City supplied location) ■ Project Kick -Off Meeting ■ 30% Design Review Meeting ■ 60% Design Review Meeting ■ 90% Design Review Meeting ■ Two (2) Utility Coordination Meetings ■ Pre- Construction Conference 7 • Up to three (3) additional meetings at a City supplied location. • Additional meetings as described in other sections of this RFP (for example, agency review, Plat review, etc). o Plat Preparation • Prepare preliminary and final plat based on design approved by the City in accordance with State of Wisconsin platting requirements. • Submit Right -of -Way Plat to City for review, incorporate review comments, and re- submit to City for recording. • Monument new right -of -way boundary upon recording of final plat. • Include Right -of -Way Play information within the plans. • Attend Plan Commission and Common Council meetings for review and approval of Plat. o City Site Plan Review Committee • Complete Site Plan Review Committee Application Forms. Application fee will be waived. • Submit 90% plans for Site Plan Review Committee review. • Incorporate revisions, if required. • Re- submit plans if revisions were required. B. Bidding Services • Answer questions raised by prospective bidders. • Prepare addenda, if necessary. Provide to City in original electronic format as well as pdf. • Prepare agenda for, run Pre -Bid meeting and prepare minutes from Pre -Bid meeting. • Attend bid opening. • Analyze bids received. • Review proof of bidder's qualifications and recommend approval or disapproval. • Prepare recommendation of award of contract. • City will post bidding documents on Quest CDN website. • City will distribute addenda, if necessary, on Quest CDN website. C. City Responsibilities EV • Provide AutoCAD file of existing topographic survey of property. Provide existing street cross - sections (scanned images of plan sheets of Ripple Avenue) • Provide existing wetland boundaries • Provide Wetland Delineation Report • Provide AutoCAD file of Concept Plan. • Provide an Excel spreadsheet of standard bid items to utilize for construction cost estimates and Bid Proposal creation. • Provide water pressure data (static and residual with fire flows) from the City -wide water system model. • If Archeological investigations are required, the City will contract with a consultant separate from this agreement for those services. • Distribute bidding documents via Quest CDN website. • Contract directly with Geotechnical Services Consultant. • Provide 2014 City of Oshkosh Standard Specifications. • Provide new street /city utility design checklists. • Pay permit application fees to appropriate agency. • Submit completed permit application materials with appropriate fees. • Conduct bid opening. • Prepare Bid Tabulation. III. Desired Deliverables During the course of the project, the proposer shall provide the City with the following deliverables: • Up to ten (10) printed half -size plan sets to facilitate review of the draft design & estimates. • Up to ten (10) final design plan sets and estimates. •. 1 digital copy of the final design plan set in AutoDesk Civil 3D format. All Consultant work shall be performed in AutoDesk Civil 3D. • 1 high resolution PDF copy of the final design plan set for reproduction purposes. • 1 Excel spreadsheet of all bid items and quantities. • Concept plans suitable for City to produce a project information sign for EAA 2014. Deliver no later than July 2, 2014. IV. Tentative Project Schedule The following tentative schedule is presented to help the proposer determine the level of effort required to carry out this proposal. Elements of Proposal Each proposal shall include 4 sealed copies of a technical proposal and a cost proposal. Each proposal shall include the following: 1. Proposal number and name 2. Company name, address, telephone and fax numbers 3. Name, address, telephone number and email address of company contact for this RFP. The technical proposal shall include the following: 1. General qualifications of your firm; 2. A statement of your understanding of the project; 3. A statement of your work plan; 4. The anticipated time schedule for completing this project indicating when tasks are expected to be done and key milestones for receiving input or approval from the City or others, including, but not limited to, specific timetables for the following: a) Completing preliminary plans and associated cost estimates; b) Completing final plans, specifications and cost estimates; c) Securing required State and local approvals; d) Completing proposed contract documents sufficient for soliciting bids. 5. Identification of project team members and their roles in this project, with resumes of key personnel (no more than 2 pages per person); 6. At least three (3) examples of previous experience with similar projects, including contacts for each of the projects. Project 10 experience should emphasize public- sector projects. The same contact person may be used for more than one project. 7. If you or your firm is currently under contract on any engineering projects for the City of Oshkosh, Winnebago County, Wittman Regional Airport or the Town of Nekimi please identify the type of work and any potential conflict of interest in the performance of duties listed within this RFP. The body of the technical proposal (i.e. material excluding resumes) shall not exceed 10 pages. The cost proposal shall include the following: 1. Anticipated cost of services and estimated hours. Costs shall include all items of labor, material, tools, equipment, and other costs necessary to fully provide the services outlined in this RFP. This item should be stated as a cost not to be exceeded including expenses to be billed at cost, and reference an attached fee schedule for hourly or other unit rates of cost. 2. Evaluation of Proposals The City will establish an Evaluation Committee to evaluate the proposals. The Evaluation Committee will review the proposals for format to ensure compliance with the requirements of the RFP. Failure to meet these requirements may result in rejection of your organization's proposal. Evaluations will be based on the proposals, applying the following criteria as to each proposal: 1. Proposed approach to the project (including the proposed scope of work and work schedule); 2. Qualifications of the firm for undertaking this project; 3. Qualifications, experience and availability of the firm's key personnel and the personnel who will be working directly on the project; 4. Ability to meet the City's budget and schedule requirements; The evaluation criteria above are all of equal weight. The City may, at its discretion, require oral interviews or presentations of one or more proposers to assist in the evaluation process. VII. Proposal Selection and Agreement 11 The City will notify all proposers upon completion of the evaluation process. The City will begin negotiating with the proposer whose proposal best met the RFP objectives. The scope of services defined in this RFP, the cost schedule supplied by the proposer, along with any subsequent scope addenda /amendments, will become the scope of the work for the proposer. Beyond this scope and budget, the contractual agreement will require the proposer to provide proof of required insurance coverage, naming the City as an additional insured. The City's insurance requirements are attached to this RFP (Exhibit C). Upon signature by designated City officials, the agreement will become binding and the proposer may begin to execute its scope of work. A sample of the contractual agreement is attached to this RFP (Exhibit D). Proposers do not need to complete this agreement as part of their proposal. Per EDA requirements if the A/E contract price exceeds $100,000 the following provision will be added to the City's contractual agreement: "The City, EDA, the Comptroller General of the United States, the Inspector General of the Department of Commerce, or any of their duly authorized representatives, shall have access to any documents, books, papers, and records of the A/E (which are directly pertinent to a specific grant program) for the purpose of making an audit, examination, excerpts, and transcriptions. The City shall require the A/E to maintain all required records for at least three years after the City makes final payment and all pending matters are closed." VIII. Addenda / Questions All requests for interpretations, corrections or questions to this RFP must be emailed to General Services Manager Jon Urben (jurben@ci.oshkosh.wi.us) by 10:00 a.m., February 12, 2014. Only interpretations or corrections of the RFP made in writing by the General Services Manager are binding. Proposers interested in receiving proposal addenda based on these interpretations or corrections shall provide an email address to the General Services Manager. IX. Protest Procedure Any proposer who wishes to protest the proposed award of a contract must submit a detailed statement in writing of the grounds for protest and any supporting documentation to the General Services Manager prior to the contract award. The appealing party must be an actual or prospective proposer whose direct economic interest would be affected by the award, or failure to aware the contract. Award of the contract will be suspended temporarily unless this action will cause undue harm to the City of Oshkosh. If hazardous substances other than asbestos are suspected, CONSULTANT will, if requested, conduct tests to determine the extent of the problem and will perform the necessary studies and recommend the necessary remedial measures at an additional fee and contract terms to be negotiated. CITY recognizes that CONSULTANT assumes no risk and /or liability for a waste or hazardous waste site originated by other than the CONSULTANT. ARTICLE IX. CITY'S INSURANCE CITY will maintain property insurance on all pre- existing physical facilities associated in any way with the PROJECT. CITY will provide (or have the construction contractor(s) provide) a Builders Risk All Risk insurance policy for the full replacement value of all project work including the value of all onsite CITY - furnished equipment and /or materials associated with CONSULTANT's services. Upon request, CITY will provide CONSULTANT a copy of such policy. ARTICLE X. TIME OF COMPLETION The work to be performed under this AGREEMENT shall be commenced and the work completed within the time limits as agreed upon in the CITY's Request for Proposal. The CONSULTANT shall perform the services under this AGREEMENT with reasonable diligence and expediency consistent with sound professional practices. The CITY agrees that the CONSULTANT is not responsible for damages arising directly or indirectly from any delays for causes beyond the CONSULTANT's control. For the purposes of this AGREEMENT, such causes include, but are not limited to, strikes or other labor disputes, severe weather disruptions or other natural disasters, failure of performance by the CITY, or discovery of any hazardous substances or differing site conditions. If the delays resulting from any such causes increase the time required by the CONSULTANT to perform its services in an orderly and efficient manner, the CONSULTANT shall be entitled to an equitable adjustment in schedule. If any statement amount is disputed, the CITY may withhold payment of such amount and shall provide to CONSULTANT a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written amendment to this AGREEMENT executed by both parties prior to proceeding with the work covered under the subject amendment. ARTICLE XIII. HOLD HARMLESS . Subject to any limitations contained in Sec. 893.80 and any similar statute, of the Wisconsin Statutes, the CITY further agrees to hold CONSULTANT harmless from any and all liability, including claims, demands, losses, costs, damages, and expenses of every kind and description (including death), or damages to person or property arising out of re -use of the documents without consent where such liability is founded upon or grows out of the acts or omission of any of the officers, employees or agents of the City of Oshkosh while acting within the scope of their employment. ARTICLE XIV. INSURANCE The CONSULTANT agrees to abide by the attached City of Oshkosh Insurance Requirements. RTICLE XV. TERMINATION A. For Cause. If the CONSULTANT shall fail to fulfill in timely and proper manner any of the obligations under this AGREEMENT, the CITY shall have the right to terminate this AGREEMENT by written notice to the CONSULTANT. In this event, the CONSULTANT shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The CITY may terminate this AGREEMENT at any time by giving written notice to the CONSULTANT no later than 10 calendar days before the termination date. If the CITY terminates under, this paragraph, then the CONSULTANT shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the AGREEMENT and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this AGREEMENT. ARTICLE XVI. RE -USE OF PROJECT DOCUMENTS All reports, drawings, specifications, documents, and other deliverables of CONSULTANT, whether in hard copy or in electronic form, are instruments of service for this PROJECT, whether the PROJECT is completed or not. CITY agrees to indemnify CONSULTANT and CONSULTANT's officers, employees, subcontractors, and affiliated corporations from all claims, damages, losses, and costs, including, but not limited to, litigation expenses and attorney's fees arising out of or related to the unauthorized re -use, change, or alteration of these project documents. The grant allows the City and County to build the necessary public infrastructure to support new development within the Aviation Business Park and support the Wittman Regional Airport Master Plan. The project schedule is aggressive and dictated by the terms of the grant. The grant agreement states that construction shall begin on or before November 4, 2014, and construction shall be completed by September 1, 2015. Key design and contract document considerations provides the necessary jump start to delivering the project on time. Elements of our design along with our understanding of the City's expectations are as follows. City of 0shkosb, WI /24- Feb -14 Project Understanding and Approach — Page 1 Design will follow the City and Wisconsin Department of Natural Resources (WDNR) requirements, minimize future street impacts for new laterals, and confirm lateral crossings will not conflict with other utilities. The City will provide the sizing and complete the necessary water modeling. Our design will again follow the City and WDNR requirements, minimize future street impacts for new laterals, and confirm lateral crossings will not conflict with other utilities. The storm sewer design will comply with the City's goals of having the hydraulic grade line in the 10 -year event be below the street, the 25 -year event allow the center of the roadway to remain dry, and the 100 -year event to remain within the right -of -way. The design will meet the requirements of the Municipal Code Chapter 14 and Wisconsin Administrative Code Section NR 151. Lateral crossings will be oversized to allow for future connections and a 70 percent impervious area will be assumed for design of the stormwater management facilities. The two primary goals of the site grading will encourage future development by having developable slopes no greater than 2 percent and balance the site as much as possible to minimize the required earthwork. i oil The WDNR and United States Army Corps of Engineers (USACE) will be the primary permitting authorities. Permits will be prepared for the sanitary and water main extensions, construction site erosion control, and wetland/waterways. The Green -TTEC facility received a LEED Silver certification. ■ Business Park Expansion — Darlington, WI Reference: Phil Risseeuw, City Clerk, 608 - 776 -4970 This project consisted of design of road and infrastructure to serve a 38 -acre expansion of the City's business park utilizing a $1.13 million grant from the EDA. Given the natural rolling terrain and the presence of bedrock, the design required creative routing of utilities and site grading to minimize rock excavation costs. The project included street, water main, sanitary sewer, storm sewer, and detention pond design services for the expansion The sanitary sewers serving this area were designed to follow the valleys to minimize sewer depth, and thus rock excavation, to most economically serve the City. To provide maintenance to these off -road sewers, access easements were obtained from adjacent owners where necessary. Hellermann, P.G., is a professional geologist with more than 22 years of experience in environmental investigation and remediation. Luke has completed environmental documentation, worked with contaminated sites, and completed groundwater modeling, environmental investigation and remediation, and environmental compliance. Luke will provide information on potential environmental issues near proposed solutions. GIS Analyst ■ Dan A. Carpiaux will serve as the GIS technician in charge of the development of the necessary mapping tools and report products. Dan has 13 years of experience in various GIS applications in both the public and private sectors. He is our Lead GIS Analyst and has developed and updated utility databases utilizing ArcGIS for many municipalities. He was involved in GIS system creation and mapping for WisDOT's Stormwater Mapping and Illicit Discharge Detection project. He has extensive experience in geodatabase design and creation and is highly knowledgeable in map data creation and conversion, coordinate systems, GPS technology, 3 -D modeling, and database design.
